2022: Revenue growth by 18% to RUB 912.66 billion

The revenue of AFK Sistema in 2022 increased by 18% compared to 2021 and reached 912.66 billion rubles. In 2021, the indicator was measured at 773.22 billion rubles. Financial results of AFK Sistema for 2022 under IFRS

2020: Revenue growth by 5.7%, to 691.6 billion rubles

AFK Sistema ended 2020 with revenue of 691.6 billion rubles, which is 5.7% higher than a year ago. As reported in the statements, this growth is provided by increasing the income of key assets:

  • MTS - due to an increase in both mobile service revenue and strong dynamics in new business segments (Fintech, Media and B2B Digital & Cloud);
  • Segezha Group - due to increased revenue against the background of increased sales of paper packaging and lumber and rising prices for plywood and lumber;

Sistema's net profit at the end of 2020 amounted to 10.22 billion rubles, down 64.3% compared to 2019. The adjusted net profit fell even more - by 70%. The dynamics of profit was influenced by the results of the sale of 100% of the shares of Leader Invest and its deconsolidation, the public offering of 18.3% of the shares of Detsky Mir, deconsolidation and further reclassification of the remaining stake (33.4%) as an investment in an associated company in 2019.

Capital expenditures of AFK Sistema in 2020 increased by 8.6% and amounted to 127.8 billion rubles. The growth was due to an increase in MTS investments in the development of the network and under the influence of the currency component of capital expenditures against the background of the weakening ruble exchange rate, as well as due to the expansion and modernization of capacities in the Segezha Group.[1]

Refusal to purchase Home Credit Bank

AFK Sistema, whose asset is MTS, signed an amicable agreement with Rosneft, Bashneft and the Republic of Bashkortostan in December 2017 . AFK Sistema filed a lawsuit against Rosneft for 330 billion rubles

Claim for recovery of losses in the amount of 131.6 billion rubles

Rosneft and its controlled company Bashneft filed lawsuits against AFK Sistema and its subsidiary Sistema-Invest to recover losses in the amount of 131.6 billion rubles. According to Interfax, the lawsuit was filed with the Arbitration Court of Bashkortostan[7].

The amount of claims corresponds to the amount of dividends that Sistema received in 2009-2014 from Bashneft during the period of ownership of this company, net of taxes.

The plaintiffs point to the earlier decision made by the same court that AFK Sistema illegally owned Bashneft. The plaintiffs call the amount of dividends paid "unprecedented."

"AFK Sistema has consistently withdrawn from Bashneft the funds necessary to ensure the normal, uninterrupted and technically safe operation of the company," Rosneft said in a statement. - "The result of this activity was a violation of the terms and quality of repair service, wear of equipment, which led, in particular, to accidents at the factories of the Ufa group. The Arbitration Court of Bashkiria recovered in August 2017 from AFK Sistema and its subsidiary Sistema-Invest 136.4 billion rubles in favor of Rosneft and Bashneft, which it owns. Technical default

AFK Sistema announced the onset on July 17, 2017 of a technical default on the corporation's loan obligations in the amount of about 3.9 billion rubles.

As stated in the statement of AFK Sistema, the onset of technical default is associated with the ongoing seizure of MTS shares owned by the corporation and Sistema-Invest JSC, Medsi and BESK, imposed by the Arbitration Court of the Republic of Bashkortostan as part of the consideration of the claim of Rosneft, ANC Bashneft and the Republic of Bashkortostan to AFK Sistema and JSC Sistema-Invest on the recovery of 170.6 billion rubles. losses allegedly incurred by ANC Bashneft in connection with its reorganization.

At the same time, AFK Sistema emphasized that non-compliance with certain conditions for a number of loan obligations, which creates grounds for technical default, is due solely to the court's decision to seize the above assets and is "purely formal." The Corporation maintains and plans to continue servicing its credit and financial obligations in a timely and full manner.

The corporation considers interim measures in the form of the seizure of its assets unreasonable and continues to take the necessary actions to remove this arrest. To this end, AFK Sistema filed a complaint with the Eighteenth Arbitration Court of Appeal.

Rosneft seizes assets of AFK Sistema

AFK Sistema announced that it had received from the department Federal Bailiff Service in Moscow a decision to initiate proceedings and a copy of the writ of execution of the arbitration court of Bashkortostan. In accordance with these documents, the court, as interim measures, imposed arrests on a number of assets of Sistema and its subsidiary[8]

Rosneft demands to recover 106.6 billion rubles from AFK Sistema

On May 2, 2017, Rosneft and Bashneft, which joined it, filed a lawsuit to recover 106.63 billion rubles from Sistema, a very sensitive amount for Vladimir Yevtushenkov's company. The negative news background led to a sharp drop in the value of AFK Sistema shares on the stock exchange - by almost 37% compared to the closing level a day earlier. The shares of MTS and Detsky Mir, which also belong to AFK Sistema, were under attack - at the end of the day they lost 10.4% and 7%, respectively.

Comment of JSC IC CERIH Capital Management:

To understand the essence of the claims, you need to turn to the history of the issue. In 2005, AFK Sistema became the owner of blocking stakes in six enterprises of the Bashkir fuel and energy complex, paying 600 million for them. In dollars 2009, having paid another 2.5 billion dollars, AFK Sistema acquired controlling stakes in these enterprises and consolidated them on the basis of Bashneft in order to get rid of the complex ring ownership structure. According to Rosneft, at that moment there was a withdrawal of assets, as a result of which the plaintiffs lost indirect ownership in the Bashkir Energy Sales Company and Ufaorgsintez, and also lost the right to Sistema's debt to Bashneft itself. Rosneft calculated that 106.6 billion rubles compensate for the losses incurred.

The question that immediately arises is why AFK Sistema turned out to be extreme. As we remember, in December 2014, AFK Sistema's stake in Bashneft was transferred to the state by a court decision, and in October 2016 Rosneft bought this stake from the Federal Property Management Agency. It is rather strange to make claims not to the seller, but to the previous owner. Generally speaking, such a situation would be possible if, as part of the investigation of a criminal case, it turned out that the previous owner had caused material harm - for example, in the form of asset withdrawal. However, representatives of the Federal Property Management Agency did not find anything that would indicate a withdrawal of funds from the company. In fact, Rosneft accuses AFK Sistema of violations without evidence of harm, as well as a causal relationship between the actions of the previous owner and the alleged damage.

A separate question is about the purchase price and the amount of possible compensation. In August 2016, First Deputy Prime Minister of the Russian Federation Igor Shuvalov announced an assessment of the state's share in Bashneft - according to him, the total volume of ordinary shares owned by the Russian Federation costs from 297 billion to 315 billion rubles. Thus, the starting price amounted to 306 billion rubles. Two months later, Rosneft paid 329.7 billion rubles for a 50.08% stake in Bashneft. Thus, compensation for the alleged withdrawal of assets will allow Rosneft to reduce the cost of buying a valuable asset by a third. On the other hand, losing in court will cost AFK Sistema four years of working in austerity and increasing debt burden - according to the crudest estimates of experts, based on the results of the company's work in 2016.

How likely such a development is is difficult to say. On the one hand, there have been no such precedents so far. Moreover, the behavior of Rosneft radically changes all the vowel and unspoken rules of the game on the economic field. At the same time, aggressive tactical moves are used by the company to achieve a strategic goal - to gain a dominant position in the Russian oil market. And the main tool of this struggle is the use of close relations with the first persons of the state. Such an effective administrative resource is not at the disposal of any of Rosneft's competitors.

Creation of Cosmos Group for Hotel Business Management

Cosmos Group was established in April 2017 as a result of the separation of the functions of ownership and management of hotel assets of AFK Sistema. The company's tasks include the management and development of hotels owned by AFK Sistema, as well as the provision of a wide range of hotel services to external counterparties: from developing a hotel concept and supporting design and construction to selecting a brand and managing hotels. Management fees make up the bulk of revenues - about 70%.

Restructuring and Mikhail Shamolin appointed President of AFK Sistema

In March 2011, it became known that AFK Sistema is completing the transformations launched during the crisis. The corporation changed its structure and became an investment fund. Felix Yevtushenkov will lead the Basic Assets business unit, and the head of the developing assets block has not yet been found, Vladimir Yevtushenkov, owner of AFK Sistema, said in an interview with Vedomosti.

Sistema classified those companies that pay medium-industry dividends and have a reasonable debt burden as basic assets - less than four EBITDA indicators, Potekhina says, companies that do not yet give dividends, have a high debt burden and do not have a stable market share in their industries fell into the second category.

In 2011, OJSC Sistema-Invest was reorganized by merging with CJSC Bashkir United Energy Systems, CJSC UNH-EnergoInvest, CJSC UNPZ-EnergoInvest and CJSC Novoil-EnergoInvest, which previously belonged to enterprises of the Bashkir fuel and energy complex group.

The changes in the structure reflect the transformation of AFK from an operating holding to an investment fund, Potekhina said. The management of Sistema will not be engaged in the operational activities of controlled companies, but will focus on the search for new assets and financial transactions, Yevtushenkov told Vedomosti: Sistema will pay more attention to the return on assets than to their financial performance.

The upcoming changes in the ideology of management of Sistema were announced in the summer of 2010, and in October 2010 the board of directors of the corporation approved this transition. Sistema has consistently moved away from the operational management of its subsidiaries over the past year, notes Evgeny Golosnoy, an analyst at Troika Dialog. Now the transformation is being completed, Potekhina agrees.

Golosnaya considers the departure from full control over the operating activities of assets to be correct, but doubts that Sistema will be able to become a pure investment fund: it owns control packages, which means it should be engaged in the formation of a strategy for the development of companies, and not just look for attractive projects for investments and determine the points of entry and exit from them.

The development of the strategy will take place at the level of the boards of directors of subsidiaries, which will include managers of Sistema, says Potekhina, under the boards "offices" will be created, to which part of the employees of the Sistema divisions subject to disbandment will move. The staff of the AFC itself will be significantly reduced, Potekhina said.

Yevtushenkov explained the replacement of Melamed by the fact that he "for the fifth time" asked to let him go to the operating business. By nature, he likes to dig to the depths, to all the details, and he needs an operating company.

In November 2009, Sistema signed a memorandum of intent with Svyazinvest and Comstar-OTS and began negotiations on asset reorganization. Loan from the EBRD for €120 million and redemption of its stake in Sitronics for $87 million

In July 2009, Sistema announced a three-year loan of €120 million from the European Bank for Reconstruction and Development (EBRD).
