2018: CommScope purchased Arris for $7.4 billion

In November, 2018 the American producer of telecommunication equipment CommScope Holding announced acquisition of Arris for $7.4 billion. Thanks to this transaction the buyer considerably will increase the volume of the business in anticipation of global deployment of networks of fifth generation (5G).

Under the terms of the agreement, CommScope will pay $31.75 for each stock Arris that is 14% more than a quotation rate a day before the declaration of the transaction. If not to consider Arris debts, the cost of sale of the company is $5.59 billion, notes Reuters news agency.

Within the transaction about $1 billion will pay a hedge fund of Carlyle Group which in exchange will receive 16% of the capital stock in the united company which is not giving control. The transaction is going to be closed in the first half of 2019.

After the declaration of merger of Arris securities of CommScope fell in price more than by 18% because of debts of target company. The stocks Arris opposite rose in price — for 10.2% up to $30.63 on Thursday, November 8, 2018. Since April the 2017th the company lost nearly a half the cost that induced it to consider different transactions to resist to problems.

The CEO of CommScope Eddie Edwards says that negotiations with Arris began several months prior to the declaration of merge. Before it the Board of Directors studied possibilities of growth of Arris.

As a result of merge of CommScope and Arris there will be a company with an annual turnover of $11.3 billion, and CommScope will be able to strengthen positions in the market of telecommunication solutions, including a 5G and Internet of Things.

Reuters notes that Arris and CommScope met difficulties with business development as clients began to position the equipment of the companies in product quality of mass consumption which are easy for replacing.[1]
