Seizure of 100% of the company's shares

On June 4, 2020, the Arbitration Court of St. Petersburg and the Leningrad Region arrested a 100% stake in Business Lines after Caledor Consulting Limited filed a lawsuit against the car carrier.

As part of the lawsuit, Caledor demanded that the transfer transactions from Doglemor of the shares of the Business Lines group of companies in 0578 and DL-Trans be declared null and void, these shares in Doglemor should be returned, and interim measures should be introduced: to prohibit transactions in relation to the shares of the Business Lines group of companies, the withdrawal of participants from their capital, the alienation and encumbrance of shares, changes in their authorized capital and amendments to the charter. The court introduced almost all the requested measures, rejecting only the prohibition of amendments to the charter.

The arrest imposed on Business Lines means that the defendant will not be able to alienate assets and, if the transactions are declared invalid, the decision can be executed in kind, Vladimir Shalaev, a lawyer at BMS Law Firm, explained to the publication.^[1]

The arbitration is actually considering two separate cases in this regard, Oleg Sheikin, a lawyer for Forward Legal, explained to Vedomosti. The first case concerns the challenge of transactions for the sale of shares in Business Lines, and interim measures have been taken on it. The second case is related to the execution of the decision of the London court, the next meeting on which is scheduled for August 26, said Sheikin. He says Russian courts often recognize and enforce foreign court decisions, and Caledor has a good chance of succeeding.

In my opinion, this decision does not provide any advantage, "says Dmitry Gorbunov, partner of Rustam Kurmaev and Partners. - We are talking only about the extent of security. It is aimed at ensuring the execution of the final decision and, of course, exclusively if the plaintiff wins, will increase his chances of bringing the decision into real  execution.

This issue and the definition of security concern the founders and does not affect the Group's operations. The logistics operator continues to work as usual, providing service throughout Russia.

This claim is baseless. The court's ruling on interim measures will be appealed. A preliminary hearing is scheduled for Nov.

Shareholder conflict

In April 2020, it became known that the London International Arbitration Court (LCIA) ordered the co-owner of the transport and logistics company Business Lines Alexander Bogatikov to pay $58 million to the former co-owner of this company and CEO of Trust Bank Mikhail Khabarov. Part of this amount will also be paid to the Cypriot structure Caledor Consulting Ltd, which Khabarov owns together with the investment company A1 (they have 75 and 25%, respectively). The court made a decision on January 21, a representative of Caledor Consulting Ltd told RBC.

"What matters to me above all is the very fact that the court recognises the fairness of my claims against the former partner. It was a challenge to my principles of life, ideas about the ethics of business and human relations. Material compensation matters, but in this case it is secondary, "says Khabarov's commentary, transmitted by his representative. After the court decision, representatives of the businessman on March 6 appealed to the Arbitration Court of St. Petersburg to execute the decision, the interlocutor of RBC said.

A representative of Business Lines replied to RBC that the company was not involved in shareholder litigation. "The logistics operator continues to operate as usual, providing uninterrupted and high-quality service throughout Russia," the representative said.

Until 2014, Mikhail Khabarov led the investment division of Alfa Group A1 for several years, and in 2015 he was appointed chairman of the board of directors of Business Lines. At the same time, it was reported that he became a co-owner of the company, but the details of the transaction were not disclosed. As a representative of Caledor Consulting Ltd told RBC, that year an option agreement was concluded between Khabarov, Caledor Consulting Ltd and Bogatikov, his Cypriot companies DL Management Ltd and Doglemor Trade Ltd. According to it, Caledor Consulting Ltd received the right to buy out a 30% stake in Business Lines at a fixed price - $60 million.

In February 2015, another Khabarov company, Solarstones, entered into an agreement to provide advice on the management of Business Lines. The agreement was concluded with Bogatikova's company DL Management.

In August 2017, a conflict occurred between the parties, its essence was not disclosed. According to a representative of Caledor Consulting Ltd, Bogatikov blocked Khabarova's access to information and employees of Business Lines, and also stopped fulfilling obligations under a consulting agreement with Solarstones.

According to SPARK, in 2018, 0578 Holding LLC became the sole founder of Business Lines. The largest share in the company - 43% through AB Group LLC belongs to Bogatikov. The rest is controlled by several individuals. "The actions of Alexander Bogatikov to transfer 57% of Business Lines to third parties de facto made it impossible to fulfill the terms of the option agreement," explained a representative of Caledor Consulting Ltd.

As a result, Khabarov's structures filed two lawsuits with the London International Arbitration Court - on a dispute over a stake in the company and due to the termination of the consulting services contract. There is no decision on the second yet.

2018: 16k flights per month

16 thousand flights and more than 300 thousand tons of cargo monthly. At the end of 2018, Business Lines showed growth in several areas at once. In the segment of transportation of prefabricated goods (LTL), the group of companies added 12% in revenue, overtaking the average market indicators. According to the agency M.A.Research, the market grew in revenue by only 8%. The geography of delivery also expanded - Business Lines opened about 50 new divisions in 2018 and strengthened their positions in Siberia and the Urals. Four modern 3PL warehouses of class A and B Business Lines have opened in Novosibirsk, Yekaterinburg, Khabarovsk and Moscow.

Also in 2018, Business Lines expanded the geography of air deliveries - more than 10 thousand new directions appeared, thanks to which the group of companies was able to increase the turnover of air transportation. Compared to 2017, this figure increased by almost 27%, and the number of orders increased by more than a third. The market, on the other hand, has reduced its growth rate - according to FAVT data for 2018, cargo traffic by air transport in the Russian Federation decreased by 0.06% compared to the same period in 2017. Business Lines received the status of accredited cargo agent of the International Air Transport Association IATA.

In October 2016, the company confirmed the quality of its services by receiving a certificate of compliance of the management system with the requirements of the international quality standard ISO 9001, recognized in more than 150 countries of the world.
