2018

Transfer to Sovcombank

In October 2018, GMCS, a company engaged in the implementation of business solutions and software development, left Maykor and joined the Sovcombank group, told TAdviser in GMCS. Information about the transaction is reflected in the report of Sovcombank for the 4th quarter of 2018. It states that in August 2018, the bank acquired a 100% stake in G-Em-Si-Es Management (GMCS Management) from the Cyprus-based company G-G. Um. Xi. Es. Limited. "

The transaction amount amounted to 500 million rubles, and the main reason for the acquisition of Sovcombank in the quarterly report is the strengthening of the bank's IT team.

Through G-Em-Cs-Es Management, bought by Sovcombank, Maykor owned 65% of G-Em-Cs-Es Verex (GMCS Verex), a developer of the Verex platform for automating enterprise management processes. Its staff in 2017 was 578 people, and in G-Em-CS-ES Management - only 1 person, according to Contour-Focus. The revenue of G-Em-Cs-Es Verex in 2017 amounted to about 2 billion rubles, while G-Em-Cs-Es Management did not have income.

In addition to G-Em-CS Verex, G-Em-CS Management is the founder of Maycore Labs, which also listed only 1 employee in 2017 and had no income. Since November 2018, it has been under liquidation. Thus, G-Em-CS-Verex is the main asset of the group.

Since September 2016, a 65% stake in G-Em-C-ES Verex has been pledged by Sovcombank. According to the Contour-Focus database, the company thus received a loan from the bank for 4 years and 9 months.

After the purchase by Sovcombank of G-Em-Si-Es Management, the co-founders of G-Em-Si-Es Verex remain a number of individuals - current and former GMCS employees, indicated in the Contour-Focus database. Thus, Ekaterina Voropaeva, president of GMCS, owns a 24% stake in Ji-Em-Si-Es Verex, 6% belongs to Ilya Drozman, deputy general director/executive director, 3.5% to Nadezhda Vyalova, who was the general director of Ji-Em-Si-Es Verex and no longer works for the company, 1.5% to Andrei Sapozhkov, director of the SAP GMCS product department.

Sovcombank, GMCS and Maykor declined to comment on the details of the deal. The GMCS in February 2019 noted that there were no changes in the activities of their company.

File:Aquote1.png
GMCS continues to work with current and new customers throughout the product line, as well as developing new partnerships and areas of automation in demand in the context of digital transformation. For example, at the end of 2018, the company opened the practice of robotizing business processes (RPA), the GMCS press service told TAdviser.
File:Aquote2.png

GMCS is not the only IT company that has come under the control of Sovcombank recently. Since November 2018, Sovcombank with a share of about 75% of the authorized capital is listed as a co-founder of BTE, which specializes in service support and supply of ATMs, POS terminals, cash equipment.

Maykor also previously had a 75% stake in this company: in 2014, it merged its banking technology support business with the BTE group of companies. And the share in 75% of BTE since 2016 has also been with Sovcombank under a loan agreement for 4 years and 9 months.

It is noteworthy that in the annual report of Sovcombank for 2017 it is written that he owns a share in Maykor itself. The list of legal entities where Sovcombank directly or indirectly owns a stake in the authorized capital includes Maykor LLC (later renamed UK-Maykor LLC) and its Cypriot founding company Maykor Outsourcing Services Pielsi. For both companies, a share of 25% is indicated. Sovcombank has not yet released its annual report for 2018.

2016

GMCS controlling stake pledged to Sovcombank

As TAdviser found out, in September 2016, GMCS pledged 65% to Sovcombank in one of its structures - G-Em-CS-Verex LLC (GMCS Verex). According to the Contour Focus database, the company thus received a loan from the bank for 4 years and 9 months.

The stake in the bank belongs to G-Em-CS-Management (GMCS Management), which in turn is 100% controlled by the Cypriot G. Um. Xi. Es. Limited.. "

It is worth noting that it was 65% in GMCS that MAYKOR acquired in 2013. Whether the package is in the bank or not, and for what purposes the loan was taken in MAYKOR-GMCS refused to comment. Sovcombank also refrained from commenting.

Otkritie Capital analyst Alexander Vengranovich notes that it has always been difficult for IT companies to receive bank loans, because, as a rule, their main assets are intellectual ones that are difficult to mortgage. Therefore, it is a common practice to pledge a stake in a company to secure a loan.

File:Aquote1.png
In fact, this is mezzanine financing. That is, if the company fails to repay the debt, the bank will remain a shareholder and take this share, says Alexander Vengranovich.
File:Aquote2.png

According to him, the term of encumbrance most often occurs for the entire period of the loan, and five years is a standard option for it.

Recall that at the beginning of 2016, Softline received similar mezzanine financing in the same Sovcombank. She managed to attract a loan of 4 billion rubles. With this money, Softline planned to buy IT companies in Latin America and Southeast Asia in order to increase the scale of the business and then conduct an IPO. Then, in January 2016, Softline announced the acquisition of the Brazilian company Compusoftware.

Sovcombank then noted that the mezzanine loan provides the bank with minimal risk.

Elena Volotovskaya, vice president for investments at Softline, explains to TAdviser that IT companies can take out large loans secured by a share mainly for two purposes. The first is for solving operational problems. For example, to increase working capital. The second is for development, as Softline did.

File:Aquote1.png
If the borrower shows stable and predictable cash flows, and at the same time the borrower has opportunities for growth, then he will definitely be able to agree on raising funding, - Elena Volotovskaya assesses the ability of IT companies to receive bank loans. - There are several basic indicators on the basis of which banks determine the amount of financing. The main indicators are EBITDA and the level of debt burden.
File:Aquote2.png

In 2015, MAYKOR's revenue amounted to 10.6 billion rubles (data from the enterprise itself). How many of them MAYKOR-GMCS earned is not disclosed.

MAYKOR-GMCS joined the Association "Тайзен.ру"

MAYKOR-GMCS joined the Тайзен.ру Association, a consortium of developers of the Russian version of the Tizen open operating system for mobile devices and the Internet of Things (IoT). With the participation of MAYKOR-GMCS, Тайзен.ру has the opportunity to expand its competencies in the field of creating corporate mobile solutions.

2013: MAYKOR acquires GMCS

MAYKOR, an all-Russian service provider in the region outsourcing IT- and, business processes announced in June 2013 that it was joining a company GMCS providing services for building business management information systems. The goals of the association are to expand the range of services to to outsourcing support business applications, jointly develop innovative products, and expand into new industries.

As a result of the transaction, MAYKOR became the owner of a 65% stake in GMCS, which in turn became a subsidiary of the MAYKOR group. The decision on the transaction was made by the parties due to the extensive experience in the corporate market and the assessment of the high market demand for modern complex IT outsourcing services.

Some market participants believe that between the founders of two companies - Mikhail Lyashte ("Complink") and Sergey Sulgin (GMCS) - there was a separation of assets merged in 2005. This can be confirmed by the fact that Sulgin retained the post of CEO of GMCS (according to the Unified State Register of Legal Entities as of July 27, 2012), leaving the post of chairman of the board of directors of Complink.
