Former top manager of Rostec received 8 years in prison for regular bribes in exchange for patronizing an artificial fiber plant

At the end of November 2023, the Khamovnichesky Court of Moscow sentenced Alla Laletina, former director of legal support and corporate governance at Rostec. The woman was found guilty of taking bribes on an especially large scale (part 6 of article 290 of the Criminal Code of the Russian Federation) and sentenced to eight years in a general regime colony. Ban on employees to go on vacation to fulfill the state defense order during a special operation in Ukraine

On August 10, 2022, it became known about the ban on key employees leaving Rostec. This measure, which has been in effect since August 1, 2022, was taken to fulfill the state defense order (GOZ), RBC writes, citing two sources in the military-industrial complex.

According to one of the interlocutors, this order concerns a significant number of Rostec enterprises implementing GOZ, but not the entire corporation and refers primarily to top managers.

Receiving a subsidy in the amount of 21.4 billion rubles for the creation of 5G equipment

Mikhail Mishustin allocated 21.4 billion rubles to Rostec for the development of 5G equipment

After Rostec was chosen as the main manufacturer of domestic equipment for 5G, the state corporation, together with Rostelecom, prepared an appropriate roadmap for the development of the industry. Its implementation as a whole will require 208.15 billion rubles, including 28.8 billion rubles from the state budget. Serial production of 5G equipment Rostec plans to launch in 2023.

The resumption of production by a significant part of enterprises after the outbreak of the COVID-19 epidemic

Comprehensive measures are being taken to prevent coronavirus infection COVID-19 and ensure the maximum safety of people.

Where possible, employees continue to work remotely - remote workplaces are massively organized for them.

The number of personnel at workplaces is increasing gradually. In production premises, before the start of the working day, employees are measured in a contactless way, including using thermal imagers. Disinfection of workplaces with special means is regularly carried out. Additionally, air disinfection devices are installed in the rooms. Employees are equipped with personal protective equipment.

Agreement with the structure of AFK Sistema on the creation of a joint venture in the field of microelectronics

CJSC RTI-Microelectronics (part of the RTI Group holding owned by AFK Sistema), the state corporation Rostec and its subsidiary JSC Roselectronics entered into a legally binding agreement providing for the creation of a united company in the field of microelectronic component base (MEKB). This is stated in the message of Rostec, published on the website of the state corporation on February 19, 2019.

Under the terms of the agreement, the parties will contribute to the combined company a total of controlling shares in 19 enterprises in the field of development, production and design centers of MEKB. As a result of the transaction, RTI-Microelectronics will own 50% plus 1 share in the combined company, and Rostec and Roselectronics will collectively own 50% minus 1 share. The list of assets contributed to the joint venture is not specified.

According to Interfax, on the part of Rostec, the joint venture may include JSC NIIMA Progress, NIIET Electrostandard, Novosibirsk Semiconductor Device Plant with a Special Design Bureau (NZPP), Semiconductor Device Plant (ZPP), TD ROSEL, Special Design and Technological Bureau for Relay Technology (SCTB RT), "Scientific Research Institute of Electronic EMI-Mechanical Devices. In turn, on the part of RTI Group, the joint venture is expected to include the Micron plant, the Research Institute of Molecular Electronics (NIIME), the Research Institute of Precision Engineering (NIITM), the Voronezh Semiconductor Device Plant (VZPP) and others.[5]

The parties plan to complete the transaction on the transfer of assets to the combined company before the end of the first quarter of 2019. The closing of the transaction will depend on the fulfillment of a number of preventive conditions, including approval by the regulatory authorities of the Russian Federation.

Zuk told RBC, citing a source close to Sistema, within 18 months of the closure of the transaction, AFK Sistema will pay Rostec 1.35 billion rubles. Given the difference in the value of the contributed assets, Sistema will buy a share from Rostec to the control one for 1.35 billion rubles. As the representative of Rostec clarified to RBC, the calculations should take place within a year and a half, interest in the amount of the Central Bank rate is charged for the installment period.

For the first time, the possible creation by Rostec and AFK Sistema of a joint venture in the field of microelectronics became known in November 2016. Then the merger of the United Instrument-Making Corporation (OPK) and Roselectronics from Rostec with the RTI Group concern and Micron owned by Sistema was discussed. In June 2017, the parties entered into an agreement on their intention to create a combined company, but subsequently the deal was frozen amid litigation between Sistema and Rosneft[6]

The organizations under consideration are fulfilling the state defense order for a number of key critical technologies, and Rostec is responsible for controlling this process. The main development programs of these organizations, including the budget, are formed in accordance with the legal acts of the state corporation. And the programs of their activities are part of the development strategies of Rostec holding companies.

The military division of Tractor Plants is transferred to Rostec

The state corporation Rostec will receive by the end of 2017 the military division of the Tractor Plants concern. The corporation will become the sole owner of these enterprises.

2015: Rostec reforms executive motivation scheme

On August 13, 2015, the press service of Rostec Corporation announced the reform of the system of motivation and remuneration of general directors of holdings.

According to the company's statement, the level of fixed wages of the heads of holdings included in the corporation will be increased to the market average in the industrial sector. At the same time, its share in the total structure of total income will be increased from the current 15-30% to 50%. The remaining part will be paid in the form of a target bonus based on the results of the holding's implementation of key performance indicators (KPIs). If the KPI is significantly exceeded, the manager can expect an additional reward of up to 10% of the target bonus.

The new remuneration system is adapted to the individual business tasks of holdings. To replace the directive form of setting a standard list of financial KPIs for all holdings, a dialogue on the goals and a new structure of performance indicators was introduced into practice, a group of results specific to each holding appeared, reflecting the effectiveness of the Director General in solving strategic tasks and significant projects. It will take into account both the implementation of short-term tasks and projects that ensure the growth of the holding's capitalization in the medium and long term.

Holdings will also receive more independence in regulating the level of remuneration of managers of their subsidiaries. Earlier, the issue of wages was decided by the central office of the Corporation. In the new system, the authority to manage the remuneration of heads of subsidiaries is transferred to the holding level, and the central office has only the functions of methodological support and budget control.

"Rostec continues to improve the management system, and the current changes, coupled with the optimization of the administrative and management apparatus, indicate the transition of this process to a new level," said Vladimir Artyakov, First Deputy General Director of Rostec. - The goals that we are pursuing at this stage - an increase in investment attractiveness and an increase in the value of assets - can be achieved only if holdings are granted greater independence. To do this, we have to improve the effectiveness of their management. We started with the heads of holdings, but in the future this system will be extended to the entire management apparatus. At the same time, within the framework of the general optimization process in the Corporation, we got the opportunity to attract and retain highly qualified managers. Rostec will become competitive in terms of fighting for talents, which will undoubtedly affect the efficiency of the corporation. "

The need for reform became clear after an audit conducted at the end of 2014 of the current system of motivation for CEOs of holdings and its comparison with market practice. Identified weaknesses and deviations from best practices have become the main areas of improvement of the motivation system.

The next stage in the development of the remuneration system for key heads of holdings and the central office of the Corporation will be the creation of a long-term remuneration program for the implementation of medium-term KPIs, training in KPI cascading and the development of a performance culture.

2011: Start of restructuring of facilities in Moscow

On December 7, 2011, it became known that Moscow Mayor Sergei Sobyanin and Rostechnologies CEO Sergei Chemezov signed a cooperation agreement. The agreement is needed in order to link the plans of Rostekhnologii to restructure its Moscow economy with the plans for the development of the city[11].

Rostekhnologii has almost two hundred organizations in the city, which are located on 243.2 hectares. The state corporation intends to restructure part of these assets in 2012-2013, says Maxim Vasilevsky, deputy head of the Rostechnologies department. According to him, we are talking about enterprises that are located on 82.9 hectares in 243 buildings with a total area of ​ ​ 602,000 square meters. m.

From the materials of the state corporation it follows that 100 objects per 12 hectares will be "involved in investment programs (new construction, new production)," and the rest is "alienated" - probably sold out.

The largest enterprise that got into the program is FSUE Moscow Radio Engineering Equipment Plant (51,700 sq. M. m on 30.3 hectares). This plant is a typical asset of Rostechnologies, says its former employee. With the collapse of the USSR, the regime enterprise was unable to launch civil production, and the defense order either did not arrive or was not paid. The equipment is morally and technically outdated, qualified personnel left the plant, and "all this was accompanied by a fight against non-payments, power outages, leapfrog of general directors and the withdrawal of assets." The territory of the plant and the once factory village is located between the Saburovo and Brateevo microdistricts opposite the Borisov ponds on the banks of the Moscow River. The entire village territory with former objects of social and cultural life has long been built up with multi-storey buildings, the territory of the plant itself is fenced and protected, therefore it is mainly preserved. However, there is practically no production potential, even when financing resumed, it was still unrealistic to fulfill the state order with high quality, the employee said.

Another large enterprise - OJSC Moscow Plant Sapphire (121,500 sq. M. on 9.7 hectares) - is located behind the Warsaw highway, not far from the Yuzhnaya metro station. A significant part of the premises on the territory of the plant was leased, and not only for offices, but also for production.

There are no problems with a pass to the tenant to get into the territory, including by own transport, said the client of one of the tenants.

However, Vasilevsky from Rostechnologies says that this unreliable picture does not correspond to reality: enterprises are in working order. During the year, a list of liberated territories will be formed, their assessment is made, he says. Their development should be linked to Moscow's development plans, Vasilevsky explains: "We are extremely interested in their inclusion in the urban economy system." By the end of the first quarter of 2011, it should already be determined what to do with each site, promised the head of the Department of Science and Industrial Policy of Moscow Aleksei Komissarov. He admitted that dormitories could be built on the site of the factories.

When Rostekhnologii starts implementing the plan, private developers will be involved on a competitive basis, the manager of the state corporation promises. Managing partner of S. A. Ricci Vladimir Avdeev says that class B offices are usually located at such production sites in Moscow, the price of which is $500-800 per 1 sq. m (i.e. based on the total area of ​ ​ $301-480 million for 602,000 square meters. m). Avdeev believes that it will hardly be possible to find a buyer for the entire portfolio of assets, but it is quite possible to sell them separately. And the commercial director of Capital Group, Alexei Belousov, is confident that, given the current urban planning policy in Moscow, such sites will be more and more in demand. Belousov believes that the premises can be used for multifunctional complexes, which include offices, retail premises and apartments.
