The second attempt to sell 100% the subsidiary of TNK-BP Holding of Tbinform who is responsible for IT outsourcing of the parent organization reached a stage of asset valuation. "TNK-BP completed a prequalification stage among the companies which expressed interest in acquisition of Tbinform, - told CNews in the oil company. - At the moment, potential buyers will see off due diligence of an asset".

Names of applicants for purchase are not revealed, despite the intention declared by the seller "carry out the transaction on the terms of transparency". Let's remind that the outsourcing company was already offered by TNK-BP for sale. In the summer of 2010 in a final round of the tender for its acquisition met Siemens IT Solutions and Services, Tieto and "Systematics". Previously all participants got approval of FAS on purchase of 100% of Tbinform, but the transaction did not take place.

The new tender is beaten out from planned dates, but is not strong yet. In the spring of 2011 the seller calculated that in June, 2011 the purchase and sale agreement will be already signed and the transaction will be closed. About it, exactly as well as about transparency, according to for investors. Was going to finish prequalification in April.

TNK-BP exposes a number of requirements to candidates: work in the market more than 5 years, the volume of the IT services provided in 2010 more than $50 million and also "use ITIL/COBIT" (recommendations about the organization of processes in the company) and "experience of transfer of services on outsourcing".

Five-year contracts for IT outsourcing of the enterprises of group are offered buyers. At the same time "all new services which are not entering the price list are bought by TNK-BP on a competitive basis". Everything is difficult also with the cost of the promised contracts: "the parties can initiate negotiations on change of rates before the next year if the parties did not agree – services are exposed on the tender".

From 142 legal persons customers of Tbinform 81 enters into TNK-BP. At the same time the outsourcer owns an extensive network in 24 cities (except two capitals it is Ryazan, Saratov, Orenburg, Nizhnevartovsk, etc.). Turnover of the company in 2010 made $55.88 million, EBITDA - $7.3 million. The share of customers, independent of parent company, in profit in 2010 made 2.1%. In created in 2006 by Tbinform now about 1120 employees work.

On October 1, 2011 TNK-BP will announce the first of a number of tenders for external IT outsourcing. "The company which will provide us services of field engineers of user support will be until the end of the year selected, - the deputy vice president of TNK-BP for IT Anton Strokovich told CNews. - In 2012 we will similarly give support of network infrastructure outside. Then - the third support line of work with the most basic software".

"We will complicate the tasks transferred outside, but we will reserve applications, critical for business, for example, of SAP. An edge on which we will stop while it is definitely not known", - Strokovich added.

Let's remind that since 2006 in TNK-BP there is own internal IT outsourcer of Tbinform who solves the listed above problems independently now. In 2010 the oil company decided to sell this asset, having estimated it at $30 million. But the tender did not take place after at the beginning of 2011 one of its main participants - Siemens IT Solutions - was purchased by the French Atos Origin from the German head company.

The second tender with similar internal assessment of an asset had to come to the end with summer of 2011, however the winner was not defined, Anton Strokovich says.

"Negotiations were conducted with Tieto, Accenture, Systematics and Asteros, - he told. - All applicants wanted to purchase Tbinform entirely, and we by this moment understood that we are not ready to give tasks, critical for business, outside and we want to reserve a part of competences. Tender was stopped".

On tenders, first of which it will be announced in October, participants will offer the rates, the winner optionally can use employee competence of Tbinform without their transition to it to the state and without payment.

As Strokovich explains, participation in works of the personnel of TNK-BP home company will be put in rates of outsourcers: "If the winner wants to receive the ready personnel in regions in which training it is not necessary to invest any more, then he can seize this opportunity".

Also optionally the oil company can enter the capital of winners as the minority shareholder. According to Strokovich, it is necessary for works monitoring, and does not aim at purchase of new IT competences. "Now we conduct negotiations with all largest both Russian integrators, and foreign vendors", - he adds.

The vice president of Asteros Georgy Burtsev considers that "for IT support of the oil company in all regions of presence any winner of the tender will address Tbinform, independently to it not to lift such amount of works".
