Owners of Tele2 mobile operator (Tele2 LLC) at an emergency meeting of a general meeting of participants made on April 13, 2017 the decision on re-election of Board of Directors of the company. 11 people were a new part of council. The Board of Directors of Tele2 was headed by Yury Solovyov, the first deputy president – the chairman of the board of VTB Bank (public joint stock company).

On November 6, 2019 Tele2 company announced the consolidated financial and operational results of activity of the company for the III quarter 2019.

Growth of revenue in the third quarter for 15.5% to 43.1 billion rubles

In the III quarter 2019 the company reached the following key financial performance:

  • Revenue grew by 15.5% in comparison with the III quarter 2018 and reached 43.1 billion rubles;
  • The indicator of EBITDA was 18 billion rubles − increased by 47.1% in comparison with the same period of 2018;
  • The indicator of profitability of EBITDA reached 41.9%, having increased by 9 items in comparison with the III quarter 2018;
  • Investment volume into IT infrastructure and technology development of network was 5.9 billion rubles, having increased in comparison with the III quarter 2018 by 34.6%. The ratio of CAPEX to revenue made 13.8%;
  • Net profit reached 3.4 billion rubles – growth by 114.3% in comparison with the same period of 2018;
  • The debt relation coefficient to EBITDA was reduced by 34% and reached value 1.9

Growth of revenue by 16.4% to 143 billion rubles

On March 11, 2019 Tele2, the alternative mobile operator, reported the consolidated financial and operational results of activity of the company for 2018.

In 2018 the company reached the following key financial performance:

  • Revenue grew by 16.4% in comparison with 2017 and reached 143 billion rubles;
  • The indicator of EBITDA was 43.7 billion rubles − increased by 43.2% in comparison with the same period of 2017;
  • The indicator of profitability of EBITDA reached 30.5%, having increased by 5.7 items in comparison with 2017;
  • Investment volume into IT infrastructure and technology development of network was 25.5 billion rubles, having increased in comparison with 2017 by 99.6%. The ratio of CAPEX to revenue made 18%;
  • Net profit was 2.7 billion rubles;
  • The debt relation coefficient to EBITDA was reduced by 30% and reached value 2.8.

Growth of revenue from Internet sales for 17%

On March 6, 2019 Tele2, the mobile operator in Russia, announced results of work of a segment of e-commerce in 2018. The operator notes the increasing popularity of this sales channel among subscribers: Internet traffic on website Tele2 more than doubled year-on-year, and revenue grew by 17%.

Tele2 continues to develop the channel of online sales actively. The number of orders in online store of the operator grew by 12% year-on-year. In 2017 revenue from the clients connected to Tele2 network increased more than by 17%. Positive dynamics is shown also by a share of transitions on MNP from the total number of online connections: it reached 16% at the end of 2018.

Even more considerable growth rates were shown by the Moscow region. Revenue gain in online store year-on-year made 20%, and a share of transitions on MNP – 22%.

At the order of the SIM card most of subscribers selects the tariff plans "My Online" and "My Conversation". More than 50% of clients of Tele2 online store give them preference. Beautiful numbers are still demanded among subscribers: the share of their sales made 19% at the end of 2018.

Clients of Tele2 online store in Moscow can receive the order in any of 450 salons or using a courier delivery. In 2018 81% of clients used service of shipment at own expense, other 19% issued delivery.

At the end of 2018 Tele2 recorded significant increase in popularity of the smartphone as main device for online shopping. In a year the share of clients who come into Tele2 online store from the mobile device grew by 14 items up to 67%. At the same time the share of purchases from the computer was naturally reduced by 12 items to 28%. The third place among types of devices is taken by tablets – 4% of traffic in Tele2 online store are the share of them.

People from 25 to 34 years became the most active clients of online store – their share made 41% of visitors of website Tele2. 35-44 years and 18-24 years follow age groupes (23% and 14% of traffic respectively). Shares of men and women among visitors of Tele2 online store are almost equal: 51% and 49% respectively.

Positive dynamics of our operational and financial performance demonstrates to it: the number of orders, revenue and transitions on MNP. Growth of revenue in B2G segment in Moscow more than for 300%

Tele2 company, alternative mobile operator, summed up on February 21, 2019 the results of work with the state customers in 2018. For the reporting period the number of the state clients of the company in the Moscow region increased by 40%, at the same time proceeds from sales of services grew more than by 300%.

Tele2 revenue in B2G segment in Moscow grew by 4 times

At the end of 2018 the B2G-segment showed growth of revenue by 18%, and the number of users of communication services at the same time increased by 30%. In the fourth quarter 2018 of Tele2 won a victory more than in 200 tenders for rendering mobile services to the state customers.

Federal and regional government institutions became clients of Tele2 in 2018: State Budgetary Institution Maly business Moskvy, department of information technologies of Khanty-Mansi Autonomous Okrug, the mayor's office of Novosibirsk, administration of Chelyabinsk, Belgorod and Izhevsk, branch of Russian Post in the Republic of Mordovia and others.

The central office of Federal Tax Service of the Russian Federation, the State Kremlin Palace and the Moscow Administrative Road Inspectorate continue to use services of the operator. Such regional government institutions as legislative assemblies of Perm Krai, the Nizhny Novgorod Region and the Irkutsk region, governor apparatus and the governments of the Omsk region, the Nizhny Novgorod and Perm branches of Russian Post and others remain clients of Tele2.

Tele2 not only provides to B2G-clients mobile communication, but also offers them access to the analytics of Big Data. According to the operator, services on the basis of big data were the most profitable in a B2B-segment at the end of 2018: proceeds from sales of these services grew by 11 times. A main product on the basis of Big Data for the state customers — reports on geoanalytics. They are used for accounting and control of mass movements of citizens, optimization of cleaning of urban areas, calculation of tourist flows and planning of transport infrastructure.

10-fold growth of service revenue in the Moscow monobrands

On February 13, 2019 Tele2 announced fixing of 10-fold growth of service revenue in the Moscow monobrands at the end of 2018. Revenue from not operator services in cellular shops was equal to income from sale of mobile devices. At the same time repayment of the credits and sale of an avia - and \d tickets became the most fast-growing services. Relatively 2017 monthly proceeds from sales of these services increased by 200% and 100% respectively

In addition to profile goods and services, Tele2 salons offer not telecom services. Visitors of monobrands can repay the credits, fill up bank cards and e-wallets, to do transfers across Russia and abroad. Besides, in Tele2 brand stores such services as purchase of tickets and insurance of the equipment are also available to clients.

At the end of 2018 service revenue in monobranded retail network was equal to sales returns of smartphones. Revenue from not operator services exceeded the means obtained from sale of accessories for the same period three times. And demanded financial services became the most profitable. Their share in service revenue made 92.6%.

Growth of revenue from work in a segment of MVNO for 200%

Growth of proceeds from sales of services on the basis of big data more than by 11 times

On February 1, 2019 Tele2, the alternative mobile operator, reported work results in a business segment for 2018. For the reporting period the number of corporate clients increased by 15%, at the same time proceeds from sales of services on the basis of big data grew more than by 11 times.

Results of work of Tele2 for 2018

At the end of 2018 the B2B-segment showed growth of revenue in all directions: from sale of the main services, analytics of "Big Data" and also additional products and services. Services on the basis of big data technologies were the most profitable. If proceeds from sales of the main services increased by 35%, then the analytics of "Big Data" allowed the company to earn at 1024% more, than at the end of 2017. The main consumers of these services are financial institutions. Tele2 provides to clients three products on the basis of big data: scoring, verification and monitoring of client events. Proceeds from sales of additional products and services almost doubled.

In 2018 Tele2 started the updated corporate rates and an option of the unlimited Internet for business clients. It promoted bigger consumption of data-services and structural improvement of a subscriber base in a B2B-segment. The number of active Internet users among business subscribers increased by one and a half times, and consumption of Internet traffic – more than three times.

Total number of business subscribers grew almost by 15%. Representatives of large business became clients of the operator in 2018: Zenit bank, Russian Standard bank, Post Bank, Rosneft, ECCO, Federal Tax Service of the Russian Federation and others. Tele2 expanded cooperation with Sberbank and EuroSibEnergo holding.

In the Moscow region the B2B-segment showed two-digit growth rates of indicators. The number of business subscribers increased by 3.5 times, and total sales – in one and a half. At the same time in the capital region of the most fast-growing there was a service of analytics of "Big Data": its sales increased by 11 times. The MNP balance at the end of 2018 was 10 to 1 that is the best indicator in the industry.

Opening of 68 collection points for unnecessary mobile phones in 11 cities of Russia

On December 11, 2019 Tele2 announced start of the large-scale operator ecological project. Its purpose – to explain to society importance of processing of old mobile phones and to induce clients to hand over them in utilization. Tele2 opened 68 collection points for unnecessary devices in 11 cities of Russia. All handed-over devices will go to the Chelyabinsk plant "Megapolisresource" – leading enterprise on processing of mobile electronics and batteries.

Tele2 "Melting" project

The Tele2 "Melting" project answers one of the main calls in the field of sustainable development of the planet – rational consumption and need of processing of electronic garbage. Though smartphones live in network of operators much longer than button devices, users update mobile phones more often than other electronics. Unnecessary devices are saved at home or go to a dump, aggravating a problem of electronic garbage. According to the Davos report, 8.7% of waste were the share of smartphones and other gadgets at the end of 2018.

Tele2 promotes the solution of a current problem of processing of electronic garbage. The company considers that controlled collecting of old smartphones and their utilization will considerably change a situation.

Polls show that most of Russians is ready to participate in ecological initiatives and to support model of sorting of waste. Tele2 explains to audience that mobile phones require utilization too, and induces to bring old devices for processing. Moscow, St. Petersburg, Tula, Smolensk, Vladimir, Ivanovo, Kaluga, Ryazan, Petrozavodsk, Chelyabinsk and Yekaterinburg already joined the project.

Non-systemic disposal of electronic garbage bears environmental risks as at a small share in solid waste 70% toxic are the share of it. The average smartphone consists of different types of plastic, iron and ceramics, contains copper and alloys, other metals and epoxy resins. At destruction of accumulators harmful chemicals get into the environment. The non-ferrous, precious and rare-earth metals which are contained in devices and also plastic it is possible to reuse.

Rostelecom will redeem 55% of Tele2 for 132 billion rubles

On November 13, 2019 Rostelecom disclosed details of purchase of Tele2. Consolidation will take place in three stages according to the results of which 55% of "T2 PTK of Holding" will be redeemed by the state operator for 132 billion rubles.

According to RBC with reference to the president of Rostelecom Mikhail Oseevsky, 100% of "T2 PTK of Holding" were estimated at 240 billion rubles. Consolidation will take place as follows:

  • Mobitel LLC ("subsidiary" of Rostelecom) will exchange 10% of shares of Rostelecom for 10% in "T2 PTK Holding";
  • Rostelecom will purchase 27.5% of Tele2 from VTB on the money received as a result of an additional issue. Transaction amount — VTB should become 66 billion rubles, the main share purchaser within an additional issue;
  • Rostelecom will buy in addition 17.5% in Tele2 for 42 billion rubles.

According to him, the consolidated platform will have no analogs in the Russian market on a set of digital services and solutions.

Rostelecom assures that payments significantly will not increase a debt of the company and will not influence accomplishment of dividend policy (assumes to pay to shareholders a year not less than 5 rubles on an action). By November 13, 2019 the level of debt to an indicator of OIBDA of Rostelecom is 1.9.

The size of a net debt "T2 PTK of Holding" is equal to 120 billion rubles, 17-18 billion more rubles, according to Oseevsky, it is necessary different obligations of the company.

It is expected that to the end of 2019 the subscriber base of "T2 PTK of Holding" can reach 44 million clients, the company will occupy 17% of the Russian mobile communications market. After the transaction of "Tele2 Russia" will remain the independent legal person, will save a brand and top management.[1]

Rostelecom consolidates 100% of Tele2 Russia

On November 13, 2019 PJSC Rostelecom announced the fact that the Board of Directors of the company approved the transaction on acquisition of 55% of shares of Tele2 LLC (Tele2 Russia). Consolidation will allow to strengthen positions in fast-growing mobile business and to create the leading fixed telecom operator integrated mobile and digital services in the Russian market.


Strategic objectives of the transaction

Acquisition of fast-growing and highly profitable mobile business

Tele2 Russia is the most fast-growing mobile player in the Russian market and the only thing in the country the mobile operator who managed to increase considerably a market share for the last three years — by 2 items to [2] The customer base of the operator makes 44 million [3], at the same time the company is the leader in [4] in the industry. Annual average growth rates of revenue of Tele2 Russia for 2016-2018 were 16% in comparison with the industry average value in 4%. For the last three years of Tele2 Russia increased number of base stations of LTE six times that allowed to come to the second place by their quantity among Russian mobile [5] The company is the leader of telecom market in the general speed of construction of network infrastructure. On number of base stations 2G/3G/4G Tele2 Russia takes the third position in the industry.

The enlarged company will be characterized by higher growth rates of revenue and OIBDA, indicators of profitability and generation of a free cash flow.

Implementation of considerable potential of the fixed and mobile assets

The transaction will allow the Rostelecom group to add the digital ecosystem with new convergent products that will promote consumption growth and income for the realization account of high opportunities of cross-sellings between segments.

One of key trends on telecom market is the offer the leading players of the convergent services combining possibilities of mobile and fixed connection. Experience of foreign players of the sector shows: subscribers of convergent services are not inclined to change of the operator and generate higher average revenue — it is more economic for operators.

Rostelecom, having the most developed fixed network and the subscriber base of Internet access, largest in the country, as a result of the transaction will get strategic competitive advantage and will become the only player in the Russian market, capable across the nation to offer uniform convergent service based on own optical network and mobile infrastructure of Tele2 Russia. It will become an important factor of further strengthening of a competitive position of the company and growth of a share both in mobile, and in fixed segments.

Implementation of potential of development of a 5G in Russia

In the light of the forthcoming deployment of networks of mobile communication of fifth generation, the transaction will allow to integrate the infrastructures of Rostelecom which are technology mutually supplementing each other (both trunk lines of communication, and the last mile) and Tele2 Russia and also examination and the best experience of two companies necessary for economically rational creation of mobile networks of the next generations.

In addition, use of technology infrastructure of Tele2 Russia will allow Rostelecom to optimize operating costs. In particular, for separate segments of clients and territories transition with fixed to wireless access that will allow to save on operation and development of networks significantly is possible.

Opportunities for implementation of synergies

As a result of the transaction the Rostelecom group will have sales opportunity of the synergies capable to provide creation of additional value for the company.

The transaction will strengthen opportunities for creation of new services, cross-sellings and batching and also promotion of convergent products that will allow to accelerate growth of revenue.

There is a powerful potential of reduction of operating costs due to increase in scale of activity, optimization of external expenses and business processes.


Structure of the transaction The transaction on acquisition of 55% of shares in Tele2 Russia consists of three parts:

  • acquisition of 10.0% of shares in Tele2 Russia by exchange for 10.0% of the ordinary shares of Rostelecom which are on balance of MOBITEL LLC — subsidiary company PJSC Rostelecom. The transaction happens on a cashless basis on the basis of the report of the independent appraiser; transaction amount is 24 billion rubles;
  • acquisition of 27.5% of shares in authorized capital of Tele2 Russia for the money attracted as a result of the additional issue of ordinary shares of PJSC Rostelecom placed on the closed subscription for benefit of PJSC VTB Bank at the price of 93.21 rubles for the ordinary share determined on the basis of the report of the independent appraiser; transaction amount is 66 billion rubles;
  • acquisition of 17.5% of shares in authorized capital of Tele2 Russia for money at the price determined on the basis of the report of the independent appraiser; transaction amount is 42 billion rubles.

Integration and management

After completion of the transaction Rostelecom plans:

  • leave Tele2 Russia independent legal entity and save its brand;
  • ensure functioning of joint integration committee which purpose will be a search and implementation of synergies with preserving of ambitious rates of development of Tele2 Russia in the next years;
  • save the management Tele2 Russia command and approve the new system of motivation for management;
  • update and provide the strategy of Rostelecom group during the first half of the year 2020.

An opportunity to be connected to Telemed service in Tele2 salons

On October 24, 2019 Tele2 reported that it suggests visitors of the salons to be connected through the whole country to Telemed service now – networks of remote medical care. Putin permitted Rostelecom to increase the share in Tele2 to 100%

The agreement with RGPU of A.I. Herzen for the purpose of holding actions in the fields of education and sciences

On September 24, 2019 Tele2 reported that it signed the agreement on long-term cooperation with the Russian state pedagogical university of A.I. Herzen (RGPU of A.I. Herzen). A main goal of partnership – implementation of joint projects, actions in the fields of education and sciences.

The agreement is signed by the director of the macroregion "Northwest" of Tele2 Sergey Timoshin and the vice rector for the innovation activity and information technologies of RGPU of A.I. Herzen Mikhail Puchkov. The document provides the organization of a number of the joint actions promoting successful training in relevant skills and adaptation of students to real market demands of work, consultation of representatives of Tele2 on creation of successful career and also practice and a training in the companies.

Resuming of issue of eSIM

According to the deputy minister communications Oleg Ivanov, Ministry of Telecom and Mass Communications permitted Tele2 operator to continue an experiment on issue eSIM. it became known on September 20, 2019.

According to him, Tele2 resolved the issues connected with security of use of eSIM and resumed issue of virtual SIM cards in several Moscow cellular shops. Can receive eSIM as the clients who in advance issued the preorder and new users. However the limited batch of virtual cards will be issued.

Tele2 began to issue to subscribers of eSIM in several Moscow salons since April 29, but next day suspended issue, explaining with the shortage of virtual SIM cards. On May 14 Tele2 at the request of the Ministry of Telecom and Mass Communications, "to permission of all questions concerning security", stopped issue of eSIM.

What problem with security of technology was in April, the Deputy Minister of Telecom and Mass Communications Ivanov refused to open. According to him, it was "the technical moment" on network of the operator who did not concern subscribers. For September, 2019 Tele2 corrected it, FSB checked and approved and therefore to the operator permitted to continue an experiment. The subscribers who received eSIM in April can use communication, in their relation all questions are also resolved with security, Ivanov assured.

The test algorithm completely provides identification of subscribers as receiving eSIM differs in nothing from receiving the physical SIM card, Ivanov says. The subscriber physically comes to cellular shop of the operator, shows the passport for identification and receives a packet with the code for scanning, he explains.

The next stage which will need to be implemented, – completely remote receiving eSIM. According to Ivanov, the Ministry of Telecom and Mass Communications has several options of identification of the identity of such subscribers: via the uniform portal of state services where it is possible to bind eSIM, or in departments of MFC where special cabins for identification of citizens will appear[6].

Growth of number of base stations of LTE in seven months for 34%

FAS: increase in prices for SMS mailings up to 80%

On August 21, 2019 it became known that the Arbitration court of Moscow satisfied the claim of MegaFon to the Federal Antimonopoly Service (FAS). A claim was submitted in connection with the FAS decision of May, 2019 in which the company was recognized as the violator of the antitrust law regarding value increase of SMS mailings and establishment of unequal conditions for the national and non-state banks. According to data of materials of FAS on the case of value increase of SMS mailings by the four of federal telecom operators, the largest growth of quotations occurred at MegaFon - up to 500%. Growth of number of base stations of LTE by 25% to 65,056

On June 20, 2019 it became known that T2 Mobile LLC (Tele2 brand) increased the number of the base stations (BS) of the LTE standard since the beginning of year by 25% up to 65,056 distribution zones. Now Tele2 lags behind PJSC MTS on 2.9 thousand BS LTE. Start of eSIM in Russia

On April 29, 2019 Tele2 company reported that it within "Other rules" of the first of "Big Four" implemented eSIM on the network. The Tele2 project on use of eSIM completely meets safety requirements and legislations of the Russian Federation in the field of communication services provision.

Tele2 of the first in Russia started eSIM

According to the company, Tele2 suggests both the clients, and subscribers of "the big three" to become the first users of eSIM. The operator brought technology into experienced and commercial operation, and for April, 2019 subscribers will be able to test the updated functionality on the devices. The solution eSIM improves quality of customer service, accelerates process of service and expands possibilities of subscriber devices for their owners. The technology allows to use the additional SIM card in devices with support of eSIM.

Tele2 implemented eSIM in two stages. At first the operator tested the "electronic" SIM card on an employee group. After successful tests the company suggested to try this high-tech solution to all clients of "Big Four" who have subscriber devices with support of eSIM. Within pilot start of Tele2 developed business processes of service and provided eSIM the salons in Moscow and area. The first "electronic" SIM cards already appeared in flagman salons of the operator. The complete list of the shops participating in the pilot will be available on website Tele2. In total the pilot project for April, 2018 will cover 88 monobrands which Tele2 selected on the basis of big data technologies. The company analyzed concentration of subscriber devices with support of eSIM near sales points and defined optimal for the pilot.

The company implements support of technology in strict accordance with requirements of the current legislation of the Russian Federation in the field of security. All clients wishing to become the first users of eSIM in Russia should address to Tele2 salon with the passport and receive the QR code, i.e. the "electronic" SIM card. The user through settings of the device selects the item "Add the SIM Card" and scans the QR code. The software of the smartphone adds a profile and registers the subscriber in Tele2 network. Afterwards the operator is going to expand possibilities of providing access to the QR code through a personal account of the subscriber and in other digital contact points.

Penalty on 250 thousand rubles for creation of a false impression of participation in FIFA

On April 10, 2019 it became known, FAS fined Tele2 250 thousand rubles for violation of the law about protection of the competition. The marketing campaign of the operator made an impression about his participation in a brand of FIFA and the FIFA World Cup of 2018.

The Federal Antimonopoly Service (FAS) of Russia imposed on Tele2 (T2 Mobile LLC) a penalty that the operator placed outdoor advertizing of "SPECIALLY FOR FANS" and also information on the official site on the Goal and Super Goal rates and about a series of the actions planned for fans.

FAS saw in actions of the operator creation at consumers of a false impression that the company is a sponsor of FIFA or is otherwise involved in holding actions of FIFA. The international federation of football associations did not sign with the company of the agreements granting the right to place similar information.

Rostelecom absorbs Tele2

Rostelecom will increase a share in Tele2 company from 45% to 100%, having redeemed shares from Tele2 Russia Holding AB which is owned by VTB and Alexey Mordashov's company Invintel B.V.

That Rostelecom agreed on conditions of consolidation of 100% of Tele2 operator, the president of the state operator Mikhail Oseevsky told, Vedomosti writes. According to him, now the parties discuss the technical moments of the transaction. Oseevsky also noted that revenue of the united company will make about 500 billion rubles. At the same time he emphasized that Tele2 will remain the independent company with the existing management.

According to the interlocutor of Vedomosti, Rostelecom could pay purchase of a share in Tele2 with quasitreasury shares. According to one of board members of Tele2, for the transaction with Rostelecom all is estimated by Tele2 at 240 billion rubles.

Readiness to be engaged in creation of a cellular network for socially important objects of Russia

Increase in number of base stations of LTE by 122.7%

On February 11, 2019 Tele2 reported that the second year in a row is in the lead on dynamics of construction of infrastructure of LTE. According to Roskomnadzor, the company increased the number of base stations of this standard more than twice – up to 49,647.

The owner of the second place showed a gain for 61.8%. On a total quantity of the distribution zone of the standard LTE Tele2 занимает the third position in the telecom industry.

In 2018 Tele2 implemented a number of large projects on development of LTE infrastructure. The operator completed the large-scale program for start of 4G networks in regions of Russia and provided services of the high-speed mobile Internet in all territory of presence. Besides, Tele2 covered with LTE network all stations of Moscow Metro and acted as the chief builder of cellular infrastructure at three of 12 World Cup 2018 stadiums. The operator provided with a qualitative indoor-covering large and difficult objects of the capital which total area exceeded one million sq.m. Among them there are the Central stadium "Dynamo", the Northwest tunnel, "IQ quarter" in "Moscow City" and Skoltech-2.

Based on the third quarter 2018 Tele2 investment volume into IT infrastructure and technology development of network was 4.4 billion rubles, having increased by 78.3% in comparison year-on-year. With significant growth in CAPEX in the third quarter Tele2 showed the net profit of 1.6 billion rubles.

Investing in technology development of network, the operator promotes increase in the NPS index (readiness of clients to recommend the operator to acquaintances and relatives). At the end of 2018 the company showed NPS in 44%, with a separation from the closest competitor in 15 items.

Start of tax monitoring

On December 25, 2018 Tele2 reported that it passes to tax online monitoring since January 1, 2019. The operator joins 43 companies which already implemented tax monitoring and jointly provide 12.25% of tax revenues in the federal budget.

Tax monitoring is a form of tax control. It replaces traditional checks with online interaction: a system provides remote access to information platforms of the taxpayer and his tax statements. Such method of providing data to tax administration allows to approve quickly approaches to taxation and to consult about the made and planned transactions.

This control system allows to check only those transactions which can potentially be risky. Also the format will allow to reduce the number of tax disputes and to increase the probability of pre-judicial settlement.

Within transition to tax monitoring of Tele2 Data mart – an account with remote access to data of the operator for the staff of tax administration implements a single platform. Representatives of inspectorate online will be able to browse tax statements and samples of primary documents of the company. In a personal account of Data mart the taxpayer will receive requests from regulatory authority for explanation of indicators of tax statements and to answer quickly them. Such format of interaction will help Tele2 to optimize costs for tax administration and to reduce amount of requests of regulatory authority.

Rostelecom intends to receive control over Tele2 - media

Rostelecom intends to increase a share in Tele2 in which it possesses 45%. In September, 2018 write Vedomosti with reference to the sources close to the operator and his shareholders about it. Mobile business will be important competitive advantage for Internet service provider, believe in media.

According to the edition, the federal provider is going to receive a control share or above. One of sources reported that to Rostelecom VTB can sell a part of shares. The operator can pay a packet with quasitreasury shares.

Growth of revenue by 16% to 123 billion rub

  • Revenue grew by 16.2% in comparison with 2016 and reached 123 billion rubles;

On September 5, 2017 Tele2 operator within the project on implementation of a new business model announced creation of the federal center of operational support of corporate sales and service. It works at two platforms in Irkutsk and Nizhny Novgorod and services all regional divisions of Tele2.

Market development of corporate services of Tele2 and increase in the customer base became a key factor for creation of competence center of B2B. The operator passes from regional structure to federalizovanny management model to optimize business processes in the market of corporate services and to provide the best return of investments.

The main objectives of competence center of B2B are support of macroregions of the company regarding the operational reporting and analytics and also carrying out financial and service transactions in a business segment. The forecast and analytics of key indicators of corporate business, implementation of financial transactions, control of receivables, work with customer complaints, execution of agreements and promotion of remote services and services belong to duties of specialists of the center.

The Tele2 and PPF Real Estate Russia company, the developer and management company of office park of the class A Comcity, announced signing of the long-term agreement on lease by the operator more than 13 thousand sq.m. The JLL company acted as the consultant of the transaction of lease.

The headquarters of Tele2 will be placed in office Comcity park. The operator consolidates the central and Moscow offices in one space. Relocation of the company is planned for the first half of the year 2018.

The number of corporate clients increased by 20% in a year

The number of business clients of the company increased by 20%, and the number of users of data transmission among B2B-subscribers grew by 30%. Increase in number of the large companies and state organizations among clients of the operator and also active development M2M- the directions became key drivers of growth Tele2 in a corporate segment. So, in 2016 the subscriber base of Tele2 in a segment of B2G grew by 56%, and number SIM- cards M2M − for 48%.

Only in the capital region the number of business subscribers of Tele2 grew up by 4 times year-on-year. Average daily voice traffic of corporate clients increased by 5 times, and Internet traffic − in 7. The number of business clients of the operator exceeds 10 thousand. As service provider of mobile communication of Tele2 from Moscow selected VTB bank, Bank Rossiya, Transcapitalbank, Maxima Telecom, "VTB the Arena the park", Cian, Ericsson, Sony Electronics, Konica Minolta and others.

In addition to increase in number of clients in the field of B2B, the operator continued to increase revenue from this direction. Income of Tele2 from data transmission grew almost by 40%, and sales of VAS services in a corporate segment − more than for 50%. Traditionally among business clients of Tele2 such services as Corporate automatic telephone exchange, Expense control, "Business SMS" and "Control of employees" are demanded.

Key events of year

  • Within a year the company implemented the HD-Voice technology in 3G networks allowing to enhance realness of voice transmission and to create feeling of real-life communication at users. Now the HD-Voice mode works in all networks Tele2 of third generation.
  • In February Tele2 began sales of the first branded smartphone – Tele2 Mini. In the second half of the year 2016 the market was entered by new models of the branded devices of the company – Tele2 Midi, Tele2 Midi LTE, Tele2 Maxi, Tele2 Maxi LTE. They also enjoy wide popularity among subscribers of the operator.
  • Tele2 continued start of 4G networks. Access to services of the mobile Internet of fourth generation was got by residents of the Voronezh, Irkutsk, Kemerovo, Nizhny Novgorod, Novosibirsk, Rostov, Sverdlovsk and Chelyabinsk regions, the Republics of Karelia and Krasnodar.
  • In May, 2016 Tele2 put into commercial operation the Russia's first LTE network at frequencies of 450 MHz in the Tver and Novgorod regions. Later LTE-450 network under the Skylink brand appeared in St. Petersburg and the Leningrad Region, in the Moscow region. The uniqueness of this technology consists in a qualitative covering and high data transfer rates even in the most remote corners that, undoubtedly, promotes elimination of digital inequality in the country.
  • In the fall of Tele2 celebrated the first year of work in Moscow and the Moscow region. During this time the company increased the number of base stations, expanded a coverage of network – services of the operator are available in the territory where 97% of the population of Moscow and area live. Besides, Tele2 was already three times recognized by the leader in data transfer rate in the capital region.
  • Support of subscribers was always one of the priority directions in work of Tele2. In October the company celebrated the 10 anniversary of start of uniform service of remote support of subscribers in Rostov-on-Don. For this period of Tele2 expanded contact center and opened new platforms in Chelyabinsk, Irkutsk and Saransk.

Tele2 stopped taking money for transfer of number, but pays extra for transition

Tele2 suggests subscribers of Primorye, Kamchatka, Sakhalin, Kolyma and JAO to pass free of charge into network of the company with preserving of former number and to receive a bonus – 300 rubles into the account of the mobile phone.

Tele2 provides to the new subscribers who came from other operators with the number, a bonus of 300 rubles into the account of the mobile phone within three months. The first 100 rubles will arrive in a month after transition, and in the next two months the subscriber will receive 100 rubles at replenishment of balance for the amount from 50 rubles.


Sberbank CIB called Tele2 entry in Moscow an error

Entry of the operator into the Moscow market damaged its profitability and increased a debt load, analysts consider. Shareholders of Tele2 are dissatisfied with how there are affairs, and can sell the shares, [8] told a source of Vedomosti[9][10].

Because of high expenses on marketing and low rates which were not bringing due income, the entry in Moscow damaged profitability of Tele2 and increased a debt load of the company, analysts consider. The total capital costs of the operator in 2015 grew three times — to 39 billion rubles, the share of capital costs concerning revenue jumped up to 41% from 15% in 2014, analysts of Sberbank CIB note. The debt relation to EBITDA in 2013 made 1.2, in 2015 — 4.4, and by the end of 2016 will grow to 6. v Tele2 result spends more than a half of EBITDA for service of percent on a debt now, it is emphasized in the report.

According to authors of the report, in the capital of Tele2 the fate of the niche player expects: according to operators of "the big three", only 0.7-0.8 million subscribers of Tele2 from the Moscow region contact their subscribers. Tele2 works in networks of standards 3G/ 4G which 40% of the Moscow subscribers cannot use, analysts note. Inflow of subscribers can also slow down increase in prices for the cheapest rate of the operator, they warn.

In the report of Sberbank CIB calls four possible scenarios for Tele2: continuation of investments into the Moscow market, merge to other operator, sale of the company to capital network of "the big three" and complete consolidation with Rostelecom which from shares of 45% is the largest shareholder of Tele2.

In addition to Rostelecom, "T2 PTK holding" (works under Tele2 brand) own VTB (a share — 27.5%), Bank Rossiya (22%) and the billionaire Alexey Mordashov (5.5%). Shareholders of Tele2 are dissatisfied with how there are affairs in Moscow, told Vedomosti two sources close to one of co-owners of the operator. One of sources did not exclude that VTB, Russia and Alexey Mordashov the shares can sell. The interlocutor close to VTB excluded sales opportunity: "it is the new growing company with the corresponding difficulties", he explained.

The representative of VTB called information on possible sale of the share untrue and noted that outputs of analysts of Sberbank CIB "are based on abstract reasonings, do not consider business realities and have speculative character". The representative of Rostelecom Valery Kostarev told that the company is happy with operational indicators of an entry of Tele2 in Moscow. Alexey Mordashov's representative refused comments, the Mikhaylov and Partners agency representing Bank Rossiya did not respond to the request.

AK&M confirmed Tele2 credit rating at the level of And +

The rating "And +" means that Tele2 has very high level of solvency. According to analysts AK&M, key factors of support of the assigned score became: preserving of steady market positions of federal mobile operator, efficiency of a business model of the company, positive dynamics of cash flows from primary activity and growth of a subscriber base.

As analysts note, Tele2 positions in the Russian market of mobile services continue to become stronger. After completion of integration of cellular assets of Rostelecom of Tele2 controls about 15% of a subscriber base in Russia and constantly increases a presence share on telecom market of the country. According to the results of the first quarter 2016 the number of subscribers of the operator made 38.4 million people, having increased by 3.4 million people year-on-year. According to the AC&M Consulting agency, in the fourth quarter 2015 of Tele2 provided 46% of net connections in Russia, and in the first quarter 2016 this indicator was 100%.

Analysts of AK&M rating agency also note stability of a pure cash flow (Net Cash Flow, NCF) from operating activities of Tele2. At the end of 2015 it increased by 5.2% year-on-year and made 18.7 billion rubles. In the first quarter 2016 this indicator grew by 74.9% in comparison with the same period of last year.

Tele2 and VimpelCom will integrate networks in 27 regions

VimpelCom and Tele2 agreed in the summer of 2016 about creation of joint network in several tens regions of Russia, follows from their agreement of intent which Vedomosti managed to study. Operators will share passive and active infrastructure (communication channels and a switching equipment) and also frequencies 2G, 3G and 4G (LTE) in 27 regions, including in the Irkutsk, Saratov, Tver regions, St. Petersburg and the Leningrad Region, Krasnodar Krai, said in the agreement under which there are signatures of CEO of VimpelCom of Mikhail Slobodin and Sergey Emdin's Tele2. Besides, the companies agreed about creation of the joint networks in eight regions – the Magadan, Ulyanovsk, Omsk, Astrakhan, Ryazan and Orenburg regions, on Kamchatka and in Mordovia, – but with the clause: as similar agreements with other operators act on these territories at VimpelCom, it should try to peredogovoritsya with them about the conclusion of tripartite agreements, with participation of Tele2[11].

Partnership of VimpelCom and Tele2 does not extend to Moscow and area, besides, it does not include the belonging Tele2 of the frequency of 450 MHz – until that does not build on them commercial network.

The agreement purpose – to reduce operating and capital expenditure of both companies: from now on they will divide maintenance expenses and upgrade of network. How essential can be economy, in the agreement does not make a reservation.

2015

The credit of 15 billion rubles on purchase of the foreign equipment

On December 28, 2015 it became known of opening in VTB of a new credit line for Tele2 for the purpose of purchase of foreign telecommunication equipment. This loan is not the first for the mobile operator.

According to Interfax the message of VTB, within long-term financing of import contracts bank Tele2 LLC (Tele2 operator) provides more than 15 billion rubles for a period of 6.5 years. This money will go for payment of deliveries and installation of telecommunication equipment, software, licenses and related services of communication.

Names of equipment suppliers and software with which Tele2 using a new credit line will cooperate are not called.

In May, 2015 Tele2 provided to VTB a loan for 97.5 million euros with a repayment period of 6.5 years for acquisition of the equipment of Nokia Networks. Then VTB opened a credit line of 131.5 million euros (till November, 2021) for financing of equipment procurement and software of Ericsson.

Being one of shareholders and the largest creditor of Tele2, VTB granted the operator several large loans. In April, 2014 the cellular company attracted two credit lines with a total amount of 33 billion rubles in bank. Besides, the soft loan on the mechanism of project financing for 16 billion rubles issued on construction of mobile networks in Moscow and the Moscow region was granted.

According to the reporting of Tele2, by the end of September, 2015 short-term obligations of the company make 72.9 billion rubles against 47.9 billion rubles at the beginning of January. Long-term obligations at the same time decreased for this period to 60.4 billion rubles from 75.3 billion rubles.[12]

8 thousand employees

About 8 thousand employees work for fall of 2015 in Tele2. The regular structure of the company was created as a result of accession of mobile assets of Rostelecom and their transfer to business processes of Tele2. According to the results of the second quarter 2015 4.3 thousand subscribers and 2.95 million rubles of revenue are the share of one employee. Thus, Tele2 shows the best indicators by efficiency in the market of cellular communication of Russia.

Start of Tele2 network in Moscow

Start of the Moscow network "T2 PTK of Holding", working under Tele2 brand, was planned for August 15, 2015. Date of an entry into the capital market of communication Tele2 was sounded[13] to Vedomosti of people, familiar with several managers of this company and one of the former partners of Tele2 confirmed. The representative of "T2 PTK of holding" Konstantin Prokshin did not confirm this information and did not disprove: the company does not open date of start in Moscow yet. Future rates were kept a secret also so far.

It was reported that the Moscow subscribers of Tele2 will be able not only to speak by phone, but also to use the mobile Internet in 3G networks and 4G of LTE, told the Prokshin newspaper. The network will cover not only the city, but also the Moscow region, contracts Tele2 will be on sale in its own salons which number on start will exceed 600 and also in shops "Video m", "Auchan" Svyaznoy, booths "AIF" and Rospechat, departments "Russian Post" – only about 10 thousand points.

Before starting network, Tele2 should put it in operation to Roskomnadzor. Until the network is handed over, the official, close to this department, reported the edition, but the operator actively sets base stations – them is registered about 2000. Earlier interlocutors of Vedomosti said that by the time of the Moscow start Tele2 will have 4000 working base stations.

Tele2 in Moscow (2015)

On October 19, 2015 Tele2 operator announced readiness of a distribution network in Moscow and the Moscow region to start of transactions[14].

Completing creation of own monobranded retail network, the operator signed sales agreements of SIM cards with federal and local partners. After start of Tele2 network in commercial operation, SIM cards of the operator will be on sale in 11 thousand points of Moscow and area. In anticipation of entry into the Moscow market the company established partnership with the largest national cellular retailers: agreements about Svyaznoy Group and Euroset on sale of sets of connection of Tele2 are signed.

In Moscow, as well as in other regions of presence, the operator will continue cooperation with Russian Post, retail networks "ARIA-AIF", "Eldorado" and other partners.

On October 14, 2015 Tele2 Pyaterochka (X5 Retail Group) in the Moscow region signed the agreement on cooperation with retail chain stores. SIM cards of the operator will appear approximately in one thousand shops of these retail chain stores in Moscow and the Moscow region.

The company reached the agreement with the Moscow network telecom retailers: Mobil Element Group and Art ex-Mobile. Corporate supermarkets of communication Tele2 located on the central streets of Moscow in the territory of the main transport hubs of the capital are ready to opening.

It was reported that on October 22, 2015 for inhabitants of the capital region of Tele2 will open more than 400 monobranded salons and trade modules. A sales point and service of subscribers of the operator will appear in popular shopping and entertainment centers of the capital among which there are European, Afimol, Okhotny Ryad, Metropolis, Capitol, RIO and others.

Tele2 cellular shops will appear in Mytishchi, Nut Zuev, Krasnogorsk, Vidnoye, Odintsovo, Reutov, Bronnitsy, Dmitrov, Domodedovo, Dubna, Volokolamsk, Elektrostal, Zelenograd, Sergiyev Posad, Korolyov, Zvenigorod, Pushkin, Troitsk, Nakhabin, Mozhaisk, Naro-Fominsk, Shchyolkovo, Balashikha, Khimki.

Igor Maystrenko, the sales director and to development of mass Tele2 segment, noted:

"For sales of sets of connection in the capital region of Tele2 created an effective distribution network which will harmoniously combine various sales channels. For such big city as Moscow very important that service centers of subscribers were within walking distance: it concerns not only monobranded retail, but also alternative sales channels. For this reason we paid much attention to high-quality planning of the address program of our points, selected the most significant and visited shopping centers, streets and transport hubs of the city".

2014

Increase in number of base stations by 15%

For 2014 "Tele2" increased the number of base stations of all standards by 15%, at the same time on consolidation of network 9%, and were the share of increase in a covering – only 3%. The main project of the company it is possible to call start of high-speed networks of the UMTS standard and LTE. In an area of coverage of 3G network there are 10 million potential subscribers, in an area of coverage 4G – one million.

Creation of new federal mobile operator is complete

Tele2, the alternative mobile operator, and Rostelecom, the national telecom operator, announced in August, 2014 closing of the second stage of the transaction on integration of mobile assets and legal completion of creation of new federal mobile operator.

Within closing of the second stage of the transaction Rostelecom entered 100% of stocks of RT-mobile Ltd which includes a broad set of cellular licenses 2G/3G and the federal 4G-license to the capital of the new federal mobile operator created based on Tele2.

During the first stage of the transaction on March 28, 2014 Tele2 were transferred seven subsidiary cellular companies of Rostelecom: Sky Link, "Nizhny Novgorod cellular communication", Baikalwestcom, "BIT", "Volgograd GSM", Eniseytelekom and "AKOS".

Shareholders of new federal mobile operator are the VTB Group, group of Bank Rossiya, SOGAZ insurance group and structures of Alexey Mordashov which possess 55%, and Rostelecom owning 45%.

After closing of the second stage of the transaction new federal mobile operator Tele2 began to render communication services in more than 60 regions of Russia, received license 2G/3G in all federal districts and the 4G-license for all territory of Russia.

At present Tele2 continues to transfer assets of Rostelecom on uniform business processes and to bring them into accord with the general organization structure. Within integration rebranding of the cellular companies is planned.

Election of Board of Directors, the head - Yury Solovyov

Shareholders of Tele2 (Tele2 LLC) made the decision on election of Board of Directors of the company in April, 2014. 11 people representing shareholders of Tele2 were a part of council. The Board of Directors of Tele2 was headed by Yury Solovyov, the first deputy president – the chairman of the board of VTB. Also at Board of Directors committees on strategy, capital investments, the personnel and remunerations and audit are created. Committees are urged to increase efficiency of activity of council due to profound study of the key questions submitted for its meetings.

Transition with 7 to 9 macroregions in 60 subjects of Russia

Federal mobile operator Tele2 renders communication services under Tele2 brand in total in more than 60 regions of Russia, with a subscriber base about 38 million people.

Due to the expansion of geography of activity of the company nine macroregions (MR) instead of seven existing earlier are formed.

The structure will allow to increase effective management of operating activities of Tele2 and the project of integration of cellular assets of Rostelecom.

In structure of Tele2 the new macroregion Moscow is created, and MR "Volga and Ural" is separated into two divisions – Volga and Ural. Besides, the macroregion Central Chernozem is renamed into Black Earth.

  • The macroregion Moscow includes Moscow and the Moscow region. Igor Zhizhikin who was earlier holding a position of the CEO of the macroregion Volga-Urals is appointed the CEO of the macroregion in March, 2014.

  • The macroregion Center includes 9 regions, including two new now. The CEO of the macroregion is Sergey Timoshin holding this position since 2011.

  • MR "Black Earth" include 9 regions, including two new. The CEO of the macroregion is Dmitry Sadykov, earlier the CEO of MR "Central Chernozem".

  • The macroregion South includes 12 regions now. 9 new regions were added to three regions of Tele2. The CEO of the macroregion Andrey Holodov holds this position since 2013.

  • MR "Northwest" include 11 regions. Since 2012 the macroregion is headed by Oleg Telyukov.

  • MR "Volga" is expanded from three to 10 regions. Ravil Haybulin, earlier commercial director of MR "Central Chernozem" became the CEO of MR.

  • MR "Ural" contains 9 regions. The vacancy of the head of the region remains open so far.

  • MR "Siberia" include 11 regions, including 7 new. The CEO of the macroregion Alexey Nozdrin works in this position since 2010.

  • MR "Far East" was complemented with 5 new regions, and now it includes 10 regions. The CEO of the macroregion Vladimir Osipenko holds a position since 2011.

2013

Consolidation of assets "Tele2 Rossiya" and Rostelecom

The Board of Directors of Rostelecom operator approved in December, 2013 consolidation of the cellular assets in joint venture with Tele2 Russia AB Holding company. As a result of this transaction it will be formed Tele2. At the same time, Rostelecom will enter to the capital of Tele2 the majority of the cellular assets and licenses whereas Tele2 Russia transfers to joint venture all the cellular assets in Russia. It is expected that the first stage of the transaction will be closed already in the first quarter 2014.

Within the transaction transfer of assets of this operator will be performed in two stages. At the first stage Rostelecom will transfer in Tele2 the independent mobile subsidiary companies and other assets, including Sky Link Ltd. Upon completion of the first stage Rostelecom will acquire 45% of the voting rights and 26% an economic share in Tele2.

During the second stage Rostelecom will select the integrated mobile assets in 100% affiliated enterprise – RT-mobile Ltd on which, as expected, licenses of Rostelecom for rendering services of cellular communication will be renewed (including the licenses LTE). Upon completion of selection Rostelecom will enter all stocks of RT-mobile Ltd to the capital of Tele2 and will bring the economic share in Tele2 to 45%.

Start of order taking from subscribers of other networks for change of number

In December, 2013 Tele2 began to accept requests from subscribers of other operators for transition to the network with preserving of number (MNP). As the operator who is acting for the benefit of subscribers Tele2 always supported the idea of canceling of "mobile slavery". The service of transfer of number gives to users big freedom when choosing the most suitable operator.

Transfer of the holding company in jurisdiction of Russia

In October, 2013 Tele2 announced transfer of the holding company under the Russian jurisdiction. Now all child structures of operator belong to T2 Rus Holding LLC. T2 Rus Holding LLC belonging to VTB Group controls regional legal entities Tele2 Russia. Earlier Tele2 Russia Holding AB (Sweden) which passed under control of VTB after acquisition of the Russian business at the Swedish Tele2 AB group in March, 2013 owned all operating companies.

Within change of jurisdiction all existing business of Tele2 Russia is saved in full, and the regional structure of group of changes did not undergo.

Obtaining license MVNO

In September Tele2 Russia obtained the federal license for work as the virtual mobile operator (MVNO, Mobile Virtual Network Operator). The license allows Tele2 to implement MVNO with any mobile operator and to render communication services using any technology available to possible partners, including 3G and 4G.

As Vladimir Putin's friends bought Tele2. Scheme

In September VTB for consolidation of the mobile operators belonging to Tele2 registered offshore T2 Netherlands in the Netherlands. In this offshore of structure of Bank of Russia - the offshores Invintel and ABR Investments which are also registered in Holland - purchased 40% and 10% of stocks respectively[15].

According to the statement from the register of Chamber of commerce of the Netherlands, available CNews, Invintel at the time of creation in September completely belonged to ABR Investments. That, in turn, completely belongs to the St. Petersburg investment company "Abros" - 100% of "subsidiary" of Bank of Russia which is also registered in St. Petersburg (see the scheme).

The consortium created by Bank Rossiya for purchase of Tele2 included also other investors. One of them — the owner of Severstal Alexey Mordashov. Names of other investors and also distribution of shares between them, are not disclosed. Judging by statements from the register, new investors received shares in offshore Invintel.

The authorized capital of T2 Netherlands is 2.4 billion euros. In September its Board of Directors included five people. After sale of a half of stocks of this offshore the Board of Directors was reduced to four persons, and it was left by the first deputy chairman of VTB Yury Solovyov. Now from VTB in council two persons. Also council included the Head of Department of the management reporting of Bank of Russia Alexander Pentya and the Dutch company Intertrust managing above-mentioned offshore Invintel (apparently, it is about the trustee).

Let's note that the chairman of the board of directors of Bank of Russia is Yury Kovalchuk. It and his brother, the director of Kurchatov Institute Mikhail Kovalchuk, are considered as old acquaintances of the president Vladimir Putin. In particular, in the 1990s Kovalchuki's brothers together with Putin were shareholders of the St. Petersburg country Ozero cooperative society.

The current President of Russia probably the was sign and with other co-owners of Bank of Russia. So, Nikolay Shamalov owning 10% of bank was a shareholder of Ozero cooperative society too, and Dmitry Gorelov who also possesses 10% was a partner of the Committee for External Relations of St. Petersburg headed by Putin. As for Alexey Mordashov (6%), he is an old partner of Bank of Russia. Mordashov is a shareholder of both the bank, and National Mediagruppy created by it. Yury Kovalchuk owns 30% of stocks of Bank of Russia.

VTB agreed to sell a half of "Tele2 Russia" to Bank Russia and to A. Mordashov

VTB agreed to sell 50% of shares of mobile operator "Tele2 Russia" to three Russian investors for more than 1.8 billion dollars, the first deputy president of VTB Yury Solovyov in an interview of The Wall Street Journal told. Affiliated enterprises of Bank Rossiya of Yury Kovalchuk and the company belonging to the owner of Severstal Alexey Mordashov will become buyers of a share, he specified. The third buyer was not called.

Successful tests of LTE in the range of 1800 MHz

In the summer of 2013 of Tele2 together with Scientific Research Institute Radio successfully tested the second a series of LTE technology in the range of 1800 MHz in the operating network of the operator in the Kaluga region. Tests proved: work of LTE networks at frequencies of 1800 MHz in Russia is possible and does not lead to decline in quality in GSM networks.

The network of the operator covers 11 thousand highways of federal importance - it is 94% of the key trunks passing across the license territory of Tele2. In 2013 Tele2 activated the TFO function (Tandem Free Operation) in 37 of 42 regions of action of network of the operator in Russia. Function allowed to improve considerably transmission quality of the speech at a talk in network.

Merger of Voronezh Kodotel

In June, 2013, for the first time for several years, the company performed the transaction on absorption of the regional player – Voronezh Kodotel. The transaction confirmed intentions of Tele2 on further business development, value increase, consolidation of positions in the available regions and to an exit in new.

A1 is going to dispute sale to VTB company since it is ready to pay more

On March 28, 2013 the investment division of Alfa Group - A1 company - expressed the intention to dispute the transaction of VTB on acquisition of Tele2 Russia and the readiness to offer for the company up to $4 billion cash without use of debt financing.

It is said in the statement distributed by the company that it conducted negotiations on purchase of Tele2 Russia within a year. According to the company, the price offered VTB for Tele2 Russia - below market, and this transaction contradicts the interests of shareholders of Tele2.

Evening of the same day the statement for readiness to jointly purchase the Russian business of Tele2 for $4.0-4.25 billion, including $1.15 billion a net debt of the company, MTS and VimpelCom made.

The bonus level for shareholders of Tele2 AB can make up to 30% in comparison with the price offered before VTB, says operators. They sent the letter with the relevant proposal to management and Board of Directors of Tele2.

"We came to a conclusion that potential joint acquisition is implementable and, working together, we will be able to get necessary regulatory approvals in each market corresponding regional according to practice of the Federal Antimonopoly Service (FAS)", said in a joint statement of operators.

VTB buys Tele2 Russia

The Tele2 AB group made in the spring of 2013 the decision on sale of the Russian division to VTB Group, says the company. The structure of the transaction assumes payment of money in the amount of $2.4 billion for the share capital of the company and the redemption of a net debt Tele2 Russia which is $1.15 billion.

Transaction amount is equivalent to the multiplicator EV/EBITDA 4.9 by results for 2012. It is going to close the deal in the nearest future.

Tele2 thought of sale of the Russian business

As RBC daily knew, local "subsidiary" of the Swedish operator Tele2 will be sold if the company does not manage to receive frequencies for development on the communication networks of fourth generation. The potential buyer is already found: held preliminary consultations on this question Tele2 with Rostelecom.

Shareholders of the Russian Tele2 should decide destiny of this asset in the nearest future, told RBC daily three managers in the large telecom companies and the director of one of investment funds confirmed. According to them, Swedes seriously consider the possibility "profitable to sell" business in Russia if the company so will not manage to obtain licenses for development of standard 4G in the local market.

"Chances that Tele2 will allow to develop data transmission at already available frequencies, frankly speaking, are too small. The market of voice services stagnates. And management of the company in private conversations with representatives of the different companies sounded a thought that for lack of a frequency resource business of the company can become unprofitable by 2015 more than once" — one of interlocutors of RBC daily says.

Tele2 held negotiations with Rostelecom, but they had preliminary character, tell RBC daily sources. According to one of them, assessment of the company at the level of 3.4 — 3.7 billion dollars appeared in negotiations. "It is the price of the seller, Rostelecom of due diligence did not carry out" — the interlocutor close to the state operator claims. Earlier Tele2 estimated the business proceeding from multiplicator 8 EBITDA, or a little more than 5 billion dollars, knows other source. But, he says, now Swedes are ready to make considerable concessions.

"The asset can interest in MTS and MegaFon. For it fight will be conducted" — the top manager of one of operators is sure. He says that the Swedish shareholders for the present have no accurate position on sale, they only "study" this option on "an extreme case". "The clarity will come in several months" — he says.

Tele2 declared officially that information on possible sale to the company and the negotiations on sale which are allegedly taking place which is contained in article "Tele2, give two" of the RBC daily newspaper (No. 87 of May 15, 2012) completely is not true.

The source close to the company says that "consolidation is inevitable, but it is not a question of the near-term outlook". Rostelecom refused comments.

The number of subscribers of Tele2 in Russia exceeds 20 million people. The company has licenses for rendering services in standard 2G in 37 Russian regions. According to AC&M Consulting, on the end of the year of Tele2 was the fourth mobile operator on number of subscribers in Russia.

Consolidation of the cellular assets under control of Svyazinvest (are at the moment controlled by Rostelecom), was discussed with any of regional players in the period of the adoption of strategy of holding before reorganization. Tele2 company also appeared in the project of strategy (and together with it and other large regional player — Motive). But then the Swedish company was not ready to leave an asset, and Svyazinvest had to refuse this idea.

Nevertheless Tele2, it seems, does not lose hope that independence will be possible to save the companies, having had an opportunity to provide data services on the latest technology. Dmitry Strashnov, the head of the company in Russia, yesterday on the sidelines of the Svyazyekspokom exhibition reported to RBC daily that Tele2, despite adverse conditions of the tenders LTE, intends to participate in them. Besides, he noted, the company hopes for adoption of the principle of technology neutrality. "We tested compatibility of two standards, 4G and 2G, at some frequencies. We are sure that technically nothing interferes with that such principle was accepted" — Mr. Strashnov says.

Assessment at the level of 3.4 — 3.7 billion dollars is quite fair, the analyst of Gazprombank Anna Kurbatova considers. "The multiplicator, thus, makes about 5.6 to EBITDA. Operators of "the big three" bargain with the multiplicator at the level of 4.3 — 4.5. It is a normal difference as the cost of the public companies during transactions is slightly higher than market. Besides, if to compare the cost of one subscriber, say, to the same indicator at MTS, quite fair price turns out — for the subscriber Tele2 against 179 dollars have 165 dollars at MTS" — Mrs. Kurbatova says.

Results of technical development of Tele2 Russia network

The company increased number of base stations by 14% that allowed to expand the area of a covering of network and to improve communication quality. In a year Tele2 network covered new territories in which more than 1.8 million people live.

Start of GSM network in the Far East of Russia became the central event of 2012. In the fall the company began to work in the Sakhalin and Magadan regions, Kamchatka Krai and the Jewish Autonomous Region. Now services of the operator are available to inhabitants of 41 regions of Russia from Kaliningrad to Kamchatka. Expansion of a radio covering of key highways of Russia became the important direction of technology development Tele2 in 2012. Large-scale works on improvement of communication quality were carried out on routes: MoscowSt. Petersburg (M10 Russia), Moscow – Riga (M9 Baltic); Moscow – Nizhny Novgorod (M7 Volga).

At the end of year Tele2 network covered 164 thousand km of roads of regional and intermunicipal value and also bolee10 thousands of km of key federal highways. The covering of the highways passing across the license territory of Tele2 Russia made 86%. In addition to development of network infrastructure on automobile routes, the covering along a railway track Moscow - St. Petersburg was expanded.

Within a year of work on increase in capacity of network were carried out in all regions of presence of Tele2 Russia. So, services of the operator became available more than 98% of the population of St. Petersburg and the Leningrad Region. The company increased communication quality in buildings in the central regions of the Northern Capital and in the remote residential arrays. Communication of Tele2 appeared at the Obvodny Canal metro station.

Tele2 improved communication quality and expanded an area of coverage of network in popular vacation spots of Russians, including on the Lake Seliger and on the coast of the Black Sea. The operator carried out works on increase in a covering of Olympic venues, special attention was paid to communication quality in the territory of the city of Sochi. Besides, the company completed the technical actions aimed at providing with communication Tele2 of the last region of the Rostov region.

Mobile building of Tele2 affected not only the large regional centers, but also remote settlements where existence of mobile communication has important social value. So, Tele2 network appeared in villages Karay-Saltykovo, the 1st Left Lamki and the settlement State-farm the Tambov region in which earlier mobile communication completely was absent. Also works on improvement of communication quality were carried out in sparsely populated districts of the Vologda, Kemerovo, Kostroma, Pskov, Chelyabinsk regions and the Republics of Udmurtia.

Continuation of expansion of network in Russia

In November, 2011 Tele2 continued to expand a coverage and to improve communication quality in all regions of presence in Russia. For September and October, 2011 of Tele2 Russia built more than 200 new base stations and in addition provided with communication about 300 localities. Capacity of network in the territory of Krasnodar Krai was increased. Additional base stations in Krasnodar, Sochi, Novorossiysk, Armavir and Kropotkin are started. In the Omsk region objects of network infrastructure in territories of Tarsky, New Warsaw, Azov and Pavlohrad districts are constructed. In September – October the communication quality was improved and the coverage in 11 areas of the Rostov region is increased. The signal of Tele2 mobile network appeared in 17 localities of the Novosibirsk region. In the territory of the Tver region the covering of federal trunk highway M-9 is improved. Technical service Tele2 carried out large-scale works on expansion of a coverage and improvement of communication quality in the Glazov, Vavozhsky and Debessky districts of the Udmurt Republic. The signal of network appeared in the localities Vodzimonye, Zyambaygurt, Kakmozh, Kvashur, Bolshaya Mozhga of Vavozhsky district and Parzi, Chebershur, Yagoshur of the Glazov district. New objects of network infrastructure allowed to improve communication quality and to broaden the territory of a covering in the Leningrad Region. Base stations were built in the Vyborg, Lodeynoye Pole, Priozersk, Tikhvin, Volosovo, Luga, Lomonosov districts of area. Thanks to active work on increase in a coverage, more than 15 thousand residents of the remote rural Areas of Komi Republic can use network of high-quality and inexpensive mobile communication.

Meeting of the Minister of Communications I. Shchegolev with the board member of Tele2

At the beginning of April, 2011 the meeting of the Minister of Communications of the Russian Federation Igor Shchegolev with the CEO of Investment AB Kinnevik (owns 47.5% of voting shares of Tele2) and the board member of Tele2 Mia Brunell Livfors took place. The meeting took place last week in Stockholm where there took place the session of the Russian-Swedish supervising committee on trade and economic cooperation. The Swedish side was an initiator.

Shchegolev and Brunell Livfors discussed many issues including a possibility of creation in Russia of 4G networks. For Tele2 it is a burning question, for several years Russia turned for Swedes into the major market. In 2010 it provided more than 50% of all subscribers of group and about 35% of the consolidated indicator of EBITDA. Meanwhile all attempts of Tele2 to receive frequencies for creation in Russia 4G networks based on LTE technology still remained unsuccessful.

The Swedish company did not get to consortium which the State commission on radio frequencies (SCRF) in December, 2010 charged to create to state Rostelecom for studying of a situation with frequencies, suitable for LTE, and for development of conditions of tenders on these frequencies (now most of them are busy by military). SCRF permitted to participate in this work to the Russian operators of the cellular "big three" — to MTS, VimpelCom and MegaFon. But it is difficult to provide that the Swedish Tele2 will be able to get access to a strategic frequency resource, Shchegolev said in January, 2011 to journalists.

Tele2 nevertheless decided to fight. In February, 2011 the president of Tele2 Russia Dmitry Strashnov sent Shchegolev the letter with a request to include in consortium and the Swedish company. There is no answer yet, Strashnov told Vedomosti[16]. The decision on participation of Tele2 in consortium should be made jointly and with participation of the regulator, the representative of VimpelCom Anna Aybasheva considers. However, the consortium so still is also not created — lawyers still discuss its charter, the manager of other company — participants of consolidation adds.

Tele2 was excluded also from other large agreement. At the beginning of March, 2011 operators of "the big three" and Rostelecom agreed with WiMax- the operator "Skartel" (Yota brand) about use of LTE network which this company will build at the frequencies which are available for it. In addition four operators were received by the purchase options on 20% of the shares "Skartela" in 2014.

The meeting with Shchegolev did not yield to Swedes special results, the Russian partner of Tele2 claims. At a meeting with Brunell Livfors the minister let know that all questions connected with selection of frequencies for Tele2, creation of networks and their use need to be solved "within and the procedures set by the Russian legislation", Lashkina says.

The floor layout plan of bonds for 30 billion rub ($1 billion) in Russia

On March 30, 2011 it became known that Tele2 Russia Holding AB decided that JSC St. Petersburg telecom under control of it should place seven issues of ten-year bonds with a total amount of 30 billion rubles ($1.06 billion at the rate of the Central Bank for March 30)[17].

The raised funds will go for financing of corporate needs and for further development of Tele2 group, the president of Tele2 Russia Dmitry Strashnov said to Vedomosti. But in Russia this year the company intends to invest three times less — 2 billion Swedish kronur (about $310 million), said in the report of Tele2 for 2010. Usually money for investments in Russia is borrowed in the West, but Tele2 decided to arrive unconventionally — to occupy in Russia on development, including the foreign companies of group, Strashnov says. Russia has the largest potential among Tele2 markets and "we considered that this correct and beautiful solution", he added. He refused any other parts.

In total in Russia Tele2 invested more than $2 billion since 2003 in construction of networks. Now there is an inverse process. Tele2 is going to replace the intra group credits with external loans, tells a source, close to participants of placement of bonds. The financial debt most "St. Petersburg of a telecom" for the end of 2009 according to SPARK-Interfax made only 886 million rubles (about $29.3 million).

For the beginning of 2010 at "St. Petersburg of a telecom" there were only 3.9 billion rubles ($129 million) of assets, revenue for 2009 made 5.24 billion rubles ($173 million), net profit — 845 million rubles ($28 million). With such indicators for a loan of 30 billion rubles of the company most likely it is necessary to find guarantors, the analyst of Veles Capital Ivan Manayenko considers. And hardly the Swedish shareholder can become the guarantor, he says, but several other companies of holding can be charged. In the Russian market it already happened, but it reduces quality of the borrower in the opinion of creditors, Manayenko warns. The source close to Tele2 confirmed: guarantees will be.

Anyway Tele2 should disclose more information on Russian "subsidiaries" to place bonds with the profitability comparable with papers of the competing companies — VimpelCom and MTS which for investors are more clear. Now similar bond issues of MTS and VimpelCom bargain with profitability about 7% per annum.

However, perhaps, Tele2 already have arrangements with someone from banks and bonds - it are just the form substituting crediting, Manayenko assumes. Then problems with placement at the company will hardly arise.

Neocorp demands through court from Tele2 to redeem Orvell company

In March, 2011 it became known that Neocorp Inc. owning telecommunication assets in the CIS countries submitted a claim against Tele2 to arbitration at the Stockholm chamber of commerce[18]. The claim was registered, trial dates were set for November, 2011, according to arbitration.

Neocorp requires that Tele2 performed the agreement on the redemption at it of the Orvell company owning 100% of Construction Management of Mobile Communication (CMMC) LLC for $38 million. The agreement was signed in the spring of 2007 in the run-up to the auctions for GSM frequencies at which Tele2 won licenses for 17 regions, having actually doubled the presence in Russia: now the company works in 37 regions. According to the representative of Neocorp, Tele2 asked it to help with planning of networks and preparation of platforms for their construction. Under the terms of tenders the quicker the operator promised to start network, the his chances of a victory therefore the Swedish company needed to get such support were higher. According to the agreement SMUPS undertook to submit reports on a configuration of network, priorities of its development and also to analyze the market in all competitive regions. And Tele2, in turn, had to redeem no later than March 31, 2008 Orvell from Neocorp. But Tele2 refused to pay, he says.

Even before completion of the transaction of Neocorp transferred Tele2 all documents to SMUPS, the representative of Neocorp claims. Then the group of the people who are the staff of the Russian representative office of Tele2, including the management, caused economic damage to SMUPS on 356.8 million rubles, said in the letter of the CEO of SMUPS Vyacheslav Chukanov which at the beginning of March, 2011 was sent addressed to the Minister of Telecom and Mass Communications Igor Shchegolev.

Chukanov refers to the audit report of YuVK Audit company of October 20, 2008 according to which SMUPS, in particular, carried out several transactions with "daughters" of Tele2 with a considerable loss for itself.

Upon causing damage the investigation department of the ATC of the Southern federal district of Moscow brought criminal case under the article "Fraud", said in Chukanov's letter. It was confirmed by a source in law enforcement agencies. But, according to him, now case is suspended because of impossibility to set guilty persons.

Against employees of Tele2 of any formal criminal cases it was not initiated, the chief legal adviser of Tele2 Bengtsson emphasized.

2010: Dealer agreement with Euroset

On August 3, 2010 it became known that Tele2 and Euroset signed the new dealer agreement. Still between the companies local agreements with the conditions worked in each region. Now the agreement uniform, termless also concerns all 34 regions of presence of Tele2. The new sales plan, according to Smirnova, provides increase in monthly volume of connections to Tele2 by 40% in comparison with an indicator of 2009. If so, then for a year of Euroset it is necessary to sell not less than 420,000 Tele2 SIM cards.

Euroset sold for 2009 about 12 million SIM cards from which it was the share of Tele2, according to Alexander Malis, 2.5%, i.e. about 300,000.

Partners do not open commercial conditions of the new agreement, noticing only that amount of remuneration which Tele2 will begin to pay the retailer, will be not much smaller, than payments of MegaFon and VimpelCom (according to these operators, in 2009 each subscriber attracted through Euroset cost them $24.2 including VAT). The difference in the commissions of Tele2 and VimpelCom with MegaFon will be proportional to a difference in sizes of average accounts of their subscribers (ARPU), reported the source close to one of the parties of negotiations. At VimpelCom and MegaFon the sizes of the Russian ARPU were in the I quarter 2010 307.7 rub and 295 rub a month respectively, at Tele2 — 206 rub a month (30-33% less). Proceeding from these calculations of Tele2 should pay Euroset $16-17 for the subscriber. But in practice it is more than $20, the manager close to other party of negotiations claims: ARPU of new subscribers of Tele2 is higher, and the permanent part of remuneration (about $10 from each subscriber) at all operators is identical.

Tele2 actively takes subscribers herself also, the partner AC&M-Consulting Anton Pogrebinsky notes. But mobile communications market becomes more and more saturated and it is harder and harder to entice subscribers at other companies, he explains. In addition for the last year Tele2 began transactions in 20 new regions and Euroset can help the operator to occupy quicker a share in local markets, Pogrebinsky says.
