History

2019: Global Payments purchased Total Systems Services  for $21.5 billion

On May 28, 2019 Global Payments announced acquisition of Total Systems Services company  for $21.5 billion. The buyer will pay the transaction by means of the actions.

Total Systems Services is estimated at $119.86 that is 20.3% more than a quotation rate to closing of the exchange on May 23, 2019 when in the press the first rumors about possible sale to the company appeared.

The owner of the processing company, largest in Russia, announced merge for $21.5 billion

After the official declaration of it securities of Total System rose in price approximately for 3% up to $117, and the quotations of Global Payments dropped by 1%.

The united company which will appear as a result of merge of Global Payments and Total Systems will get the name Global Payments and Board of Directors consisting of 12 members (on 6 members from each company).

The head of Global Payments Jeff Sloan will become the CEO of the consolidated company, and CEO Total Systems Troy Woods — the chairman of the board. It is going to close the transaction in the fourth quarter 2019.

Global Payments will possess a 52 percent share in the new company, and to shareholders of Total Systems — 48 percent.  It is supposed that market capitalization of the joint Global Payments will be measured by $40 billion, annual revenues — about $8 billion, number of staff — 24 thousand people.

In Russia Global Payments is provided by "United Card Service" of UCS (United Card Service) - the independent processing company, largest in the country.

Merge of Global Payments and Total System became the third megatransaction in the market of financial technologies. So, in January it was announced consolidation of the American financial technical-services of the supplier of Fiserv and First Data for $39 billion, in March Fidelity National Information Services  purchased  for $43 billion the British payment operator Worldpay.

According to forecasts of consulting company McKinsey, the amount of the global payment market will reach $3 trillion by 2023 thanks to the fact that the organizations and consumers even more often use electronic payments instead of cash.^[1]

2006

In 2006 when the TSYS company purchased Card Tech Limited (CTL), the global supplier of the license products PRIME (Card Management System) and by that, got all accumulated experience and the record of service which the company gained in all regions of the world, since 1989.

The CTL company provided the innovation systems and the platform in which experience of the fact that on systems and solutions of the company the international card was for the first time issued is realized and there began the development acquiring business in the former Soviet Union.
