The French Vivendi SA media group approved merge of telecommunication division of Societe Francaise de Radiotelephonie (SFR) to an operating company of cable television of Numericable — it is said [1] in the statement of Vivendi[1].
Under the terms of the agreement of Vivendi will receive 13.5 billion euros at completion of the transaction with a possibility of additional payment in the amount of 750 million euros on condition of profit earning by the united company. It is noted that Vivendi share in the united company will make 20%, and the Luxembourg holding Altice, Numericable parent company — 60%, another 20% of stocks will be in free circulation. Vivendi reserved sales opportunity of the share in the future. In that case the total amount of the transaction is estimated at 17 billion euros.
'After long discussions, the control commission unanimously decided to select the offer of Altice/Numericable which assumes the bigger potential of growth, improvement of services for clients and also arrived for employees and shareholders and also most answers Vivendi purpose', the statement says.
