2015: Detention by law enforcement agencies

On July 1, 2015, law enforcement agencies detained Leonid Borisovich Melamed, General Director of Composit Holding Company CJSC. In relation to L.B. Melamed, suspicion was put forward of committing a crime under Part 4 of Article 160 of the Criminal Code of the Russian Federation. A search was carried out in the office of HC Composite.

In accordance with the information available to us, the suspicion concerns the circumstances of the agreement between RUSNANOTECH Group of Companies and Alemar Investment Corporation CJSC, as a result of which, according to the investigation, the corporation's funds were stolen.

The agreement between RUSNANOTECH Group of Companies and Alemar Investment Corporation CJSC was concluded in 24.12.2008 following an open tender in which 5 companies took part.

The involvement of a consultant was due to the fact that from the beginning of the formation of the corporation in 2007 to September 2008, 650 applications were received for co-financing projects in the field of nanotechnology. It was necessary in a short time to move to the selection, approval of applications and start investing the funds of the state corporation in specific projects.

The competition was aimed at choosing an independent consultant to finalize applications for co-financing projects in the field of nanotechnology, including their financial, legal and technological expertise.

The winner in accordance with the legislation and corporate regulations of RUSNANOTECH Group of Companies was CJSC IFK Alemar. The Corporation's board approved the deal.

Leonid Melamed did not work at the Rusnanotech Group of Companies by the time the competition was announced. LB Melamed was dismissed from the post of General Director of RUSNANOTECH Group of Companies in 22.09.2008.

According to RUSNANO, all persons involved in the procedures for holding the tender and signing the contract, including A.B. Malyshev, First Deputy Management Board of RUSNANOTECH Group of Companies, and S.V. Ponurov, Financial Director of Rosnanotech Group of Companies, acted strictly within their official powers and in accordance with the Legislation of the Russian Federation.

RUSNANO has no reason to believe that any material damage was caused as a result of this agreement.
