2024: Change of Ownership
On December 2, 2024, it became known about the change in the ownership structure of Nevskaya Pipeline Company LLC (NTK), located in the Leningrad Region, and its largest shareholder, Toling LLC. According to data from the Unified State Register of Legal Entities (USRUL), the changes occurred on November 27, 2024.
According to Interfax, 32% of the authorized capital of NTK, previously owned by Toling LLC, was transferred to the Capella Alternative Fund III combined closed-end mutual investment fund (ZPIF). At the same time, Toling LLC acquired 99.99% of its own authorized capital from the specified fund, which created a looped ownership structure. Until September 26, 2024, 100% of Toling LLC was owned by Andrei Bokarev.
The owners of theCurrently (December 2024), the shareholders of NTK are Transneft, which owns 32% of the authorized capital, Gazprombank (through Zhuravskoye Holding LLC, which controls 24%), as well as two funds - Capella Alternative Fund I and Capella Alternative Fund III. The funds are managed by the Moscow company Capella Investment Management JSC.
Nevskaya Pipeline Company LLC owns and operates an oil transshipment terminal in the Ust-Luga commercial seaport, which is the terminus of the Baltic Pipeline System-2 (BTS-2). The system operator is Transneft.
In addition to the company itself, the shareholders of Toling LLC include Maya Investment Corp., registered in St. Petersburg, with a share of 0.0001% of the authorized capital.[1]
