Disclosed sale price of 51% of Citeck to Softline group - 448 million rubles

On August 20, 2024, the details of the transaction on the acquisition by Softline of the open source software developer Citeck (Sitek LLC) became known. It is said that for a share of 51%, the buyer paid 448 million rubles.

According to Interfax, referring to the financial statements of PJSC Softline (the head structure of Softline Group of Companies), in the total amount of the transaction 239 million rubles falls on a short-term deferred remuneration. The remaining 209 million rubles is a long-term contingent remuneration. In addition, Softline Group of Companies entered into agreements on call options and put options for the remaining 49% stake in Citeck's authorized capital.

It is noted that as part of the deal, Citeck founder Anton Ivanov retained 29.4% in the company, and another 19.6% belongs to Ilya Kaygorodov. If options are exercised, these assets will be transferred to the disposal of Softline Group of Companies.

In addition to Citeck, in the first half of 2024, Softline Group of companies entered into mergers and acquisitions (M&A) agreements totaling 1.18 billion rubles. For certain transactions, payment will be made in part in cash and group shares. At the end of June 2024, Softline Group of companies its intention to carry out a number of M&A transactions with high-tech companies as part of its development strategy, including the active consolidation of the Russian IT market. To this end, the Board of Directors approved an additional issue of PJSC Softline shares in the amount of up to 76,002,000 shares with an open subscription placement and a prospectus of securities of this issue.

SL Soft's 51% Citeck acquisition

The company's product portfolio SL Soft (part of the Group of Companies) Softline has been replenished with a domestic open source BPM platform. According to the Unified State Register of Legal Entities, from May 30, 2024, SL Soft LLC became the owner of a 51% stake in the authorized capital of Sitek LLC.
