2022: Lukoil bought ESA

March 24, 2022 it became known about the sale of the fuel company "ESA" to Lukoil. Relevant information appeared in the SPARK-Interfax system. The transaction amount is not disclosed.

Also, Lukoil was transferred by ESA-Processing, a company specializing in the trade in solid, liquid and gaseous fuel. ESA-Processing is a structural division of the ESA fuel company and operates a processing center that allows you to organize non-cash payments for fuel for legal entities on plastic fuel cards and liter stamps.

The Federal Antimonopoly Service (FAS) confirmed to RBC that it approved LUKOIL's request to acquire TK ESA LLC, but at the same time ordered the company to comply with several conditions:

  • do not increase the cost of petroleum products at gas stations in Krasnogorsk "without economically justified reasons";
  • Lukoil should sell not only premium fuel at gas stations, but also basic fuel, as this will expand the choice for consumers of the gasoline and diesel fuel brand;
  • Lukoil will have to regularly sell oil products on the exchange, but not buy them on exchange trading from other oil companies or subsidiaries.

These requirements will provide consumers with the necessary volumes of fuel, according to the FAS. If Lukoil does not comply with the requirements of the FAS, the regulator can, through the court, invalidate the transaction.

By March 2022, ESA owns more than 100 gas stations and car washes in Moscow and the Moscow Region. The network also includes several electric car charging stations. Lukoil has more than 200 fuel stations in the Russian capital and Moscow region.[1]
