Maxima acquired control at G-Em-C-Es-Verex

On October 5, 2023, the Maxim group announced the purchase of 60% of GMCS. The press service of the Maxim Group of Companies clarified to CNews that a stake in the legal entity GMCS - G-Em-Si-Es-Verex LLC was acquired. The deal participants expect that it will expand the range of domestic IT solutions. According to Vedomosti, the package was acquired by Investmir JSC (according to SPARK-Interfax, the company belongs to Russian citizens, the JSC previously acted as a co-owner of Maxima Telecom LLC), this share previously belonged to ZPIF. Another 29% of GMCS remained with the general director Ekaterina Voropaeva, 11% with Ilya Drozman. According to the publication, the value of the transaction could reach 4.5 billion rubles.

Maxima announced the purchase of 60% of GMCS

2018

Transfer to Sovcombank

In October 2018, GMCS, a company engaged in the implementation of business solutions and software development, left Maykor and joined the Sovcombank group, told TAdviser in GMCS. Information about the transaction is reflected in the report of Sovcombank for the 4th quarter of 2018. It states that in August 2018, the bank acquired a 100% stake in G-Em-Si-Es Management (GMCS Management) from the Cyprus-based company G-G. Um. Xi. Es. Limited. "

The transaction amount amounted to 500 million rubles, and the main reason for the acquisition of Sovcombank in the quarterly report is the strengthening of the bank's IT team.

Through G-Em-Cs-Es Management, bought by Sovcombank, Maykor owned 65% of G-Em-Cs-Es Verex (GMCS Verex), a developer of the Verex platform for automating enterprise management processes. Its staff in 2017 was 578 people, and in G-Em-CS-ES Management - only 1 person, according to Contour-Focus. The revenue of G-Em-Cs-Es Verex in 2017 amounted to about 2 billion rubles, while G-Em-Cs-Es Management did not have income.

In addition to G-Em-CS Verex, G-Em-CS Management is the founder of Maycore Labs, which also listed only 1 employee in 2017 and had no income. Since November 2018, it has been under liquidation. Thus, G-Em-CS-Verex is the main asset of the group.

Since September 2016, a 65% stake in G-Em-C-ES Verex has been pledged by Sovcombank. According to the Contour-Focus database, the company thus received a loan from the bank for 4 years and 9 months.

GMCS is not the only IT company that has come under the control of Sovcombank recently. Since November 2018, Sovcombank with a share of about 75% of the authorized capital is listed as a co-founder of BTE, which specializes in service support and supply of ATMs, POS terminals, cash equipment.

Maykor also previously had a 75% stake in this company: in 2014, it merged its banking technology support business with the BTE group of companies. And the share in 75% of BTE since 2016 has also been with Sovcombank under a loan agreement for 4 years and 9 months.

It is noteworthy that in the annual report of Sovcombank for 2017 it is written that he owns a share in Maykor itself. The list of legal entities where Sovcombank directly or indirectly owns a stake in the authorized capital includes Maykor LLC (later renamed UK-Maykor LLC) and its Cypriot founding company Maykor Outsourcing Services Pielsi. For both companies, a share of 25% is indicated. Sovcombank has not yet released its annual report for 2018.

Partnership with AnyLogic

GMCS and AnyLogic, a global expert in simulation modeling, have entered into a partnership agreement. Combining the expertise of the two companies will offer the market advanced opportunities for tasks that cannot be solved using Excel spreadsheets and traditional data research methods.

Getting a Retail Specialization from Qlik

Maykor-GMCS announced on April 26, 2018 that it had received a specialization in the Retail category from Qlik. The specialization confirms Maykor-GMCS's deep expertise in creating analytical solutions for retailers.

2016

GMCS controlling stake pledged to Sovcombank

Leaving the "Complink" group
