The total length of heating networks, the operation of which is provided by OJSC "Heating network of St. Petersburg," is about 2500 km. OJSC "Heating Network of St. Petersburg" was founded on February 1, 2010 on the basis of the structural unit "Heating Network" of OJSC "TGK-1," within the framework of trilateral agreements of the Government of St. Petersburg, OJSC "TGK-1" and the State Unitary Enterprise "Fuel and Energy Complex of St. Petersburg" in order to improve the reliability and quality of providing residents of the Northern capital with heat and hot water through unified management of heat networks.

The main area of ​ ​ activity: the supply of thermal energy from the sources of OJSC TGK-1. OJSC "Teploset of St. Petersburg" operates under ownership about 800 km of trunk pipelines and about 1700 km of intra-quarter networks in the heat supply zones of Avtovskaya, Vasileostrovskaya, Vyborg, Pervomayskaya, Pravoberezhnaya, North, Central and South CHPP of OJSC "TGK-1."

About 20 million gigacalories of thermal energy are transferred annually through the networks of OJSC "Heating Network of St. Petersburg." The company serves about 14,000 buildings for various purposes.

The amount of the authorized capital of the Company is 31 334 269 380 (Thirty-one billion three hundred and thirty-four million two hundred and sixty-nine thousand three hundred and eighty) rubles. The share capital is divided into 31 334 269 380 ordinary registered shares with a par value of 1 (one) ruble each.

26.04.2010 RO FFMS of Russia in the Northwestern Federal District registered the issue of securities of OJSC "Heating Network of St. Petersburg" under state registration number 1-01-05059 D.

History

2023: The authorities of St. Petersburg bought the city heating network from Gazprom for 6 billion rubles

On December 27, 2023, PJSC TGK-1 (owned by Gazprom) announced the conclusion of an agreement with the State Unitary Enterprise Fuel and Energy Complex of St. Petersburg (TEK SPb) on the sale of its stake in the Heating Network of St. Petersburg JSC. The transaction amount is 6 billion rubles with payment in equal shares for six years.

It is noted that the final decision on the acquisition of a stake in JSC "Heating Network of St. Petersburg" was made by the governor of the city Alexander Beglov in 2023. The transaction is expected to allow St. Petersburg to consolidate heating network assets and form a program for the reconstruction of heating networks to provide consumers with reliable heat supply.

JSC "Heating Network of St. Petersburg" became the property of the city

JSC "Heating Network of St. Petersburg" operates 2.7 thousand km of heating networks in 11 districts of the city and the Vsevolozhsk district of the Leningrad region. As of the end of 2023, the company provides heat supply to approximately 14 thousand buildings for various purposes and more than 2.5 million consumers. In turn, TEK SPb heats and supplies hot water to about 16 thousand houses, in which about 3 million citizens live. All property of the enterprise is the state property of St. Petersburg.

Under the terms of the contract, TEK SPb acquires a stake of 23 500 616 990 ordinary shares of JSC Heating Network of St. Petersburg (60.51% of the authorized capital of the enterprise). The papers will be taken over by the new owner after payment of the first part of the amount no later than March 30, 2024.

Consolidation of a controlling stake in JSC "Heating Network of St. Petersburg" in a single structure will allow the Government of St. Petersburg through a combination of tariff solutions and budget investments to ensure an increase in the volume of annual replacement of worn-out heating networks to the required level, the official statement says.[1]
