History

2022: Uesham Telecom Alisher Usmanov acquired 99% of the Outpost group from IKS Holding

The Yuesham Telecom, part of Alisher Usmanov's holding (part of the USM holding), acquired 99% of the Outpost group from IKS Holding. Details of the transaction are not disclosed. Since February 11, 2022, 99% of the group belongs to USM. The rest belongs to Alexei Khrenov.

Outpost brings together eight participants in the IT market. Among them are Talmer, Next Software, Corvette Development, JSA Group, Cometrics, NLogic, etc. Companies are engaged in system integration, digital transformation of large enterprises, information security, big data, artificial intelligence, development of high-tech solutions for comfortable housing and business, etc. The total number of employees working in companies exceeds 2.4 thousand people, according to the official website of Outpost.

The IKS Holding confirmed the transaction, but did not disclose the details.

According to the Kontur.fokus base, Outpost LLC was registered on October 4, 2016 in Moscow. Its general director is Julia Shutkina.

In October 2016, the sole owner of the company was Anton Cherepennikov, in December 2017, 12.5% went to Megafon. In November 2018, 1% of Cherepennikova passed to Alexei Krutitsky. In May 2020, 99% of the company began to belong to IKS Holding and in June 2020, 1% of Krutitsky passed to Khrenov.

2020: Development of a module for determining protective masks on the face

On March 24, 2020, ER-Telecom Holding announced that together with Outpost they had developed a module for determining protective masks on the face. MegaFon sold half of Kometrika to Outpost Holding

In mid-January 2018, the Russian mobile and fixed-line operator MegaFon sold a 50 percent stake in Kometrika to Anton Cherepennikov's Outpost holding. The financial component of the agreement is not disclosed. More details here.

2017: Purchase by MegaFon of a 12.5% stake in the authorized capital of Outpost

On December 27, 2017, MegaFon announced the closure of the transaction to acquire a 12.5% stake in the authorized capital of Outpost LLC from the sole member of the company - the general director of the IT holding Anton Cherepennikov. The deal amounted to $3.125 million and was paid in rubles on December 26, 2017.

It is expected that this transaction will allow MegaFon to take an important step towards implementing a digital strategy in the corporate and state segments, as it will help strengthen competencies in the field of information and communication technologies (ICT) and accelerate the implementation of individual comprehensive turnkey ICT projects for the operator's customers.

In addition, the acquisition will make it possible to create a procurement alliance with Talmer LLC, in which the latter will act as a procurement partner for MegaFon Group companies, which will help achieve savings due to economies of scale, the company believes.

MegaFon received an option to purchase an additional 12.5% stake in the authorized capital of Outpost LLC at a fair value not exceeding the amount paid for the first 12.5%, as well as an option to sell the entire share back to Anton Cherepennik at any time, depending on the success of the procurement alliance and in accordance with other conditions set forth in the transaction documentation.
