Roman Avdeev's Rossium redeems OPIN from Mikhail Prokhorov's Oneksim

On December 27, 2016 the group of ONEXIM of Mikhail Prokhorov announced closing of the transaction on sale of 90.99% of stocks of development company of OPIN to the Rossium concern belonging to the main owner of the Moscow credit bank Roman Avdeev. He acquired the rights to land bank of the developer and all developer projects, including the project of reconstruction of Torpedo stadium in Moscow. Transaction amount does not reveal. It is possible that mister Prokhorov gave the most part of assets of OPIN for debts.

Earlier the banker disproved Kommersant the interest in business of OPIN, and in ONEKSIME and OPIN refused comments. On December 27, 2016 mister Avdeev's representative too officially confirmed the transaction fact, having reported that acquired assets of OPIN will be merged with Ingrad[1] one more developer structure of mister Avdeev[1].

"Will work at the current stage Ingrad and OPIN as independent structures, but after passing of the corresponding corporate procedures merger of companies is planned", says Rossium.

Besides, Roman Avdeev after purchase of OPIN is going to select agricultural business and the agricultural land from its structure. Now the land bank of the company makes 28 thousand hectares. In 14 years the company implemented about 500 thousand sq.m of the real estate and mastered about 500 hectares under residential construction. Ingrad controlled by mister Avdeev locates land bank under the housing estate in Moscow and the Moscow region with a total area about 180 hectares and the total volume of living spaces to implementation more than 1.5 mln sq.m.

The representative ONEKSIMA claims that the transaction on sale of OPIN has monetary character. "And it is essential means" — he says. Respondents of Kommersant the developers familiar with a situation in OPIN called into question this statement.

"The company has a debt in 28 billion rubles — one of interlocutors of Kommersant notes. — Besides, OPIN was not succeeded to approve finally with the Moscow authorities one of the large projects yet — reconstruction of Torpedo stadium".

Considering that the bank of mister Avdeev is the main creditor of OPIN, the announced transaction really looks as quasimarket.

Consideration of a question of an exit of representatives of Onexim from Board of Directors

At the beginning of February, 2016 it became known that on February 10 the developer "OPIN" not an extraordinary meeting of shareholders will consider a question of an exit from Board of Directors of representatives of the ONEXIM group of Mikhail Prokhorov. With reference to the sources wrote Vedomosti about it. The forthcoming solution is connected with sale of the builder, interlocutors of the edition said.

According to them, the asset will pass under control of structures of the main owner of the Moscow credit bank and developer "Ingrad" Roman Avdeev. ONEXIM will leave a shareholding structure of "OPIN" at the end of it or at the beginning of the next year. Refused official comments of the party of the possible transaction.

For the first time sale of the builder to Avdeev became known in July, 2015. Also with reference to market participants Vedomosti reported about it. According to the edition, at that time Mikhail Prokhorov began to get rid of all the Russian assets. Allegedly the billionaire made such decision after the searches which are carried out in ONEKSIMA companies of FSB. At that time the Head of Department of assessment of AKG "MEF-audit" Dmitry Trofimov estimated the cost of "OPIN" at the amount from 4 to 8 billion rubles.

By data for last first half of the year, the developer suffered losses in 228.6 million rubles. Revenue made 2.8 billion rubles. A total debt of the company - 28.8 billion rubles. The main creditor - the Moscow credit bank.

2012: A loss of 2.8 billion rub at the end of year

In 2012 OPIN received a loss of 2.8 billion rubles. The company explained it with big construction costs and improvement of cottages at low sales.

2010: Onexim becomes the controlling shareholder of the company

In November, 2010 one of the leading investment companies of Russia - group of ONEXIM became the controlling shareholder and the strategic partner of OPIN, and in May, 2011 OPIN announced the new strategy of the development which important element is high-quality work with investors.

OPIN was created by the owner of group of ONEXIM Mikhail Prokhorov in partnership with Vladimir Potanin's Interros. But after the divorce of partners mister Prokhorov managed to reserve assets of OPIN, and mister Potanin got lands in Krasnaya Polyana where the Rosa Khutor ski resort began to function later.
