History

2018: Top manager of Alma TV announced an attempt to raider the company

Chairman of the Board of Directors of the Kazakh operator Alma Telecommunications Kazakhstan JSC (Alma TV trademark) Parkhomenko Alexander wrote an open letter in May 2018 stating that the company was trying to take away its current owners from paying the debt^[1].

The letter published by^[2] on the operator's website is addressed to the Chairman of the Presidium of the National Chamber of Entrepreneurs of Kazakhstan Timur Kulibaev. It claims that AlmaTel Kazakhstan is trying to take over the employees of DSFC LLP in the amount of 16 billion tenge (about 3 billion rubles) of Ordabasy Companies to Bank RBK. Parkhomenko reports that the cost of the operator is 80 billion tenge (about 15 billion rubles). "The terms of the loan agreement were not violated, the main payments on this loan are for 2019. In other words, this loan in the Bank RBK portfolio was not toxic, "writes Parkhomenko.

According to the Informburo.kz^[3]the^[4] was created under the terms of the multilateral framework agreement concluded on November 7, 2017 between the Government of Kazakhstan, the National Bank of the Republic of Kazakhstan, JSC NBF Samruk-Kazyna, NUK group, NK K Bank Later, Bank RBK transferred dubious assets in the amount of KZT603 billion to DSFC. On May 22, newtimes.kz^[5], that law enforcement agencies had opened criminal cases as part of the work on the return of the assets of Bank RBK.

Kazakh businessman and honorary president of Alma Group Zhomart Ertaev, who was previously arrested^[6] in Moscow at the request of the Ministry of Internal Affairs of Kazakhstan, also claims that^[7], that the case is fabricated for him, and his goal is to take away Alma TV (Ertaev headed this company in the years 2014-2016). He states that he is accused of receiving a loan from Bank RBK by a shell LLP worth more than $80 million. However, according to Ertaev, he did not affect the procedure for issuing a loan and he knows for certain that Ordabasy Komyunikeishens received this loan.

The letter to Parkhomenko also indicates that the loan received by Ordabasy Komyunikeishens was transferred to the personal accounts of Dinmukhamed Idrissov (is the owner^[8] of the control share of Ordabasy Management Company), which in 2014 received dividends on Alma TV shares and received salaries for a long time.

Parkhomenko also reports that the company "has exhausted all possibilities to agree on a peaceful resolution of the conflict with the various parties involved." In particular, the Anti-Corruption Committee and Bank RBK did not respond to Alma TV's proposal to restructure or buy back with the help of Russian investors.

Recall that in April 2018, the court found Alma TV guilty in violation of copyright and imposed^[9] were^[10] for the money and property of the operator within 2.18 billion tenge (about 380 million rubles).

2015: Merger Plans

On October 30, 2015, it became known about Alma-TV's plans to acquire the Moscow 2Kom provider.

The operator of pay television "Alma-TV" plans to acquire the Moscow provider "2Kom," the possibility of buying other providers in the Russian regions is being considered.

According to media reports, as of October 30, 2015, negotiations on the purchase of 100% of 2Kom are under completion. The amount of the transaction may amount to 130-140 million rubles and will be repaid in two stages.

Alma-TV belongs to a businessman from Kazakhstan Dinmukhamet Idrissov. The operator serves 44% of the subscriber base of paid TV in Kazakhstan.

2Kom owners are private individuals. The company is one of the top 6 broadband operators in Moscow, holding a share of about 3%.
