History

2025: Corporate Conflict Eruption

On April 9, 2025, it became known that a corporate conflict broke out in the Russian IT company Information Retail Integrated Systems (IRIS LLC). Co-owner and ex-general director of the organization Denis Vdovin requires her to transfer documents.

IRIS provides a full range of services in the field of automation of retail business and wholesale retail sale of petroleum products and consumer goods. One of the key partners of the company is Lukoil. According to the Unified State Register of Legal Entities, as of the beginning of April 2025, Vdovin owns 36.75% in the capital of IRIS. The owner of another 55.9% is ER-Telecom Holding JSC, and the remaining 7.35% is Siri Consulting LLC. Leonid Tikhomirov is indicated as the General Director of IRIS.

Vdovin reportedly filed a lawsuit with the Moscow Arbitration Court. The case file says that, leaving the post of head of IRIS in September 2023, Vdovin agreed to sell his stake in ER-Telecom. However, this deal was never implemented. Later, Vdovin went to court, demanding that the IRIS provide internal documents and collect from her the debt to pay dividends in the amount of 29.4 million rubles.

In turn, IRIS accused its ex-general director of luring 22 "key technical support employees," who simultaneously applied for dismissal, moving to work for Vdovin. As a result, it is alleged that the main client of IRIS, OOO LUKOIL Technologies, was left without technical support. In addition, co-owners of IRIS reproach Vdovin for unfair competition: it is alleged that a company affiliated with him sent notifications to IRIS counterparties about the upcoming reorganization of the company with a proposal to cooperate with a new company.

On the basis of the documents provided by the parties, the court refused Vdovin to satisfy the claim. At the same time, ER-Telecom Holding filed a lawsuit to recover a deposit and interest from Vdovin.^[1]

2020

ER- Te­lekom Khol­ding JSC pri­ob­re­tet 4.9%

JSC Ayr-Telecom Holding will acquire 4.9% of software supplier and the equipment for creation of automated control systems for the LLC The Information Retail Integrated Systems (IRIS) enterprise. LLC Perm Financial and Industrial Group belonging for 7% to the Acting CEO of "R-Telecom" Andrei Kuzyaev already participates in the capital of the enterprise for 7.35%. Thus, the cumulative share of possession of the structures connected with "R-Telecom" will make 12.25%.

The redemption of 4.9% of the authorized capital of IRIS from Igor Fomin was approved by the board of directors of ER-Telecom. Information about the transaction was posted in January 2020 on the Interfax information disclosure website. The press service of ER-Telecom does not comment on the details of the deal.

2019

Two perpetual licenses of the FSTEC of the Russian Federation for technical protection and development of means of protecting confidential information

Based on the order of the Federal Service for Technical and Export Control of the Russian Federation, IRIS was granted two perpetual licenses. This was reported to TAdviser by IRIS representatives on April 25, 2019.

License No. 1873 dated 29.03.2019 applies to the development and production of means for protecting confidential information:

• development of means of protecting confidential information: software (software and hardware) means of protecting information; secure software (software and hardware) means of information processing; software (software and hardware) means of information security control;
• production of means of confidential information protection: software (software and hardware) means of information protection; secure software (software and hardware) means of information processing; software (software and hardware) means of information security control.

License No. 3583 dated 29.03.2019 applies to the activities of technical protection of confidential information:

• control over the security of confidential information from unauthorized access and its modification in the means and systems of informatization;
• installation, installation, adjustment, testing, repair of information protection means (software (software and hardware) information protection means; secure software (software and hardware) means of information processing; software (software and hardware) means for monitoring the effectiveness of information protection).

Certificate of registration of electrical laboratory

On March 27, 2019, IRIS announced the receipt of a certificate of registration of an electrical laboratory, which is intended for testing electrical equipment, electrical installations and protective equipment used for work in electrical installations. The obtained certificate confirms the quality of measurements and tests, as well as the safety of their performance.

List of permitted tests and measurements:

• verification of compliance of the installed electrical installation with the requirements of regulatory and technical documentation (visual inspection),
• measurement of resistance of grounding devices,
• measurement of insulation resistance of electrical devices, secondary circuits and electrical wiring with voltage up to 1 kV,
• check of phase-zero circuit in electrical installations up to 1 kV with TN system,
• test (check) of protective disconnection devices (RCD),
• check of operation of circuit breaker releases,
• check of the circuit between earthing conductors and earthing elements; checking the presence of a circuit between grounded installations and elements of a grounded installation,
• measurement of illumination level and other light technical parameters.

The validity period of the received certificate is 3 years.

License of the Ministry of Emergency Situations of the Russian Federation for activities related to fire fighting

On January 16, 2019, IRIS announced the receipt of a license from the Ministry of Emergency Situations of the Russian Federation, which confirms the company's right to carry out activities related to fire work or fire safety of facilities.

In general, the license covers the following types of work:

• Installation, maintenance and repair of fire extinguishing systems and their components, including dispatching and commissioning.
• Installation, maintenance and repair of fire and fire alarm systems and their components, including dispatching and commissioning.
