2024: KuibyshevAzot bought out Linde Azot Togliatti from foreigners

In December 2024, the Togliatti chemical concern KuibyshevAzot completed the process of buying out shares of foreign partners in two large enterprises - Linde Azot Togliatti LLC (ammonia production) and Volgafert LLC (urea production). These data became known in January 2025. The transactions allowed the company to fully control these facilities on its industrial site.

According to the Samara Review, Linde Azot Togliatti LLC was created in 2013 together with the German Linde Group, which invested in advanced technologies. The ammonia and hydrogen plant was built in 2017 with a total investment of about ₽20 billion. Linde Group's share in 50% of the authorized capital was transferred to LAT LLC at the end of December 2024. As a result of the change in the ownership structure of LLC LAT, it became partially owned by itself, which in the future requires the redistribution of shares or other actions provided for by law.

Volgafert LLC, specializing in the production of urea, was also created with the participation of foreign capital - the Italian concern Maire Tecnimont S.p.A. The company invested technology and funds, receiving a 32% stake in the enterprise. The plant with a capacity of 525 thousand tons of products was launched in September 2024. According to the newspaper, KuibyshevAzot PJSC took advantage of the option to buy out a share of foreign partners, completing the transaction in December 2024.

As part of the strategy of getting rid of foreign participation at its industrial site, KuibyshevAzot also completed earlier transactions on Volgaplast Compounding Limited LLC. The only remaining enterprise with foreign capital at the site remains Praxair Azot Togliatti LLC, the operator of the industrial gas plant, where KuibyshevAzot and British LINDE UK HOLDINGS are partners.^[1]
