NVision stocked up with Telecom protection on a case of sale to Rostelecom

According to TAdviser, one of shareholders of NVision Group owns 100% of stocks of Telecom-Guard company. It is reserve airfield in case the transaction on sale of NVision to Rostelecom after all will take place.

NVision Group works at the market of system integration. Let's remind, for $50 million with the right further to bring the share to 100% Rostelecom agreed about acquisition of 25% of the company still a year ago.

That one of owners of NVision possesses Telecom-Guard is indicated by both indirect evidence, and market participants. NVision and Telecom-Guard companies work at the adjacent markets, the statuses of partners of Cisco were taken away from both recently. Both are located in one business center at the address Moscow, Dubininskaya St., 53, building 5.

At the NVision Group management company registered in November, 2009, five shareholders:Alexey Glotov (10%),Anatoly Goncharov (1%),Olga Perekatenkova (28.75%), Anton Sushkevich (president of NVision Group, 38%), Dmitry Taraba (chairman of the board of directors of NVision Group, 22.25%).

Telecom Protection according to SPARK as of January 1, 2011 has three owners of the citizen of Russia who possess in total 100% of stocks of the company. In the register of the USRLE refining: the authorized capital of the company is 5 million rubles. Them them 750 thousand rubles –Leonid Lyubomirovich Raykov's deposit, the most part in the amount of 3.5 million rubles –Mikhail Sergeyevich Zhukov and 750 more thousand rubles –Alexander Genrkhovich Vitozhents who at the moment is the CEO of the company.

Let's remind that Alexander Vitozhents before headed Telecom-Guard, held a position of the deputy CEO of Verysell projects. What relation to the IT industry two other persons have it is not known: the information about them in open sources is not available.

Mikhail Krasnov, the head of Verysell, confirmed to TAdviser that Telecom-Guard belongs for 100% to the shareholder of NVision, however, noted that the surname is not known to it. According to him, the fact that Telecom-Guard practically "affiliated enterprise" of Evnizhn Group is "widely known status of the company in the market", including to suppliers.

As for formal owners, their existence was explained by Mikhail Grigorov, IDG. "In the history with owners of these companies everything is very difficult", - he told. "They changed several times and who actually owns Telecom Protection, nobody will tell now. Anyway, the company has rated owners and who the real beneficiary - it is not known", - he added.

One of the most probable versions of presence at the investor of two assets in the form of a share of NVision and Telecom Protection which is stated by market participants is the expected transaction on sale of a share in NVision to Rostelecom. According to Mikhail Krasnov, this version "has under itself the reasons", but only they can comment on real motives of shareholders.

The NVision company denies connection with business of Telecom Protection. The head of the company Anton Sushkevich refused to give comments of TAdviser.

Revenue of NVision in 2009 made 12,885 million rubles that for 2% it is more than 2008. Revenue of Telecom Protection in 2009 made 1,314 million rubles that is twice higher than indicators of the company the previous year. For the first half of the year 2010 turnover of Telecom-Guard company exceeded its revenue for all 2009.
