On July 7, 2020, the National Council of Monaco adopted Law No. 1009, which defines the rules for the circulation of tokens with signs of securities. The initiator of the bill is council member Frank Julien.

Law No. 1009 is focused on the formation of a legal environment for organizing the primary placement of tokens (ICO). Tokens are a form of fundraising that is carried out using digital records stored in a decentralized registry. Using such a registry allows you to create tokens that will subsequently be implemented in the market.

The new law of the Monaco authorities literally equated the issue of tokens (ICO/IEO) with the popular procedure for raising capital in business projects - initial public offering of securities (IPO). So, in Europe there is now a jurisdiction that will become a development center for the cryptocurrency industry. It is assumed that this could provoke another ICO boom.

Monaco passes token law, prepares ICO boom

The new law defines tokens as financial products that have the hallmarks of securities. The document on tokens refers to ordinary shares in digital format. For this reason, such financial instruments will be issued only after registration of the crypto project as a public organization in Monaco (joint-stock company).

Authorities states are also demanding that the ICO take place as part of a closed subscription. This means that the issuer will need to first attract investors and draw up a list of those persons (individuals and legal entities) who are ready to purchase tokens. It is also known that the minimum amount of the authorized capital of the issuer of tokens should be €150 thousand. Given the cost of going to an IPO, a solution with an ICO organization could be a real trigger for the growth of the number of crypto companies that are ready to promote their business, obeying more loyal requirements.[1]
