History

In 1999 the Arctel company is created.

At the beginning and the middle of the 2000th years Arctel was one of the main players of the market of the IP telephony cards.

At the end of 2005 Arctel one of the first obtained the license for an intercity and international telecommunication.

According to the research ROMIR Monitoring conducted in August, 2006, the share of Arctel in the Moscow market of telephone cards made 38%.

In 2006 and 2008 100% "subsidiary" of the company — Arctel-invest placed bond issues on 200 million rubles and on 1 billion rubles. Almost all first release and the most part of the second (on 600 million rubles) appeared in hands of the Moscow Regional Investment Trust Company (MRITC) belonging to the Moscow region. The owner of 75% of Arctel — Rosveb telecom also was related to one of members of the government of the Moscow region: it belonged to Zhanna Bullock, the spouse of the former Minister of Finance of area Alexey Kuznetsov.

Crisis of 2008 prevented Arctel to fulfill obligations under bonds.

2009: Debts, blocking of accounts, transition to the structure of MOITK

Arctel belonged to the spouse of the former Minister of Finance of the Moscow region Alexey Kuznetsov Zhanna Bulok, she owned several telecom assets through Rigroup company. Rigroup and Rosveb Telecom owed to the Moscow Regional Investment Trust Company (MRITC) 19.5 billion rubles, since February, 2009 ORSI group was engaged in restructuring of this debt.

In June, 2009 at Arctel the CEO was replaced, and accounts of the company were blocked. Then the operator according to the decision of Arbitration court of the Moscow region carried over MOITK. However, the MOITK under control of the Ministry of the property relations of the Moscow region, is a bankrupt at this time and is in process of bankruptcy proceedings. It is supposed that all its assets will be sold on open auction.

2010: Arrest of accounts on the claim of VimpelCom

In October, 2010 Alexey Serebryakov purchased bonds Arctel-investa at biddings where the property of MOITK was sold. The nominal value of these papers was 680 million rubles, but Serebryakov got them for 7.14 million rubles (at the starting price of 6.8 million rubles), follows from declarations of tendering in the Kommersant newspaper. By then Arctel-invest is two years old as did not fulfill the obligation under these bonds, and in May, 2010 the Moscow arbitration court terminated the agreement of a bonded loan between MOITK and Arctel-investom on 600 million rubles and decided to collect this amount about Arctel-investa. It did not prevent later Serebryakov to file a petition for inclusion of its requirements in the register of creditors of Arctel which was a guarantor on these bonds. And requires coupons on these bonds (82.3 million rubles) from Arctel of MOITK.

In December, 2010 VimpelCom initiated trial in court, intending to exact 65 million rubles a debt from Arctel, and by a court decision accounts of Arctel in Sberbank and Contrast bank were arrested. Arrest of accounts - an interim measure after VimpelCom proved that Arctel ran into debt and^[1] did not pay it more than 48 million rubles^[1]

2011: Beginning of the case of bankruptcy

In April, 2011 Arctel distributed the message in which said that VimpelCom "unreasonably, unilaterally" stopped rendering services in traffic transmission on the resource of numbering of Arctel defined by the agreement.

"Actions of JSC VimpelCom are illegal and violate requirements of a number of legal acts, - the company is indignant. - Perfect actions infringe upon the interests of Arctel as telecom operator and also the interests of the third parties - users/subscribers of communication services. Since April 29, 2011 there is no possibility of dialing on office numbers of the operator and number of technical support. Numerous cases of blocking of the entering communication of clients of the company were recorded. Because of wrongful acts of VimpelCom many companies suffered significant image and financial losses".

The operator transferred all phones to other number resource. The company addressed to management of Roskomnadzor across Moscow and the Moscow region with the corresponding statement.

Answer VimpelCom:

VimpelCom stopped rendering services in traffic transmission of Arctel company in 2010. JSC Arctel is a debtor of VimpelCom company more than two years, violating the obligations both for the current payments, and for the sent guaranty letters, - she reported ComNews. - A total debt of the company - more than 60 million rubles. Having exhausted opportunities of peaceful settlement of the conflict, VimpelCom took legal action. We have judgments obliging Arctel to repay the accumulated debt to our company".

According to the text of one of court orders which ComNews studied, the court usher should exact 48 million rubles from Arctel.

In May, 2011 the court began to consider case of its bankruptcy.

In August, 2012 in VimpelCom reported that "The main debt of Arctel through police officers is collected, it was necessary to pay 12 million rubles a penalty fee which we also intend to exact", - the press secretary of VimpelCom Anna Aybaysheva told the reporter of ComNews yesterday.

In the evening on August 12, 2011, all accounts of the company for the amount about 250 million rubles were arrested by court ushers in the claim of Leader management company which was one of shareholders of Arctel. Also, according to the source, on August 1 about 60-70 people from different departments left the company "because of disagreement with new payment terms of work which were offered by the deputy CEO for the HR policy Vadim Panin".

The press service of UK "Leader" on a request of ComNews reported:

Leader within the current legislation advocates the legitimate interests and the interests of the clients. "UK "Leader"" is a bondholder on which JSC Arctel did not fulfill the obligation in this connection the Arbitration court of the Moscow region made the decision on collecting from JSC Arctel of this debt for benefit of UK "Leader". The specified solution is implemented in the order set by the current legislation", the statement says.

One of sources also told that Eldar Razroyev who in May, 2011 was invited in Arctel to a post of the chief executive for an output of the operator from crisis since July 28 is not registered in the company any more and has no relation to it. According to a source, since July 29 Eldar Razroyev is the CEO of Our Network LLC. Razroyev in a conversation with the reporter of ComNews did not confirm and did not deny this information.

According to ComNews source, the Our Network company "was purchased bringing the maximum number of clients out of Arctel, to sell all possible equipment of the operator under formal agreements, to transfer all fitted number capacities to the new company and as a result to submit a claim for recognition of Arctel by the bankrupt". The insider claims that process according to this scheme is already allegedly started and the employees involved in it are dismissed from Arctel and suited for new work in Our Network LLC. Other source in the company also reports that all accounts are arrested, Evgeny Frolov any more not the CEO and assets are transferred on other legal entity.

In Arctel did not react to ComNews requests yesterday: a half of office phones did not answer, then managers of the company asked to call later, explaining it with lack of the guide at office. In the late afternoon representatives of operator said that there is no management and in the nearest future will not be, and refused to give any comment.

2012: Recognition by the bankrupt

In March, 2012 it was reported that the Supreme Arbitration Court can put the end in the case of bankruptcy Arctel. The amount of claims to it at the moment is about 890 million rubles.

For all history of Arctel company on an asset 93 claims were submitted and won 46 for the total amount of 1.3 billion rubles. The majority of the considered cases assumed debt collection for services of traffic transmission in communication channels of different telecom operators.

So, the telecom operator VimpelCom managed to receive through court back about 60 million rubles. The Rostelecom company and also its regional subsidiary companies seized from Arctel 93 million rubles for traffic transmission on the communication channels. However after the beginning of insolvency proceeding of Arctel Rostelecom submitted some more claims for the total amount of 7.2 million rubles. One of the last — on 3 million rubles — was given on March 20, 2012. As explain in the press service of Rostelecom, the Ural department submitted claims "about collecting operator receivables in the amount of 3 million and in the amount of 41 thousand rubles". In total after the beginning of the case of bankruptcy of Arctel 25 claims for the amount of 30 million rubles were submitted.

The present shareholder became the initiator of insolvency proceeding of Arctel — Leader management company which imposed in May, 2011 claim requirements of 860 million rubles Creditors who apply for receiving means on the case of Arctel, also there pass MTS, Globus-Telecom, Start Telecom and Sberbank Leasing. In the press service UK "Leader" note that "the company advocates the legitimate interests and the interests of the clients within the current legislation".

On June 1, 2012 the court declared Arctel bankrupt and opened bankruptcy proceedings. Also MOITK to which passed 75% plus 5 stocks of Arctel by then was declared bankrupt. And Our Network LLC (a brand of "A-bodies") got capital assets of Arctel, on its website also requests to the website of Arctel are redirected.

2013

In July, 2013 it became known that the Federal arbitration court of the Moscow district cancelled solutions of two previous instances and refused to include in the third queue of creditors of Arctel of Alexey Serebryakov demanding 679.8 million rubles from the company. It follows from the court of the solution of May 6, 2013 published on the website. As a result the amount of requirements to Arctel was reduced almost by a third — from 2.17 billion to 1.49 billion rubles.

In trial there was a speech also about other debts of Arctel on the second bond issue — on 400 million rubles. The court confirmed presence at the operator of a debt to Leader Ltd (Gazfond manages) on 269.5 million rubles, and the debt to UK "AGANA" in the amount of 283.4 million rubles did not recognize. At the same time it turned out that Arctel, in fact, owed on bonds twice. The matter is that since February, 2011. Arctel-invest is attached to the new founded Megapolis LLC (the main owner — Alexander Knyazev) which demanded from Arctel of return of the loans issued by this Arctel LLC after placement of bonds. As a result Megapolis became the main creditor of Arctel: the size of its requirements is 789.6 million rubles. Through Megapolis the former owners of Arctel try to take process of bankruptcy of the company under control, told the correspondent of Vedomosti a source in Leader^[2].

According to the petition of Leader insolvency proceeding of Arctel was initiated. "Leader" objected to inclusion in the register of creditors of Megalopolis and Serebryakov, follows from documents of court. And Leader appealed against decisions of the courts about Serebryakov's inclusion in the register of creditors.
