Ciber Inc. (the name till 2009 is CIBER Novasoft) (NYSE: CBR) – the American consulting company proposing industry solutions on management of the enterprises and services in information technology field. At the company more than 95 offices in 19 countries of the world (the USA, Europe, Asia, Australia) are calculated.

Ciber is the international consulting company which is among large partners of SAP. Ciber also cooperates with such IT giant as Infor, Microsoft, Oracle and Salesforce.

History

2017: Bankruptcy and asset sale

On April 10, 2017 Ciber announced start of insolvency proceeding and sale of North American business later half a year after the beginning of studying of opportunities for further development of activity.

Ciber took bankruptcy court in the District of Delaware behind protection against creditors according to the procedure provided by Chapter 11 of the code of the USA about bankruptcy. Both the company, and its some "daughters" registered in the USA goes bankrupt.

Office Ciber

Ciber received consent to financing according to the scheme "the debtor in ownership" (debtor-in-possession) at the rate to $45 million. This money provided by banks will be used for maintenance of business of the company during insolvency proceeding.

Before filing of application about insolvency Ciber concluded the bargain on sale of almost all the assets in North America and India of Capgemini company. The cost of the transaction is $50 million. The agreement does not include some debt obligations of Ciber and also the international transactions.

Revenue of business which Ciber sells Capgemini makes about $275 million a year. Thanks to this acquisition the number of staff of Capgemini will grow by 2 thousand consultants in the USA and 1 thousand in India, also the company will be able to strengthen the positions in the markets of cars, telecommunications and media. Capgemini expects that the transaction will begin to make profit in the first half of 2018.

Transfer of assets of Ciber for benefit of Capgemini will be performed according to the procedure provided by Chapter 11 of the code of the USA about bankruptcy.

Bankruptcy and sale of a part of business became a studying result of "strategic alternatives" which Ciber began in October, 2016. Jon Goulding, the managing director of well-known company of Alvarez and Marsal specializing in questions of structural adjustment of the companies will direct restructuring process.[1]

Russian representative office

The office Ciber in Russia was opened in 2004 in St. Petersburg. In 2007 the company also opened representation in Moscow and received the status SAP VAR Partner. In Russia Ciber specializes in area of implementation of systems based on SAP and acts as the partner for the companies of retail, producers of the consumer goods and pharmaceutics, automotive industry and telecommunications.

As of 2012 in Russia the company had 105 employees, 90 of which - SAP consultants.

In the summer of 2013 representatives of Enter network for which Ciber performed works on the IT project, announced that the staff of the Russian office Ciber almost in full strength left the company and based own – Novardis.

2011: Certification of the center of support

In 2011. The center of support underwent certification of SAP Partner Center of Expertise for solutions SAP Business All-In-One and SAP BusinessObjects in Russia and the CIS countries. Certification of PCoE is a quality label and guarantees capability of the Center of Support Ciber Russia to render services of maintenance of the highest quality level for the clients and according to the best practices of SAP. During certification of PCoE service agreements of Ciber with customers, processes and internal procedures of work of the Center of Support Ciber were thoroughly checked. Certification of PCoE confirms high qualification of specialists of the Center of support Ciber Russia and also is the evidence of constructibility of partnership with SAP company. Certification of PCoE serves as confirmation of achievement of requirements of the SAP standards for the quality level of a service package of maintenance provided by the Center of Support Ciber to the clients.

The Ciber Russia company submitted the certification application on December 15, 2010. Based on careful check, the Center of support Ciber Russia received the certificate of PCoE valid till February 28, 2013.

The center of support Ciber Russia offers two-level support system. At the first level of support there is Service Desk whose functions include acceptance of requests from users and their analysis for the purpose of determination of necessary resources for the solution of a task. The works performed at the first level of support: acceptance and registration of incidents in the software of Service Desk; determination of category of a request; the description of an incident according to SLA; installation of a priority; primary support; escalation of incidents to required specialists on the second level of support; obtaining information on the status of a request from the second support line; providing monthly reports on the stipulated key performance indicators (KPI).

At the second level of support the solution of the incidents arriving from the first line is performed. At this level specialists of the Center of Support Ciber Russia permit the incidents connected with regular work of the serviced volume of functionality and systems which are not changes. Within services in change management any change requests in a system, including new settings, changes of business processes, development of new applications, applications testing and new developments, elimination of software failures in a user code are processed.

At emergence of a non-staff situation in an information system the client can address to the Center of support of Ciber Russia in the mode 24 hours a day / 7 days a week by phone of a hot line or e-mail.

Among the Russian clients of the Center of Support to Ciber Russia there are LENTA companies, Victoria Group, STTs "Your House", Ritter Sport, Zollern, "Noveks", Mobis, "East-West", Talosto.

2013: Conflict with Enter and Technoserv Consulting

Ciber returned Technoserv Consulting money for outstanding project works of software implementation of SAP in retail network Enter after appeal to the court, told TAdviser in the company in November, 2013. The amount which demanded to return Technoserv Consulting was 7.8 million rubles. The following task - to receive more than 20 million rubles on the same project from Novardis company. Their Technoserv Consulting also demanded through court.

The project about which there is a speech started in Enter network in 2012 and included implementing solutions SAP CRM SAP for Retail, SAP BI and SAP EWM. Won tender for accomplishment of these works Technoserv Consulting, and Ciber attracted as subcontractor.

In the summer of 2013 representatives of Enter network reported that the staff of the Russian office Ciber whose main part was made by SAP consultants almost in full strength left the company and based own – Novardis which is also specializing in area of implementation of enterprise management systems based on SAP. Enter then noted that departure of SAP consultants from Ciber became surprise for all parties.

After this Enter decided to continue interaction with a command of carriers of key knowledge of the project as a part of the new company for what Technoserv Consulting re-signed the agreement on execution of works with Novardis. However in June, 2013, after phase completion of conceptual design, Novardis announced about considerable shift of project deadlines suddenly and further without notice about cessation of work stopped development and testing, told in Enter.

With respect thereto Technoserv Consulting filed a lawsuit also against Novardis with the requirement to pay it more than 20 million rubles.

"On 2 Articles 715 of the Civil Code of the Russian Federation in a case, "if the contractor (Novardis) does not start timely agreement performance of the contract or performs work so slowly that its termination to term becomes obviously impossible, the customer (Technoserv Consulting) has the right to refuse agreement performance and to demand indemnification". With respect thereto we require to terminate the agreement signed with Novardis and to return the transferred advance payment amount in the amount of 21,511,000 rubles", - explained TAdviser in Technoserv Consulting.

Earlier in the company specified that, according to the agreement, Novardis had to perform partial tuning of the module of finance and setup of the module of logistics of the SAP for Retail system and also the partial CRM setup then to provide documentation on a system and to hold its testing. According to representatives of the company, upon in incomplete volume only the first clause – setup of small section of a system was implemented.
