2024: Best Solution JSC became the owner of Donskoy Anthracite

Russian President Vladimir Putin signed an order to sell the former coal assets of the Ukrainian billionaire Rinat Akhmetov - Donskoy Anthracite and the Obukhovskaya mine management. They are bought by the Moscow-based Best Solution JSC associated with the Orion Foundation. The document authorizing the deal was published on January 25, 2024.

In accordance with paragraph 5 of the decree of the President of the Russian Federation of August 5, 2022 No. 520 "On the application of special economic measures in the financial and fuel and energy spheres in connection with the unfriendly actions of some foreign states and international organizations" to allow the joint-stock company "The best solution" to make transactions to acquire 100% of the shares of joint-stock companies "Donskoy Anthracite" and "Mine Management Obukhovskaya," owned by Fabcell Limited, - the order signed by Putin.

According to RBC, JSC "Best Solution" was registered in November 2022 and as a micro-enterprise was included in the Register of Small and Medium Enterprises. Until January 30, 2023, its founder was Maxim Alimov. Then the authorized capital of the company was increased immediately from 10 thousand to more than 4 million rubles, and the founder was Orion-1 Specialized Financial Society LLC. The full structure of the beneficiaries of this LLC is not disclosed, but one of them is Dmitry Mamatov. Based on the analysis of assets related to it, we can talk about the former acting General Director of Sberbank Asset Management Management. In 2022, he, together with other individuals, became a co-owner of the First Management Company (formerly Sberbank Asset Management) and Modern Real Estate Funds (Sberbank Real Estate Funds).

Rinat Akhmetov is the richest businessman in Ukraine, Forbes estimates his fortune by January 25, 2024 at $5.7 billion.

2023: SBK Premier bought Donskoy anthracite

JSC Mine Management Obukhovskaya and JSC Donskoy Anthracite, previously owned by Ukrainian businessman Rinat Akhmetov, came under the management of the Moscow company SBK Premier (established by Sberbank). This was reported in mid-June 2023 by the Kommersant newspaper, citing data from Fedresurs.

According to the SPARK-Interfax system, SBK Premier exercises the rights of the shareholder of Donskoy Anthracite JSC and Obukhovskaya Mine Management JSC in relation to 100% of the shares owned by the controlled foreign company Fabcell Limited. The corresponding permission to exercise the rights of the shareholder of the company was granted by the Federal Tax Service on June 7, 2023.

As of March 2022, the owner of Fabcell Limited was the ex-vice president of LUKOIL and Slavneft Iskander Khalilov, Kommersant writes with reference to the reports of Donskoy Anthracite. A representative of the businessman in January 2023 told the publication that Khalilov and his family members were not related to these assets.

According to Kommersant, formally, SBK Premier may need to obtain special permission from the President of the Russian Federation to establish control over Rostov assets, since they are registered for an "unfriendly" Cypriot structure. However, as noted by Ekaterina Makeeva, partner and head of the sanctions practice of AB "A-PRO," the legislation provides for an exception for persons who have disclosed themselves as controlled foreign companies.

Judging by the data of Fedresurs, in May, SBK-Premier LLC published two messages in which, in particular, it confirms that it is the controlling person of a foreign organization that is a shareholder of Donskoy Anthracite JSC and Obukhovskaya Mine Management JSC and, accordingly, should be subject to an exception, the lawyer added^[1]
