2022: Whirlpool bought InSinkErator from Emerson for $3 billion
On August 8, 2022, Whirlpool said it was buying InSinkErator, a waste disposal equipment and hot water dispensers company, from Emerson Electric for $3 billion. The deal is expected to close in the fourth quarter of 2022.
InSinkErator, which holds more than 70% of the American market in the field of food waste disposal, is popular in the United States. With the acquisition, InSinkErator will add to Whirlpool's portfolio of washing machines, refrigerators and dishwashing equipment. InSinkErator makes food waste recyclers that build into kitchen washes and help decompose debris, which then goes directly to treatment plants or the septic system.
Food waste accounts for about 20% of total household waste. Food residues passed through the shredder can be used as biosolide or biogas, which corresponds to a modern comprehensive approach to waste disposal. Recycled matter is put back into circulation as a source of energy, soil improver or fertilizer and gives an environmentally friendly closed cycle.
Whirlpool, which plans to fund the deal with cash and debt, said on a call with investors that it expects InSinkErator to benefit from a strong long-term replacement and durability cycle in the U.S. housing sector. The deal will also help Emerson Electric shrink its structure, following in the footsteps of other conglomerates as the company seeks to reposition itself as a technology-driven firm.
InSinkErator's revenue as of the end of March amounted to $595 million. The company was founded in 1938 and was purchased by Emerson in 1968. Greenhill acted as financial advisor to Whirlpool and Wachtell, Lipton, Rosen & Katz as legal advisor[1]
