2024: Way out of bankruptcy
On August 15, 2024, it became known that the Rosenergo insurance company managed for the first time in the history of Russia not only to get out of bankruptcy proceedings, but also to regain corporate control. The Central Bank of Russia stopped the activities of the interim administration represented by the Deposit Insurance Agency (DIA) in Rosenergo NSG LLC from August 2, 2024.
According to PRObankruptcy, a temporary administration was introduced in the company in December 2020 due to a violation of the solvency margin. In November 2021, the court declared NSG Rosenergo bankrupt and opened bankruptcy proceedings. However, the insurer's lawyers managed to prove in the cassation instance the lack of grounds for bankruptcy in February 2022.
After re-consideration of the case in three courts, in October 2023, the Arbitration Court of the Altai Republic refused to introduce the bankruptcy procedure for Rosenergo NSG. This decision was supported by the appellate and district courts.
In January 2024, the founders of the company decided to rename it to Synergy LLC and change its type of activity. The process of transferring corporate control, including documents and property, according to the new company, will take at least a month.
The main creditor of NSG Rosenergo is the Russian Union of Auto Insurers (RSA) with claims in the amount of ₽3,08 billion. However, Synergy LLC considers these requirements to be overestimated and disputes them. In addition, the register of creditors includes claims of more than 10 thousand motorists and former agents in the amount of about ₽94 million.
The company announced its readiness to repay the claims of creditors confirmed by court decisions within two months after the return of control over property and cash. To do this, Synergy LLC began compiling and updating the registers of creditors.
We waited nine months for the withdrawal of the interim administration. According to the law, this should have happened at the end of 2023, when the court's decision to refuse to declare the company bankrupt entered into legal force, "said Vasily Maryin, one of the owners of Rosenergo NSG.[1] |
2020: License Revocation
On December 4, 2020, the Central Bank of the Russian Federation announced the revocation of the license from National Insurance Group - Rosenergo LLC. The insurance company appointed a temporary administration for six months, headed by Sergei Danilov, an employee of the Siberian GU of the Bank of Russia.
Revoke licenses from 23.10.2015 SL No. 3295 for voluntary personal insurance, with the exception of voluntary life insurance; from 23.10.2015 SI No. 3295 for the implementation of voluntary property insurance; dated 23.10.2015 OS No. 3295-03 for compulsory civil liability insurance of vehicle owners of limited liability company National Insurance Group - Rosenergo, the Central Bank said in an order. |
The decision was made in connection with "violation by more than 20 percent of the minimum permissible value of the normative ratio of equity (capital) and assumed obligations established by the Bank of Russia" in accordance with the law of the Russian Federation "On the organization of insurance business in the Russian Federation," follows from the message of the regulator.
On November 30, the Central Bank suspended the license of the insurance group "due to the repeated violation within one year by the Rosenergo group of the requirements of financial stability and solvency, as well as in connection with the submission of inaccurate information to the insurance supervisory authority."
The total amount of obligations under OSAGO NSG Rosenergo at the time of suspension of the license by decision of the Central Bank amounted to 6.2 billion rubles, the Russian Union of Auto Insurers (RSA) said. According to the union, this insurance group concluded 1.6 million OSAGO agreements at the time of the adoption of licensing measures by the Central Bank to the insurer.
According to the law on OSAGO, the obligation of the PCA to fulfill obligations under contracts instead of a member of the union for the PCA arises in the event of revocation of the license, such payments are made from the PCA compensation fund.[2]
