2022: AEON Agro bought Rostagro for 18.8 billion rubles

On December 12, 2022, it became known about the sale of the Rostagro agricultural holding to AEON Agro (80% owned by Roman Trotsenko) for 18.76 billion rubles. The perimeter of the transaction included six enterprises: TrustAgro-Niva 1, TrustAgro-Niva 2 LLC, TrustAgro-Niva 3 LLC, TrustAgro-Elevator LLC, Kurganovsky LLC, Rostagro Management Company LLC.

In addition, the lot includes 99.56% of the shares of ZRPIF Capital Investments (part of Rostagro) and the rights (requirements) of the bank to LLC MC Rostagro and LLC Kurganovsky. The debt on rights reaches 2.2 billion rubles. The company - the winner of the auction must conclude an asset purchase and sale agreement within three days from the date of summing up the auction results.

According to the press service of the bank of non-core assets "Trust," which put up Rostagro assets for auction, the holding is among the top 15 land banks in Russia in terms of total area. Under his management is 240 thousand hectares of land, the main land array is located in the Penza and Saratov regions. More than 80% of the company's land bank is owned, 10% - in a long-term lease (by December 2022).

It is noted that at the time of the transition to the bank of non-core assets Trust in 2018, Rostagro's business was unprofitable, despite the fact that it was among the top 15 landowners in the country in terms of the size of a land bank with a land bank of 300,000 hectares. In 4 years, the company has become a profitable agricultural holding.

Today it is a ready-made structure that will continue to provide a continuous production cycle after the deal. The sale price of the company is in line with our expectations. GC Rostagro is already the second asset sold from the pool of Trust agricultural enterprises put up for sale, the bank's press service noted on December 12, 2022.[1]
