2022: SIG Combibloc bought Scholle IPN for €1.36 billion
On February 1, 2022, the Swiss packaging manufacturer SIG Combibloc, working in Russia, announced the purchase of Scholle IPN for €1.36 billion in order to strengthen its position in the US market. The transaction will be financed by shares, cash and debt refinancing. The transaction is expected to close before the end of the third quarter of 2022, subject to normal closing conditions.
The transaction will be financed by 33.75 million shares of SIG Combibloc issued from the existing authorized capital and €370 million in cash, SIG Combibloc said. The company's management added that the existing debt of Scholle IPN will be refinanced at the close of the transaction. The United States accounts for about 55% of revenue, and the acquisition will significantly increase the presence of SIG Combibloc in this large and attractive market for the company.

After unification, the company will employ about 8 thousand people at 69 trading and production sites around the world, and the team will serve customers on six continents. Their common technologies and research capabilities in renewable paper substrates, film extrusion, injection molding and bottling equipment are underpinned by manufacturing thinking - industry 4.0, as well as the desire to become a leading partner in sustainable packaging worldwide. It is noted that in January 2022, SIG Combibloc also acquired the Asian milk cardboard packaging company Evergreen Fresh Carton for $335 million.[1]
