The Agency Integrated by Media company (United Media Agency, UMA) is created in 2014 by the people having behind shoulders experience in the field of media technologies.
For December, 2018 "the Agency Integrated by Media" is an aggregator and the distributor of content on the Internet and the mobile environment, the developer of Internet solutions and service provider.
The company performs licensing of musical audio-and video content and also distribution on partner Internet platforms and in own products.
A permanent partner of OMA is Russian internet- holding Mail.Ru Group.

The option purchase agreement Mail.Ru Group of 80% in UMA
The Mail.Ru Group company announced on December 27, 2018 signing of the option agreement on acquisition of the remained share in the amount of 80% in the capital of "the Agency Integrated by Media" (OMA and also United Media Agency, UMA), the developer of musical library Boom. After option exercise the Internet holding will become the owner of 100% of a share in Boom.
According to the option agreement, the remained 80% of the capital of UMA will cost Mail.Ru Group $97 million. Option exercise is planned for the first quarter 2019 on condition of receiving prior consent of Federal Antimonopoly Service of Russia. Validity period of the option expires on May 21, 2020.
The parties of the option agreement are Meyl. Ru Group LLC as the buyer and the acting shareholders of target company on behalf of "Whyte Pik Investments (OHM) Pi Tits Limitied" (White Peak Investments (IOM) PCC Limited), "Crestsent Enda of Star Investment Kampani Al-Elsie"" (Crescent & Star Investment Company LLC) and other as sellers. As well as in a case with the previous transactions on acquisition and an asset sale, Mail.Ru Group will open financial results on a comparable basis. At the same time it is expected that the transaction will not have significant effect on an indicator of EBITDA of the company.
By Mail.Ru Group estimates, cooperation with UMA allowed to normalize the relations with owners and to create one of the most large-scale musical ecosystems in the Russian market. According to representatives of Internet holding, the option is concluded within the strategy of the company on expansion of opportunities for users of social networks and taking into account rapid growth of permanent base of subscribers of musical services in the last two years. By calculations of the company, musical content will continue to remain one of the key services provided by the company on social networks.
Our services providing access to content, including musical content, became a pacing factor of stable growth of the involvement of users. Entry of UMA into the structure of Mail.Ru Group will allow us to create even more extensive ecosystem attractive both for contractors and copyright owners, and for users who will be able to receive service of due quality.
