2023: "Transles" bought WTG

The largest railway operator in Russia for the transportation of forest cargo "Transles" (part of Demetra-Holding) bought a private rolling stock operator WTG. The deal was concluded in July 2023, but it became known only a few months later.

According to Kommersant, citing data from the SPARK-Interfax system, Transles bought 49% of the company, acquiring the private management company Razvitie, which owned them, and 51% in WTG directly. Demeter-Holding clarified to the newspaper that the company acquired a group of VTG companies consisting of Railcraft Service LLC (owner of the car fleet) and Wagonpark Transgroup (VTG; management company). As a result of the transaction, the total number of freight cars in the management of Demeter-Holding amounted to more than 80 thousand units, the company noted. They also added that the holding will strengthen its position in the segments of cement trucks, gondola cars and timber platforms.

By November 8, 2023, the WTG website indicated that the company has over 5 thousand units of the fleet, including 40-foot timber, contralleur, fitting 40- and 80-foot platforms, cement hoppers, tanks for various cargoes and gondola cars. Transles has more than 9 thousand wagons, mainly of different types of timber platforms, fitting, universal platforms and chip trucks. Demetra-Holding includes operators of grain cargo transportation Rusagrotrans, industrial and chemical cargo "LP Trans" and other logistics companies.

Infoline Analytics CEO Mikhail Burmistrov estimates the cost of the WTG fleet at at least 10 billion rubles. At the same time, according to the expert, the deal was carried out at a discount and in any case it was beneficial for the buyer, since in 2023 the cost of new cars increased significantly.[1]
