History

In October, 2011 Dmitry Ashmanov (a share of 30%) and Spesivtseva (a share of 10%) left Mindshare Interaction business then the general meeting of founders displaced Ashmanov from the CEO's position. The representative of Mindshare Group Russia Anton Sharay was appointed to his place. Ashmanov tried to cancel the solution of founders, but lost the case.

In the spring of 2012 minority shareholders accused the company of washing out of asset cost of the company and claims filed a lawsuit. They said that the cost of the agency was artificially reduced from 463 million to 2 million rubles. So, Mrs. Spesivtseva instead of the expected 25 million received 194467 rubles, however later the arbitration satisfied her claim for compulsory payment of actual value of a packet – nearly 24 million rubles. After similar court's decision also Ashmanov achieved: the arbitration awarded to it 143 million rubles – the actual cost of its share.

All this was followed by legal aspects, even less pleasant for Mindshare Group: in particular, concerning Anton Sharaya investigation into the allegation of Spesivtseva in connection with non-execution of the judicial act in her advantage was initiated.

The negotiations with Ashmanov and Spesivtseva directed to the termination of further judicial proceedings took place at the beginning of 2014. As a result of these negotiations the mutually advantageous agreement which considers the interests of all parties was reached.

On May 26, 2014 the GroupM holding announced the termination of prolonged legal trial with the former top managers of the Mindshare Interaction agency Dmitry Ashmanov and Elmira Spesivtseva.

"Mayndsher Interekshn LLC, Dmitry Ashmanov and Elmira Spesivtseva announce the termination of further judicial proceedings, lack of any counter claims and about failure from any actions directed against society and its former participants connected with Dmitry Ashmanov and Elmira Spesivtseva's exit from Mayndsher Interekshn LLC in 2011", said in the statement of the company.

Also it became known that criminal case according to Spesivtseva's statement was dismissed against Anton Sharaya in view of lack of evidence.
