JSC Mediaholding (till January, 2013 – JSC O2TB) is the 100% owner of O2TB (O2TB LLC) television channel and manages assets of TV channel. JSC Mediaholding and its child TV channel together make Mediaholding Group. Stocks of JSC Mediaholding since 2008 address at the Moscow Exchange (the character of ODVA).

O2TB - the first Russian youth TV channel focused on active young people of 16-35 years. The O2TB TV channel began the broadcasting in 2004. Over 18.8 million TV viewers in 79 subjects and more than in 3,000 cities and settlements of the Russian Federation have an opportunity to watch O2TB. In Moscow the TV channel is broadcast in the network of cable television belonging to JSC NKS. The general scope in Moscow exceeds 3.3 million TV viewers. O2TB also broadcasts in networks of cable TV and IPTV of Rostelecom, AKADO, QWERTY, Beeline TV, Iskratelekom, etc. Online broadcasting of the channel is conducted on the largest portals, video hostings and with the official site of TV channel. The O2TB TV channel belongs to O2TB open joint stock company which stocks since 2008 address at the MICEX Stock Exchange (the character of ODVA). Authorized capital of JSC O2TB is 140 thousand rubles and is separated into 140 million actions.

Performance Indicators

2013

At the end of 2013 revenue of head society under RAS exceeded 195 million rubles, having increased in comparison with 2012 almost by 18 times. Significant growth in revenue for 2013 is connected with the fact that in reporting year the Society having the considerable volume of the intangible assets provided by generally television programs began to develop business selling the rights to TV programs. New profitable contracts provided to Mediaholding significant growth in revenue.

At the same time at Society cost value increased (by 11 times for 2013) that is connected with depreciation of a number of intangible assets.

The operating loss of head society JSC Mediaholding under RAS in reporting year was reduced by 2.3 times by 2012 to-8.5 million rubles, thanks to significant growth of revenue.

The net profit of Society under RAS for 2013 was reduced by 58% by 2012 and was 369 thousand rubles.

Assets of Society for the end of 2013 increased and were 3.483 billion rubles. Including intangible assets of Society for 2013 grew by 259 million rubles (by 2.5 times) and reached nearly 435 million rubles. Net assets made 3.482 billion rubles. In reporting 2013 Society did not attract the loans and loans.

2012

Group revenue for 2012 grew by 63.5% in comparison with 2011 and made 317 million rubles.

OIBDA (the amount of operating profit and depreciation charges) of Group for 2012, according to the Russian accounting standards (RAS), made 18.2 million rubles.

Consolidated net income of Group for 2012 under Russian accounting standards was 33.3 million rubles.

The consolidated statements of Group for 2012 on the International Financial Reporting Standards (IFRS) is planned to the publication in June, 2013.


For December 31, 2012 the total number of subscribers (the connected households) of O2TB TV channel was 9,731,186. It for 91% (on 4,626,040 subscribers) is more in comparison with 2011 and for 3% (on 286,317 subscribers) more in comparison with the 3rd quarter 2012.

For 12/31/2012 O2TB TV channel could watch in 78 territorial subjects of the Russian Federation, more than in 3,000 cities and the settlements of Russia, including – in the capital of Russia and in all cities with the population over 1 million people. Growth of a subscriber base of TV channel in Moscow which doubled in the 2nd half-year 2012 became the main factor of growth of number of subscribers of O2TB. At the end of year the number of subscribers of O2TB in the capital was 3.49 million subscribers. The TV channel in 2012 began broadcasting in network of cable television of Moscow belonging to JSC NKS that promoted growth of his subscriber base in Moscow for 2012 almost by 7 times. Today O2TB is available to all residents of the capital having a possibility of acceptance of cable television.

According to the results of the 4th quarter 2012 the number of subscribers of O2TB in Central Federal District grew by 0.4% by 3rd quarter up to 4.65 million. In the Northwestern Federal District the number of subscribers of O2TB in comparison with the 3rd quarter increased by 3% to 520 thousand, in Volga – for 4.8% to 1.47 million, in Youzhny – for 10% to 585 thousand, in Ural – increased by 8% to 991 thousand, in Siberian – grew by 4% up to 945 thousand, in Far East - grew by 3.4% up to 550 thousand and in North Caucasian – did not change.

In 2012 at TV channel watching indicators increased, according to data of the researches "TNS Russia". The saved-up scope [1] of TV channel in the 4th quarter 2012 (among all audience aged from 4 years) increased by 21% to 9.5 million people. The average monthly scope [2] in the 4th quarter 2012 grew by 5% up to 4.6 million people. In Moscow at O2TB the average monthly scope in the 4th quarter increased to 9.7% of spectator audience that is the highest rate at TV channel for the last 3 years on the capital. Thus, monthly O2TB watches more than 1 million Muscovites.

2011

The consolidated revenue of JSC O2TB according to IFRS for 2011 grew by 2.3 times by 2010 and reached 193.8 million rubles. Earlier the Company predicted the consolidated revenue according to IFRS for 2011 at the level of 184 million rubles. Thus, the consolidated revenue of the Company for 2011 exceeded the previous official forecast for 5% thanks to good results of work of all companies of the O2TB Group in the 4th quarter 2011. The consolidated indicator of OIBDA of JSC O2TB in 2011 according to IFRS doubled in comparison with 2010 and exceeded 30 million rubles. The consolidated retained earnings of JSC O2TB according to IFRS for 2011 exceeded 1.1 million rubles.

According to preliminary data of a consolidated balance according to IFRS, the net debt of the Company at the end of 2011 was negative.

By results for March 31, 2011, over 1 million people can watch O2TB TV channel in 73 territorial subjects of the Russian Federation, in 247 cities of Russia, including in Moscow and in all cities with the population. From January to March, 2011 the number of subscribers of "O2TB" in Moscow grew by 22% up to 554.34 thousand. For the same period in the Moscow region this indicator increased by 7% to 270.9 thousand subscribers, in the Saratov region - for 4.5% to 207.18 thousand, in Chelyabinsk region - for 2.6% to 147.13 thousand, in Perm Krai - for 8.2% to 144.69 thousand, in Krasnoyarsk Krai - for 6.4% to 122.13 thousand.

2009

It was expected that by the end of 2009 of "O2TB" will reach self-sufficiency. In 2009 the total debt of TV channel made about $8 million. From the middle of 2008 of the stock "O2TB" are quoted at the MICEX exchange. On September 11, 2009, capitalization of the company made about 300 million rubles.

History

The new owner will carry out rebranding of O2 channel

The president of Investment and Finance Company Metropol, the former top manager of Almazyuvelireksport Sergey Gorny purchased 26.81% of PJSC Mediaholding which controls OMT LLC – this company, in turn, owns the license for broadcasting of O2 channel. According to Kommersant, Gorny became the majority project owner.

"We were included into the project gradually, since 2014, but did not advertize it. Now in connection with change of the legislation there is a renewal of the property rights from offshores on real owners", - the businessman told the edition. Together in the brother Artem Gorny he is going to reorient the channel from youth on more senior audience up to 40 years.
"Now the channel is in a restart stage. We changed the concept that should lead to expansion of target audience. O2 in the name of the channel is not the oxygen which was associated with exclusively youth audience any more, and the character of young couple" — Sergey Gorny explained, having added that among plans – to organize online broadcasting to RuTube.ru and platforms of mobile operators; new owners also conduct negotiations with regional cable providers.

It should be noted that a talk on plans for the next reset of O2 channel goes in the market more than a year. However, any reality in a talk and also in comments of staff of TV channel Cableman did not manage to detect. Almost also the publication in Kommersant did not shed light on plans of the channel. Having visited at different times alternative musical, youth, youth and political, the channel repeatedly announced an exit to the IPO, business restructuring. Until stopped on just good music 5 years ago, however went completely to the Internet, having therein lost contracts with operators and an overwhelming part of audience. In the new concept "programs about shopping, children and sport" are submitted, but promise to save on air and music. Perhaps, to start of the updated project (of which date is still not known) about the channel more specific information[1] will appear[2].

2013: JSC O2TB replaced the name with Mediaholding

Change of the name happened after state registration of changes in the Charter of the Issuer. Thus, the Issuer executed the solution of extraordinary general shareholder meeting of December 13, 2012, about introduction of amendments to the Charter and, including, about change of the name of the Issuer with JSC Mediaholding. After change of the name of head society the O2TB Group including the Issuer and his child TV channel O2TB will be called "Mediaholding group.

The new name of the Issuer Mediaholding reflects the purpose of creation and activity of the Issuer more precisely – management of media assets. Other reasons of change of the name became, first, the fact that the previous name of the Issuer almost completely repeated the name of child TV channel O2TB; secondly, difficulties with perception of the previous name of the Issuer by foreign investors. The name "Mediaholding" is easily translated into foreign languages without loss of sense while the last name not always allowed to provide its adequate translation.

2009: Sale to the company

In 2009 it was reported that Media3 buys a large share block of JSC O2TB, management company of the TV channel of the same name. The deal was going to be closed until the end of 2009. One of owners of "O2TB" — Vasily Lavrov told that Media 3 will receive control over the company, but refused to specify about what share block he there is a speech.

According to Lavrov, Media 3 suggested owners of "O2TB" to sell a share block in 2008, but negotiations dragged on because of crisis. Co-owners of "O2TB" tried to find the investor since 2006. To attract large audience and to become attractive to investors, the channel several times changed the orientation — if in 2004 it was started as alternative music channel with fatal orientation, then in 2007 became social and political, and in 2008 — youth and entertaining.
