Astra Group has grown to two dozen companies. Key Ecosystem Assets

Having set itself the goal of becoming a global system software vendor, Astra Group is forming a large-scale ecosystem around its Astra Linux operating system, including through the implementation of the M&A strategy, the acquisition of third-party software developers and services. In 2023, the group established, acquired, and also increased its shares in a dozen legal entities and in 2024 continued to grow with new companies.

As of April 2024, the total number of companies in the Astra Group reached 19, including the parent company - Astra Group. In terms of the total number of legal entities that she established, acquired or in which she increased her shares, she became the most fruitful over the past few years. The most important in the company include a deal with Resolut, the developer of the GitFlic platform for storing and working with source code. In August 2023, Astra Group bought a 26% stake in Resolut. In December, it gained control of that company by acquiring an additional 25 percent stake.

"GitFlic is our answer to GitHub and Gitlab," Ilya Sivtsev, general director of Astra Group of Companies, noted at the time of the announcement of the deal.

Another important transaction was the acquisition of control at Nomari SiAiEs, the holding company of the Belarusian Knomary group, the group's software distributor in Russia. Deal with Nomari SiIES. This was an expansion of Astra Group's portfolio of solutions for training and talent development. In October 2023, Astra Group received a controlling stake in this company of 70.2%. It was purchased at par value for a cash consideration of 7 thousand rubles, followed by a monetary contribution to the company's property in the amount of 120 million rubles without increasing the share of ownership, according to the terms of the concluded corporate agreement.

In addition, in February 2023, Astra Group bought an additional 11% stake in Uveon, a virtual workplace infrastructure developer. In the same month, Aisiel Astra Service was established, which is positioned as a center for the introduction and support of import substitution projects for Russian business.

In July 2023, Astra Group acquired an additional 7.5 percent stake in Exosoft, a developer of virtualization platforms, physical IT infrastructure management, and a billing platform. This increased the group's total stake in Exosoft to 55% and led to control over it. Cash consideration previously transferred for the acquired stake in the amount of 47.5% of Exosoft's capital amounted to 210 million rubles, as indicated in the financial statements of Astra Group for 2023.

In December 2023, Astra Group acquired an additional 7.5% stake in Exosoft, bringing its ownership stake to 62.5%, and later, in January 2024, another 7.5%, which were paid in December. Thus, the total share of the group in Exosoft reached 70%.

In September 2023, the call option for the purchase of a 10 percent stake in the authorized capital of Rupost, the developer of a mail server and a secure mobile workplace, was terminated ahead of schedule. Due to this, the share of Astra Group in this company increased.

In the same month, Astra Investments, established in 2023, co-founded an 80% stake in the authorized capital of BRO Software, the developer of a data backup service.

In 2024, Astra Group continues to implement its M&A strategy. So, in April, the company announced the receipt of options for the acquisition of an 80% stake in Rusonyx, a cloud provider specializing in providing cloud with service. This happened against the background of how Astra Group at its first investor day announced the development of the cloud business as one of the company's priorities for the near future.

Another important innovation is the transition to a recurrent business model, where the customer receives continuous access to the product or services for recurring payments. The company plans that in 2027 it will have half of its revenue under the cloud business model.

In 2023, including at the expense of M&A, Astra Group recorded, formed its product and service model, which allows customers to implement products and services together. As of April 2024, the Astra Group ecosystem has 21 own products, as well as more than 2.5 thousand compatible software and hardware products of technological partners.

The further development of Astra Group's product ecosystem is aimed at offering products that will allow closing more and more scenarios as part of the import substitution process from customers. Topics that fit into this strategy include clouds, information security, data, development and artificial intelligence, etc.
