2024: Merger with Orange Espana

On February 20, 2024, the European Commission approved a deal to merge the Spanish division of French telecom operator Orange SA and Masmovil Ibercom SA. As a result, the largest telecom operator in Spain with a capitalization of approximately €18.6 billion will be formed.

The transaction provides for the fulfillment of a number of conditions. In particular, Orange and Masmovil will sell €120 million in frequency licenses to rival Digi Communications NV. In addition, in the future, Digi will be able to use the Orange network to provide its own services. The received frequency resource will allow Digi to build its own mobile network, and an additional agreement on national roaming will help the company expand its presence throughout Spain. This will provide an opportunity to maintain healthy competition in the market. Earlier, the antimonopoly regulator of the European Union warned that without complying with these conditions, a deal to create the largest operator by the number of customers in Spain could lead to higher prices for consumers by more than 10%.

In the combined structure, Orange and Masmovil will have an equal participation of 50/50. The operator will be able to serve more than 7.3 million fixed-line users, over 30 million mobile subscribers and more than 2.2 million consumers of television services. The joint venture will manage key network and IT assets, providing nationwide coverage across FTTH (optical fibre to dwelling), 4G and 5G technologies.
