2021: Mark Formelle bought Privat Trade Innovative Solutions
In early October 2021, it became known that KupiVIP sold Privat Trade Innovative Solutions (PTIR) to the Belarusian clothing manufacturer Mark Formelle. The value of the transaction is unknown.
According to Kommersant, on September 22, 2021, TD Mark Formel LLC became the owner of the PTIR - the Russian structure of the owners of Mark Formelle. According to experts interviewed by the publication, the deal was non-market in nature.
KupiVIP plans to spend the proceeds from the transaction to pay off debts to counterparties. By the beginning of October 2021, the amount exceeds 220 million rubles, the publication calculated on the basis of data from the file cabinet of arbitration cases. According to experts, even after the sale of the last assets, the KupiVIP will not be able to repay all the claims of creditors.
PTIR manages the Marketplace 3.0 platform, designed to automate supplier work. The platform, as follows from its description, is necessary for "creating services for the business of customers, providing technologies for increasing sales."
According to Stanislav Kolesnichenko, Managing Director of Skolkovo Ventures, Marketplace 3.0 looks like an internal technological solution used by KupiVip. There are not a lot of such b2b solutions in the market, adds BrandquadPhilip Denisov, co-founder of Brandquad. For online sales, Mark Formelle is important to consolidate logistics, work with suppliers and product promotion on a single platform, so the platform could interest the retailer, said Mikhail Burmistrov, CEO of Infoline Analytics.
He added that KupiVIP had the only asset left - the fullfilm business. His sale is not enough to pay off the company's debts.
In this case, the likelihood of starting bankruptcy proceedings is high, said Valery Zinchenko, senior partner of the Pen & Paper Bar Association. If this happens, it will be difficult for the arbitration manager to challenge the deal to sell the KupiVIP of his platform to the Belarusian manufacturer, predicts Nina Babinova, a lawyer at KSK Group.[1]
