2021

Agreement with SEZ "Innopolis"

6 venture capital funds entered the SEZ "Innopolis" and signed partnership agreements. This became known in December 2021.

Raising $31 million

On December 23, 2021, the STRK investment platform announced the attraction of 31 million rubles ($420 thousand) through an additional issue of shares of OTS-Platform JSC to place them through a closed subscription in favor of 6 private investors. Shareholders received 16.7% of the company's shares at a valuation of 185 million rubles. The transaction took place on the company's own platform - STRK.

The funds raised will be aimed at developing the service, in particular, increasing the convenience of investing for private investors, selling echelons of shares, adding convertible loans. In addition, the main focus will be on scaling the project and increasing the number of placed companies - up to 40 placements in the amount of 850 million rubles for 2022.

To prepare for the transaction, the current operating company LLC STARTREK was transferred as an asset to the newly created joint-stock company OTS-Platform, which sold its shares to investors. The creation of the joint-stock company, the additional issue of shares and the accounting of shareholders' rights following the transaction was provided by the registrar of NRK - R.O.S.T. (part of the Sberbank group). As a result of the transaction, the investor representative will be a member of the STRK Board of Directors with veto power on key issues (including blurring, major transaction and interested party transactions).

Previously, the platform provided b2c lending for small and medium-sized businesses. In 2021, there was a rebranding - the company changed its name to STRK, in accordance with the new concept.

In May 2021, STRK entered the register of investment platforms of the Bank of Russia, the Association of Investment Platforms of Russia, is a resident of Skolkovo and a partner of the Innopolis SEZ. Since the Bank of Russia was included in the register, placements in the amount of 300 million rubles have already been made, 3 more projects in the amount of 275 million rubles are being prepared for placement. In total, more than 300 applications for the placement of companies were received. As of December 2021, 37 thousand investors were registered at STRK. The peculiarity of the project is the ability to attract investors to the company's capital in an online format. The money received from the sale of shares, the company can immediately and without taxes use to finance its development. For investors, this is a way to acquire a stake in a promising company at the preSeed, Seed, Series A, B, C. STRK stage implements the idea of ​ ​ creating an OTC stock market in Russia, similar to C Corp and OTC-markets in the United States, but that it is important that all transactions are structured in Russian jurisdiction.

The transaction was carried out according to the same model that we offer to companies located on STRK, using our document templates. The purpose of this format was to create a typical case and materials, which will later be used by platform issuers. Resuming operations as an investment site

The StartTrack crowdfunding platform on December 24, 2020 announced the resumption of work in a new format. The company has become an investment platform on which shares of the Russian companies small and medium-sized businesses can be purchased. At the same time, the investor becomes a co-owner of these companies and has the right to receive dividends or sell shares more expensive in the future if the company shows good growth. In 2021, it is also planned to launch a secondary stock market on the site so that investors can realize previously purchased shares in companies.

An investor on the StartTrack site may be any adult individual or individual entrepreneur registered in Russia who has passed the qualification test and identification by 115-FZ. The minimum amount of investments on the site starts from 50 thousand rubles. When investing in the amount of more than 600 thousand rubles, confirmation of the status of a qualified investor is required, according to the 39-FZ. All this is carried out online on the site itself.

Companies of any sectors of the economy that have passed the scoring procedure and are able to provide the investor with a return of 20% per annum or more on the horizon in 5 years - due to dividends or an increase in the price of the company's share. The transactions will also include a lead investor - a professional market participant or an expert who invests 10% - 50% of the round on preferential terms, but provides an assessment of the company and its investment confirming its quality.

The storage of shares, as well as the registration of the register of shareholders and the transfer of ownership, is maintained by the partner of StartTrack - Registration Company Status JSC, which is part of the SberBank group.

The head of the StartTrack investment platform since September 2020 is Anton Utekhin. Before joining StartTrack, Anton Utekhin served as head of sales at VTB Bank's electronic channels, and was CEO of the NAMES coworking network. As part of the last project, he was also engaged in attracting investments, during his work 78 million rubles were attracted from 130 retail investors.

An important emphasis in the work of StartTrack will be placed on improving the risk management system: from improving the scoring stage of companies to the stage of legal recovery from companies. In the event of a project default, StartTrack will combine claims against the business and represent the interests of investors in court, helping with debt collection. Shutdown

The StartTrack crowdlanding platform is indefinitely suspending operations. This was announced to Rusbase in April 2020 by the general director of the site Konstantin Shabalin.

According to him, the risks of doing business on borrowed capital began to significantly exceed the possible income of private investors.

Shabalin noted that the suspension of work will save investors with capital and protect borrowers from possible legal claims in the negative development of the economic situation.

For settlements on transactions that users have already concluded, the platform is not needed - explains the head of StartTrack. Companies will pay directly to investor accounts.

According to StartTrack's own data, since the founding of the project, private investors have invested 3 billion rubles in small and medium-sized businesses. 120 projects received investments.

Platform representatives estimate the total default level in borrowed investments through StartTrack over five years at 20%.

The StartTrack investment platform launched a crowdlanding platform in early 2016, which allows you to invest small amounts in stratapes - from 100 thousand rubles for a period of 30 days. The yield on such loans will be from 30% per annum, which is several times more profitable than the interest that banks now offer on deposits. For business, this tool is also convenient because it allows you to quickly attract missing working capital or money for development.

The StartTrack platform has developed an interface with which you can see the real movement of parcels, for example, from Moscow to Samara or from St. Petersburg to Nakhodka. Next to the card there is a special terminal with available lots for placing money. It remains only to choose what you like and deposit an amount from 100 thousand rubles to several million. In a month, the money will return to the account along with interest, according to StartTrack.

You can choose an interesting project for investment on the StartTrack website. "For accredited investors, lots are open on the site's website that can be redeemed, and their profitability is indicated in annual terms, which you will receive, but you can place funds for 30 days. Choose the lot that fits you best in size, say, the minimum of 100 thousand rubles. You receive a loan agreement, enter your contact information, passport details, account number where this money will need to be returned. The contract is formed in electronic form, and after that you get the opportunity to deposit money into the StartTrack account, - explained the principle of operation of the new platform, StartTrack CEO Konstantin Shabalin. - In 30 days, you will accordingly receive money back with the interest rate that was available to you at the time of investment. Now you can invest at 30% per annum. "


According to StartTrack, crowdlanding can become a popular tool for attracting funding for companies that work not only in the IT sector. The most attractive projects for potential investors are those that are understandable and familiar to them with high profitability, for example, cafes, minigostins and restaurants.

NAIRIT and LLC "Starttrek" signed a cooperation agreement

On December 3, 2014, the National Association for Innovation and Development of Information Technologies (NAIRIT) signed a cooperation agreement with Starttrek LLC in the field of supporting the development of innovation activities and supporting the development of promising innovative projects. The parties see the main direction of cooperation as providing favorable conditions for the creation, growth and development of innovative projects. The parties intend to share their experience, unite efforts in the process of attracting investments and implementing innovative programs.

In 2014, 4 transactions worth more than 30 million rubles were carried out through the site. Startups included in the StartTrack database update business indicators every month, providing investors with analytical information about themselves in a standardized form.

In 2014, more than 1,200 people registered at the site; a community of private investors was formed, ready to invest from 300 thousand to 20 million rubles in one transaction. The total investment potential of the site is 1.34 billion rubles (this is the amount of funds that will be formed if each investor invests the amount declared when registering for StartTrack in one transaction).

2013: Service Launch

The StartTrack service was founded in November 2013 with the support of the Internet Initiatives Development Fund (IIDF). Accredited investors are given access to the project database on the StartTrack online platform. Personal meetings are held once a month, where investors can get acquainted with the founders of projects and chat with each other. Startups included in the StartTrack database update their business indicators on a monthly basis, providing the investor with a revenue structure, cost structure, product description, business, and a plan for their development.
