History
2025: Victory in court in a claim for 255 million rubles due to IBM
The Bank of Russia received from the Moscow court a complete refusal to satisfy the claim against the system integrator Tern. This became known on January 22, 2025.
As Vedomosti writes with reference to the file cabinet of arbitration cases, the Moscow Arbitration Court refused the Central Bank in a lawsuit to recover about 255 million rubles from Tern JSC. The claims of the regulator, according to the materials of the case, concerned unjustified enrichment and interest for the use of other people's money. "Turn" filed a motion to hear the case in closed court, and the court granted it. It is in the court ruling on the transition to the consideration of the case in a closed meeting that the requirements of the Central Bank are mentioned, the newspaper notes.

Tern motivated the request to close the process by the need to maintain official secrecy in the field of its activities in connection with the imposed sanctions, the court ruling says. It was not reported that any state would impose sanctions against Tern.
The company also referred to an attempt to exclude the application of sanctions against both its employees and shareholders and employees of the Central Bank. In addition, Tern pointed out "the need to exclude the possible criminal prosecution on the territory of a foreign state of the defendant's and plaintiff's employees who supplied/accepted sanctions software (software), equipment, as well as provided and used technical support for IBM software products under contracts concluded between the plaintiff and the defendant."
Details of the case were not disclosed. It is only known that Tern won the purchase of the Central Bank for the provision of technical support services for software products of the American company IBM and the transfer of certificates providing such support. The purchase amount for three years ahead amounted to almost 15.2 million rubles for technical support and another $26.8 million for the transfer of certificates.[1]
2024: Bank of Russia lawsuit over IBM
On November 20, 2024, it became known that the Bank of Russia sent a lawsuit against the system integrator Tern to the Moscow Arbitration Court. The claims are related to a contract that concerns the products of the American corporation IBM.
According to the Vedomosti newspaper, in August 2021, Tern won the purchase of the Central Bank of the Russian Federation for the provision of technical support services for IBM software products and the transfer of relevant certificates. The amount of the contract for three years amounted to almost 15.2 million rubles (including VAT) for technical support and another $26.8 million (more than 1.99 billion rubles) for the transfer of the necessary certificates.
The claims of the Bank of Russia, as noted, may be related to the cessation of food supplies and the curtailment of technical support by IBM due to the worsening geopolitical situation. In this regard, the regulator appealed to the court with a demand to recover from the defendant more than 201 million rubles of unjust enrichment, as well as interest for the use of other people's money. The total amount of claims is about 255 million rubles.
Nikolai Titov, co-founder of the law firm a.t.Legal, believes that unjust enrichment may arise from the amount of advance payment and prepayment that was received by Tern under the contract, but was not fully worked out due to the situation. At the same time, the general director of the Fork-Tech IT company Kristina Kovalenko, based on the description of the lots won by Tern, concludes that the Bank of Russia needed support for AIX, DB2, IBM WebSphere and other solutions of the American supplier.
It is said that at the request of the Tern company, the case is being considered behind closed doors. The defendant, in particular, refers to the need to maintain official secrecy in connection with the imposed international sanctions.[2]
2015-2018
In 2015, Tern became a partner of TIBCO Software. At first, the agreement extended to the TIBCO Spotfire BI system. Later, the list included the entire TIBCO product line. In 2016, Tern received Gold from Data Analytics from Microsoft. For 2018, Tern brings together more than 150 specialists and works with 330 large and numerous small customers from Russia, Belarus, Ukraine, Kazakhstan and other countries.
1998-2009
In 1998, a representative office of Tern was opened, and in Czech Republic 2001, Xema was founded, which is developing the direction of automation of budgeting and financial planning processes. In 2007 The company SAP acquires BusinessObjects and in early 2008, Tern becomes an SAP Gold Partner. In the same year, an agreement is signed between the Canadian company Prophix Software and the Company (Xema part of the Tern Group), which becomes the exclusive representative of Prophix Russia in both the CIS countries. 1991-1997
Tern was founded in 1991. At the beginning of its activity until 1997, the company was engaged in the supply of high-tech software for solving various problems at the enterprise. In 1997, Tern signed a cooperation agreement with BusinessObjects, which worked in the development of data analysis applications and corporate reporting. Tern becomes the exclusive distributor of BusinessObjects technologies in Russia, Belarus, Ukraine and Kazakhstan. The company also receives the right to conduct consulting, training, localization and software support in this region. The next step is to open a representative office in Perm in order to improve communication with customers.
