2018: Rusagro acquires the right to purchase of "Solar products"

In October, 2018 it became known that the Rusagro group of Vadim Moshkovich will receive control over Solar Products holding (enters into Buket Group of Vladislav Burov). As stated in the press release of Rusagro, the Ros Agro Plc group. acquires the right to purchase of a controlling stake of the Quartlink Holding Limited company owning Solar Products holding.

"In 2019 Rusagro intends to make merge of acquired assets to the assets of the oil and fat business direction", said in the press release. According to Interfax with reference to sources, under the terms of the transaction Burov remains the co-owner of holding.

The asset sale reason of "Solar products" - hard times, said in the Burov's letter to employees. It is connected with the accident at Volga Terminal oil extraction plant three years ago which partially destroyed the plant building. "Each of us on the place did everything possible for cost reduction and expenses. As a result "Solar products" had a strategic investor who is ready to invest in further development of holding" — it is told in the address which is quoted by Vedomosti.

"Solar products" are included into the three of the Russian leaders in production of sunflower oil, vegetable fats and margarine. As stated in the annual report of Rusagro, in 2017 the holding took the second place on processing of sunflower from market shares of 14%. The first place — at South of Russia (24%), the share of Rusagro in 2017 made 4%. Also "Solar products" are in the fourth place among producers of mayonnaise (18% of the market), Rusagro - in the fifth (10%). At the same time Rusagro is the largest Russian producer of the packed-up margarine from market shares of 44%, "Solar products" are on this indicator in the second place from 25%. According to the Oil and fat union, in general the production volume of fat-and-oil products (oils, meal, mayonnaise, fats) of "Solar products" in a season-2016/17 was about 1.3 million tons, Rusagro - is almost three times less. In volume of the Russian export of fat-and-oil products in a season-2016/17 on "Solar products" 7%, were the share of Rusagro - 3%.

According to the message of Rusagro, three oil and fat plants (Moscow, Saratov and Novosibirsk) which produce 500 thousand tons of finished goods a year, three oil extraction plants (Atkarsk, Armavir, Balakovo) with a total power of 4.7 thousand maslosemyan in day, elevators the total power of storage of grain 650 thousand tons and also farmlands in the Saratov region are a part of "Solar products" in 2018. On these these BEFL, as of May, 2018 the land bank of "Solar products" made 157 thousand hectares (the 25th place among the largest Russian latifundists). Rusagro was on the third position with land bank in 675 thousand hectares. Oil and fat business of Rusagro includes oil extraction plant in the Samara region, fatty plant in Yekaterinburg, the Seaside Soy plant in Ussuriysk at this time and also seven elevators with a total power of 223 thousand tons.

The cost of "Solar products" is in range from 15 to 18.8 billion rubles taking into account the available debt, the analyst of Finam Alexey Korenev estimates. "For Rusagro purchase of an asset so considerable in terms of the scope of which besides perfectly fits in about a production profile of group allows not only to increase the share in the market, but also to considerably expand presence in regions and also to increase a source of raw materials" — Korenev commented on Agroinvestora. Besides, he reminded, "Solar products" have own network of trading houses and representations in Russia and the neighboring countries. Nevertheless monopolization of the Russian oil and fat market will not happen, the analyst of IFC Markets Dmitry Lukashov notices. "On the main goods items, except margarine, coproduction of Rusagro and "Solar products" does not exceed even a quarter of the all-Russian volume" — he explains. At the same time the companies will gain positive effect thanks to synergy and reduction of management and general business costs. The total cost of "Solar products", according to Lukashov, can reach 50-60 billion rubles.

Both Rusagro, and "Solar products" are included into the list of 500 leading companies of the country. In the rating of RBC of the first in revenue Rusagro companies takes the 152nd place with turnover in 79 billion rubles in 2017, "Solar products" - the 248th (42 billion rubles).

2017: Negotiations on consolidation about South of Russia

In 2017 "Solar negotiations" conducted negotiations on consolidation with the largest Russian processor of sunflower — South of Russia holding of Sergey Kislov. The transaction could become one of the largest in HSC lately, experts estimated its cost at 50-70 billion rubles. Main activities of Holding: production of mayonnaise and sauces, specialized industrial margarine and fats, the packed-up margarine, also technical products, bottled vegetable oil, for industrial processors, meal, acceptance-storage-shipment of seeds of sunflower and grain, grain trading washed production of sunflower oil.

The holding takes the 2nd place on the volume of processing of sunflower in Russia (13% of the general harvest of Russia), enters into the three of the largest producers of mayonnaise in Russia from market shares of 15%, takes the 2nd place in Russia on production of margarine products, is the largest producer of laundry soap in the CIS.

Control over holding belongs to the Bouquet group. The chairman of the board of directors is Vladislav Burov.

The Solar Products holding includes three fatty plants (including the Moscow fatty plant, the Novosibirsk fatty plant, the Saratov fatty plant), Atkarsky oil extraction plant, a number of elevators, etc. The enterprises of group produce mayonnaise under the trademarks "Moscow Provansal", "Solar Line", "Olivyez", "Chudesnitsa", margarine under the Heat Oven and Russian brands, sunflower oil under the Russian and BRIGHTLY trademarks.

By estimates of the company, its share in the Russian market of mayonnaise makes 11.8%, industrial margarine — 25.5%, the packed-up margarine and spreads — 11%. For 2005 the holding produced 503 thousand tons of fat-and-oil products, from them: 174 thousand tons of margarine, 218 thousand tons of bulk vegetable oil and 66 thousand tons of mayonnaise. Turnover of the enterprises entering into holding in 2004 made 10.1 billion rubles.
