2020: In Galaktika IT corporation the corporate conflict because of sale of Top Soft Ltd erupted

In the middle of October, 2020 it became known of the corporate conflict in Galaktika IT corporation. Its head structure – JSC Yunitisoft – took Arbitration court of the Moscow region to dispute sale of Top Soft Ltd, one of assets of corporation.

According to Kommersant, the defendant in this case – the Deputy CEO Top of Software Denis Ignatenko – purchased 100% of the company from approval of Board of Directors of Galaktika then he "transferred" stocks to board members of corporation. Among them — Alexander Kondral, Elena and Gennady Gatsko, Vadim Volodko, Pyotr Leshchenok, Anna Vasilevskaya and Valery Basalyga, all of them are co-owners of Yunitisoft.

The CEO of Galaktika Andrey Marushkevich who also possesses a share in Yunitisofta negatively reacted to this transaction. He tried to recognize the transaction insignificant in Economic court of Minsk, but the attempt was unsuccessful.

Top Soft petitioned for diversion and referred to this solution, but the Arbitration court of the Moscow region considered that at affairs the different bases and a subject of proof.

Sale of a large share block of the company to own workers looks unusually, and cases when similar transactions covered some other transactions for example connected with attempts of establishment of corporate control in practice meet, the adviser of Ilyashev and Partners company Dmitry Konstantinov says. At the same time chance, according to him, to return the company to the structure of corporation, despite already taken place failure of court in Minsk, remains. The adviser of judicial and arbitration practice of lawyer bureau "Egorov, Puginsky, Afanasyev and Partners" Oleg Buyko believes that the court can satisfy the claim if the claimant proves that defendants allowed gross violations of corporate procedures and also abuse of the right took place.^[1]
