2021: Court decision to recover a premium of 12.5 million rubles in the bankruptcy estate "Asteros"
From the published court documents, it is known that during a difficult period for the company, Asteros top managers were paid millions of bonuses, mainly for 2017: "In the controversial pre-bankruptcy period, the debtor made numerous transactions to pay bonuses in favor of his employees."[1].
Bankruptcy trustee Alexei Belokopyt, through the court, achieved the recognition of such payments as invalid in order to force the recipients to return the money and transfer it to the general bankruptcy estate.
The file of arbitration cases contains information about attempts by some former top managers of Asteros to challenge court decisions to "cancel" the awards. For example, Alexander Sayenko, who worked as the general director of Asteros JSC from January 2016 to July 2018, tried to challenge the recovery of 12.5 million rubles from him, paid to him by the company as bonuses based on the results of his work for 2017. In 2021, the court ordered to recover from him the indicated amount in favor of Asteros JSC for transfer to the bankruptcy estate of the debtor[2].
During the period for which bonuses were paid to Alexander Sayenko, Asteros was in unsatisfactory financial condition, the court said.
The courts found that at the date of the controversial payments, the debtor answered the signs of insolvency and insufficient property, - says the court ruling on the cassation appeal of Alexander Sayenko dated April 21, 2022. |
In addition, the court did not understand for what merits Alexander Sayenko was then paid bonuses.
Evidence of the fulfillment of the plan or other contribution, special merits to Asteros, as well as confirmation of the actual performance of the scope of work commensurate with the premium paid, which could serve as a basis for bonuses, are not presented in the case file, - says one of the decisions of the Court of Appeal. - Confirmation that the result of the defendant's activity was so significant that the payment of the bonus to him could be considered as reasonable and economically justified, there is also no[3]. |
