Biography

Was born on October 23, 1968 in Moscow.

Candidate of Economic Sciences graduated from the Moscow institute of radio electronics and automatic equipment (MIREA) as "programmer" and the Russian Economic Academy of G.V. Plekhanov.

Herman Kaplun has broad experience in the field of banking, programming and consulting. In the past fulfilled duties of the director of banking technologies in the Moscow company specializing in software development. Before completely concentrating on RBC in 1998, Mr. Kaplun was a co-owner of small bank. Owns a share block of the company which is engaged in property sale.

1991: Orgtekhnika production cooperative, vice chairman of the board.

2008: The credit from RBC for $46 million

According to Vedomosti, Herman Kaplun, Alexander Morgulchik and Dmitry Byelik were owners of Pralberto company[2] at this time].

In 2008 Pralberto obtained the credit from RBC for $46 million [1] (document). The fact that founders of RBC took "in crisis" this amount from RBC also was reported by Vedomosti[3].

2009: Basis Byte Telecom

In 2009 Byte Telecom Ltd for 75% belonging to offshore Aquarius Market limited was founded. The cousin of Herman Kaplun Iosif Pintus, the head of RBC Ukraine[4] was the director of offshore]. The owner of offshore is Oleksy Boloban, the financial director of RBC Ukraine. Later "Izvestia" wrote[3]that behind offshore there were Herman Kaplun and Alexander Morgulchik. On 12.5% Byte Telecom Alexander Panov and Yaroslav Karetsky owned.

In 2009 Herman Kaplun holds a position of the CEO of JSC RBC Information Systems.

2011: The credit of $46 million is provided with pledge of 9.5 million stocks of RBC

In 2011 the offshore Trafford Inc owning 9.5 million stocks of RBC put them in RBC [2] (document). The cost of pledge was estimated also at $46 million. Pledge became Pralberto debt collateral before RBC [3] (document).

2012: Leaving RBC in TMT Investments

In April, 2012 the Board of Directors of RBC discharged of a post of the CEO of the company Herman Kaplun and appointed to this position of the chief executive of Oneksim Sergey Lavrukhin.

Four representatives of Oneksim in Board of Directors of RBC and two independent directors voted for discharge of the Capon, refrained – the independent director Vladimir Pakhomov, one of founders of RBC Alexander Morgulchik and the representative of creditors Anton Kiryukhin.

At this time Onexim (controls 51% of shares of JSC RBC) demanded convocation of extraordinary Board of Directors and appointment of the new head of media holding. The capon said to Vedomosti that he will leave RBC regardless of what will solve Board of Directors of the company.

"The question costs very simply – either I, or Lavrukhin, - he said, - together we will not work well together".

Together with the Capon the company was left by other founders – Morgulchik, Dmitry Byelik and also the CEO of "RBC media" Artem Inyutin and the CEO of Media of the worlds Mikhail Gurevich.

"We do not wish to participate in an experiment with RBC when the person who has no experience of management of the big media company is engaged in it", - the Capon and Inyutin explain.

As told a source in Oneksim, partners reached a deadlock on a number of questions - because of $46 million which founders of RBC borrowed at the company in crisis, but by this time did not return, before their participation in TMT Investments investment fund that the group regarded as the competition, disputes were also at the share price when carrying out an additional issue. The capon called all charges far-fetched[5].

Later the CEO of the Onexim group Dmitry Razumov distributed the statement in which he reported that contradictions between group and the previous management of RBC can be settled in the nearest future.

Since 2012, after leaving RBC, Herman Kaplun focused on work of TMT Investments investment company. In 2013 in an interview to the Sekret Firmy edition it so described the nature of the activity[6]:

Investments — boring work. When I worked in RBC, was loaded 15 hours a day. Happened that passed per day through me on 100 people. Now made investment and you wait. You will obtain the following financial data in a month. Sometimes there is not enough activity.

2013: Settlement of a debt to RBC

In 2013 Pralberto transferred to Trafford the obligations for the credit before RBC. At the same time Trafford transferred these obligations to offshore Karuta Investments, also the packet of 9.5 million stocks of RBC was transferred to it. Agreed to all these transactions of RBC and two agreements of innovations were signed. The share block of RBC designated above continued to be in pledge at RBC [4] (document).

In the fall of 2013, after the transaction between Pralberto, Karuto and RBC, the list of affiliates of RBC includes Karuto and Byte Telecom [5] (document). RBC follows from the subsequent documents that the holding owned 75% of stocks Byte Telecom through Karuto [6] (document).

It is possible to draw a conclusion that broadcast of a controlling stake of Bai-Telecom was a part of settlement of debt of founders of RBC. As it was already noted, in 2013 RBC signed two agreements of innovations with offshores Pralberto, Karuto and Traffbord. Agreements were signed 9/9/2013 [7] (p 8). Within the same agreements of RBC also received Byte Telecom from Aquarius market limited (information contains in materials of judicial proceedings of RBC with Panov).

2014: Entry into Board of Directors of Armada

On July 21, 2014 Herman Kaplun was a part of Board of Directors of Armada group.

Family

From open messages of the London exchange it is known that Herman Kaplun has daughters Vlada Kaplun and Marina Kedrova.
