Biography
The social network "VKontakte" was launched in 2006 by Pavel Durov. He invited his former classmate Vyacheslav Mirilashvili to partners, and he invited his acquaintance Lev Leviyev. Durov bought a server with his own money, and Mirilashvili took $30,000 for the project from his father. Three partners then owned 20% of the social network, another 40% went to grandfather Mirilashvili. Later they sold 39.99% of VKontakte to Alisher Usmanov.
Mirilashvili and Leviyev tried to sell their shares back in 2011, sources told Vedomosti. But sellers estimated VKontakte at more than $3 billion, and there were no buyers at this price.
In the summer of 2012, the owner of Marshall Group Konstantin Malofeev offered to buy out the shares of Mirilashvili and Leviyeva, he estimated the company at $2.6 billion.
On April 17, 2013, it became known that the United Capital Partners (UCP) fund acquired a 48% stake in the VKontakte network. 40% of the shares were sold by the co-founder of the network Vyacheslav Mirilashvili and his father, Mikhail Mirilashvili. Another 8% was sold by the executive director of VKontakte Lev Leviyev.
Thus, UCP became the largest shareholder of VKontakte. 40% of the network's shares belong to the Mail.ru Group holding, 12% to the general director of VKontakte Pavel Durov. At the same time, Durov also manages the share of Mail.ru Group.
The amount of the transaction was not disclosed. The last deal, which was carried out by the Mail.ru Group with Vkontakte shares, took place in the summer of 2011. Then the entire network was valued at $1.4 billion. Based on this estimate, the amount of the current transaction could be about $700 million.
The Vkontakte shareholder agreement provided for the pre-emptive right of existing shareholders to buy out shares in the company, a source among shareholders told CNews. Notification of the upcoming deal was not sent to the shareholders, but it will still be difficult to challenge the sale, says the source of CNews: most likely, the shares in VKontakte were not sold directly, but together with the corresponding offshore companies[1].
