2024: New Roster Approval: Four New Independents
On November 6, 2024, Ozon announced the end of the formation of a new board of directors of the company. It included four new independents:
- former managing partner of AFK Sistema PJSC Vsevolod Rozanov;
- Director of the Institute of Countries Asia Africa MSU and Alexey Maslov;
- founder and CEO of Jacobson Partners Dmitry Akopov; businessman Ivan Kolomiets.
The Ozon press service clarified that all independent directors were appointed in accordance with the provision of the 94A charter of the company and will be represented for re-election at the next General Meeting of Shareholders.
In August 2024, Ozon announced the resignation from the board of directors of all independent participants. These are: Nilesh Lahani, Charles Ryan, Lydia Jett and Peter Sirota. At the same time, as part of the planned rotation, the board was left by representatives of Vostok Investments Elena Ivashentseva and Dmitry Kamensky - instead of them, Ozon's board of directors included Kirill Lykov, deputy general director for economics and finance of T Plus PJSC, and Alexander Rogovoy, former top manager of Rostelecom PJSC.
Thus, as noted by Interfax, by November 2024, the Ozon board of directors was approved in the amount of 9 people. As of the end of January 2024, in addition to Ivashentseva, Kamensky and 4 independent directors, Ozon's board of directors included CEO of AFK Sistema Tagir Sitdekov, managing partner of AFK Alexei Katkov, CFO Ozon Igor Gerasimov.
By the beginning of November 2024, Ozon co-owners are AFK Sistema with a share of 31.76%, Vostok Investments, which has 28%. The rest of the shares are in free float.[1]
2021: New line-up approved
On December 23, 2021, at the annual meeting of shareholders Ozon , the updated composition of the company's board of directors was approved. It included Nilesh Lakhani as an independent director, succeeding Princeville Capital managing partner Emmanuel DeSousa.
By the end of December 2021, Nilesh Lakhani is the chairman of the board of directors of the travel company Despegar. In the past, he also served on the board of directors of Qiwi (2013-2014) and was the financial director of Yandex (2007-2010).
This is the only change on the Ozon board of directors - the rest of the members were re-elected. By the end of December 2021, the composition includes:
- two representatives of Baring Vostok - senior partner of the fund Elena Ivashentseva and partner Dmitry Kamensky;
- two representatives of AFK Sistema - the head of the corporation Vladimir Chirakhov and managing partner Alexei Katkov;
- UFG Asset Management managing partner Charles Ryan;
- Ozon CEO Alexander Shulgin;
- SoftBank Investment Advisors (SoftBank Vision Fund) investment partner Lydia Jett;
- Peter Sirota, head of the American Mapbox mapping service;
- Nilesh Lakhani.[2]
Jett has been an investment partner of SoftBank Investment Advisors since 2015, in its field of activity - investments in e-commerce, consumer, Internet fintech, robotics. The SoftBank Vision Fund portfolio includes, in particular, a coworking project, WeWork taxi services and, DiDi Uber messenger Slack , etc.
Ozon's head structure is Cyprus-based Ozon Holdings. Through the Russian Ozone Holding, it owns six Russian companies: Ozone Volga, Internet Logistics, Internet Solutions, Ozon Tech, O-Courier and Ozone Invest. Ozon Holdibngs also owns the Cypriot Davco Management, which, through the Russian company Internet Travel, owns the Ozone Tour company.
