The Russian Railways Board of Directors provides general management of the company's activities. The main task of the Board of Directors is to carry out a policy ensuring the dynamic development of the company, increasing the sustainability of its work, as well as increasing the profitability of the company.
2024: Maksut Shadayev joined the board of directors of Russian Railways. New line-up
At the end of June 2024, the Russian Government approved the composition of the Board of Directors of Russian Railways. It included 14 people instead of the previous 12. The company's board of directors includes the Minister of Digital Development, Communications and Mass Media of the Russian Federation Maksut Shadayev, the Minister of Transport of the Russian Federation Roman Starovoit, the Minister power of the Russian Federation Sergei Tsivilev.
According to the order of the government of June 28 N1706-r, which was signed by Prime Minister Mikhail Mishustin, Deputy Prime Minister of the Russian Federation Dmitry Chernyshenko left the board of directors of Russian Railways. The following retained their seats on the council:
- Head of Russian Railways Oleg Belozerov;
- Minister of Defense Andrei Belousov (headed the Board of Directors of Russian Railways from 2020, until May served as First Deputy Prime Minister of the Russian Federation);
- chapter; RDIF Kirill Dmitriyev
- Deputy Finance Minister Irina Okladnikova;
- Minister of Economic Development Maxim Reshetnikov;
- Deputy Prime Minister Vitaly Savelyev (until May 2024 - Minister of Transport of the Russian Federation);
- Minister of Construction, Housing and Communal Services Irek Fayzullin;
- Sergey Frank, Chairman of the Board of Directors of Sovcomflot PJSC;
- the head of the Agency for Strategic Initiatives (ASI) Svetlana Chupsheva;
- Rector of RANEPA Aleksei Komissarov;
- Chairman of the Board of Trustees of the Public Law Company "Fund for the Development of Territories" Sergey Stepashin.
As of July 2024, 100% of Russian Railways shares belong to the state. Members of the Board of Directors do not have shares in the authorized capital of Russian Railways.
Members of the Russian Railways Board of Directors shall be elected by the General Meeting in accordance with the procedure stipulated by the Federal Law "On Joint Stock Companies" and the Charter for the period up to the next Annual General Meeting. According to the charter, the quantitative composition of the board of directors cannot be less than 5 members, and the person exercising the functions of the sole executive body of the company cannot simultaneously be the chairman of the board of directors.[1]
2021: Approval of a new board of directors
In mid-May 2021, it became known about the new composition of the Board of Directors of Russian Railways. First Deputy Prime Minister of the Russian Federation Andrei Belousov was re-elected its head.
In accordance with the order of the Government of the Russian Federation, the Board of Directors of Russian Railways in 2021 included the Minister of Transport of the Russian Federation Vitaly Savelyev and Deputy Finance Minister Irina Okladnikova.
The following retained their seats on the council:
- Deputy Prime Minister Dmitry Chernyshenko;
- Dmitriyev, head of the Russian Direct Investment Fund;
- Minister of Economic Development of the Russian Federation Maxim Reshetnikov, Chairman of the Board of Directors of the Russian Holding Company Alexander Ryazanov;
- Deputy Minister of Finance of the Russian Federation Alexei Sazanov;
- Minister of Construction and Housing and Communal Services Fayzullin;
- Chairman of the Board of Directors of Sovcomflot Sergey Frank;
- General Director of Russian Railways Oleg Belozerov.
As independent directors on the board of directors remained:
- Chairman of the Kaskol Group Sergey Nekhoroslev;
- former Chairman of the Board of the State Railway Holding "Austrian Railways" Christian Kern;
- Chairman of the Supervisory Board of the State Corporation - Fund for Assistance to the Reform of Housing and Communal Services Sergey Stepashin.
At a meeting of the Board of Russian Railways at the end of 2020, Andrei Belousov, as the main tasks for 2021, determined to ensure the sustainable operation of the passenger complex, to ensure the implementation of investment projects (special attention should be paid to the development projects of BAM and Transsib, including the completion of the Mezhdurechensk-Taishet line project), repair of tracks, renewal of rolling stock and the introduction of a take-or-pay freight transportation mechanism (first of all, coal transportation must be worked out according to this scheme).[2]
