Completion of acquisition by Cian.ru

Cian PLC received the approval of the Government Commission for the Control of Foreign Investments in the Russian Federation and signed a purchase and sale agreement for the acquisition of 100% shares in the authorized capital of SmartDeal (Practice of Success LLC). This became known on September 19, 2023.

Re-entering into a preliminary agreement on the purchase by Cian.ru of 100% of the Success Practice

Cian PLC ("Cian.ru"), which develops an online platform for real estate announcements in Russia, on May 2, 2023 announced the re-conclusion of a preliminary agreement on the acquisition of 100% in the authorized capital of Practice Success LLC, which provides SmartDeal electronic registration service and other related services for various types of real estate transactions. The contract was concluded by a subsidiary of the Cian.ru group, LLC Aireltor.

The completion of the transaction depends on the standard closing conditions, as well as on obtaining permission from the Government Commission of the Ministry of Finance of the Russian Federation.

As explained in the company, the signing of a new agreement was required due to the fact that the necessary permits from regulatory authorities in accordance with the previous preliminary agreement concluded by the parties in relation to the same subject in 2021 were not received within the period indicated in the document.

"Cian" and "Practice of Success" began cooperation in early 2021 as part of work on the online transaction service - Cian.ru.Delka, "which was launched in October 2021.

The SmartDeal acquisition is expected to contribute to the development of a comprehensive platform for online transactions "Cian.ru," increase the value of the product offer for both B2B and B2C customers, while strengthening online transaction services, as well as expand the line of B2B products for realtors, developers and banks.

2022: "Cian" bought SmartDeal

Cian bought the SmartDeal electronic real estate registration service. This deal was officially announced on January 24, 2022. At the same time, the financial component of the company was not disclosed.

The transaction is planned to be closed after "meeting standard conditions" and receiving approval from the commission for monitoring the implementation of foreign investments in Russia.

The Smartdeal acquisition is expected to support Cian.ru 's strategy to expand its suite of real estate deals for both customers and consumers. In addition, it will allow more active development of the online transaction service, which will lead to a general expansion of the Cian.ru product line for professional customers, the press release said.
