History

2022: 4iG bought Antenna Hungaria

At the end of February 2022 the Hungarian 4iG , she announced the conclusion of a merger agreement with Antenna Hungaria. The national telecommunications group formed as a result of this transaction will become the second largest player in the Hungarian telecommunications market. 4iG bought Antenna Hungaria

This step occurred after in August 2021, 4iG and Antenna Hungaria entered into a cooperation agreement with the aim of combining public and private capital, as well as creating a strategic telecommunications infrastructure national telecommunications group in Hungary. According to the agreed deal, the Hungarian state will own a 28.4% stake in the combined group, while the 4iG will receive a controlling stake of 71.6%.

Hungarian Minister of National Assets Management Andrea Mager and Chairman of the Board of Directors 4iG Gellert Yashay agreed on the terms of the transaction. As a first step, 4iG will acquire a 71.6% stake in Antenna Hungaria through an increase in capital through its shares in Digi, Telenor Crna Gora and Invitech.

In accordance with the agreement, 4iG will increase the capital of Antenna Hungaria by transferring to the state-owned Digi Tavkozlesi es Szolgaltato its subsidiaries Invitel, Digi Infrastruktura, i-TV, Invitech ICT and Montenegrin mobile operator Telenor Montreal. The cost of increasing capital reaches $1.22 billion. The share transfer and subscription agreement provides 4iG with an additional opportunity to increase its stake in Antenna Hungaria to a maximum of 80% by further contributing assets.[1]
