History

2015: Rosneft transferred control of the IT assets on the party

The Federal Antimonopoly Service (FAS) satisfied in February, 2016 the petition "Siberian the Internet of the company" (Sibintek) about acquisition of the rights allowing to perform functions of executive body of RN-inform LLC by it — IT subsidiaries of Rosneft.

Thus, Rosneft displays IT assets from under the individual management, transferring them to the company which is not completely controlled by it.

According to the USRLE databases and " circuit.focus ", Sibintek integrator only for 49% belongs to structures of oil giant while 51% of the company are registered for Businesskontsept LLC. Founders of this organization in the state register are not specified now. However earlier among them were UK Regionfinanceresurs Ltd and a certain Pavel Vashchenko is the owner^[1].

The press service of Rosneft reported to Interfax that the company considers IT assets for itself non-core therefore it organized an auction for their sale in which it won against Sibintek.

By data " circuit.focus ", revenue "RN-inform" in 2014 made 16.9 billion rubles, and net profit — 1.3 billion rubles. Similar indicators of Sibintek — 391 million rubles and 39 million rubles respectively.

2014: Profit increase

Profit "RN-inform" in 2014 grew almost twice to 1.3 billion rubles. At the end of 2013 profit was 0.68 billion rubles, the Vedomosti newspaper in October, 2015^[2] reported ^[2]. Revenue of the company in a year increased by 45.3% from 11.6 billion to 16.9 billion rubles. It is said in the report on 50 most profitable Russian IT companies TAdviser PROFIT 50.

The companies executing mainly orders of the parent companies are called insourcers. The Chief Editor of TAdviser Alexander Levashov states two basic reasons of creation of insourcers. First, it is security – large corporations are preferred that their crucial IT systems serviced and developed internal employees. Secondly, it is an economic benefit, it continues. If the market integrator works with a margin (according to the rating of TAdviser, their average profitability made 5.7%), then the internal integrator can work at cost. Levashov cites as an example SberTech – the internal IT company of Sberbank which, according to him, repeatedly declared lack of profit on projects of Sberbank. The press service of SberTech specified to Vedomosti that the marginality of the company does not exceed 1%. Profit "RN-inform" in 2014 was 7.7% of its income.

Profit "RN-inform" does not make economic sense as arrived from service of parent company, the expert in business optimization of one of the large consulting companies explained to Vedomosti. Such amount of net profit can testify to inexact assessment of rates of works and the project budgets "RN-inform", the interlocutor of Vedomosti believes. He explains with the profit earning fact recently announced "RN-inform" the tender.

On August 11 this year "RN-inform" on the portal of public procurements announced competition on 2.8 million rubles for comparison of cost of IT services and rates of specialists "RN-inform" with market. The company is the only supplier of all IT services for Rosneft and the lack of the competition to other companies "results in need of search of objective criteria for evaluation of efficiency of activity", according to purchase.

Compare it will be difficult – a number of services historically formed under the influence of requirements of the specific customer, the company renders some IT services in remote regions (for example, near oil fields) and a set of services are connected with support of rare software, the document says.

Only the KPMG company which offered the price in 2.56 million rubles participated in tender and, "considering urgent requirement" (as stated in procurement documentation), with it and decided to sign the agreement.

Among insourcers the rating of TAdviser in addition to "RN-inform" included also insourcer of Tatneft – Tatintek with marginality of 4.7%. The marginality of other insourcers is much less, than at "RN-inform", – at Lukoil-Inform it is 0.3%, at Greenatom (insourcer of Rosatom) – 2%, Levashov says. Plus the absolute amount of net profit of these insourcers did not allow them to enter rating, Levashov notes.

By the generalized estimates of IDC, not less than 30% of the market are the share of insourcing, the analyst of IDC Vasily Agapov says.

Profit "RN-inform" can or return to the budget of parent company in the form of dividends, or the company can spend this money, for example, for personnel training and researches, the expert in business optimization of one of the large consulting companies says. However, money for it would be more logical to be taken directly from the budget of parent company on the terms of payback too, he notices.

Arguing on the reasons of growth of revenue, the interlocutor of Vedomosti in the guide of one of IT partner "RN-inform" reminds of the merge of Rosneft and TNK-BP which entailed consolidation of IT structures. Merge added works "RN-inform" which should service the bigger number of the enterprises now, the source is sure. This merge could affect positively and the profit of 2014, Levashov from TAdviser argues. According to him, in 2013 "RN-inform" reduced the duplicative divisions which appeared after merge, optimized own structure (having left only six of 16 divisions) and changed price policy for the services.

Besides, Rosneft was going to increase the volume of IT services in 2014 – the head of IT service of Rosneft Anton Strokovich told about it in December, 2013.

2013: The place in the updated structure of IT service of Rosneft

According to relevant tasks and global scales of business of JSC Rosneft by the fall of 2013 the new operational model and an organization structure of IT service was created.

For effective development of corporate information environment in new structure of service IT three directions which main objectives are are created:

• organizations and development of the integrated infrastructure of processing and data transmission,
• creations of a common information space of the company,
• complex automation of production processes, ensuring operational and precise measurements and also quality control of the produced raw materials and products.

At the same time for ensuring the balanced and effective implementation of these tasks functions of centralized operation are created by project activity, efficiency and the development strategy IT.

For the purpose of the organization of rendering technical support services and metrological support IT assets of the united company based on service provider RN-Inform are consolidated in perimeter of the company and also ensuring technical competences and production resources in structure of service IT.

The formation of management team of the joint Service IT headed by Anton Strokovich as the adviser to the President of JSC Rosneft was completed. The directions of Service IT are headed by Sergey Pegasov (IT service), Maxim Kadantsev (Informatization and development of business processes), Alexey Reutov (Production automation, metrology and quality control), Valery Brazhnikov (Strategy and organizational development), Dmitry Kulikov (Planning and performance management). The position of the CEO RN-Inform is held by Vadim Mitelev, the First Deputy CEO - Alexey Vinokurov.

The new team of heads adjusts control of operating activities and integration of management processes of IT in the integrated perimeter of the Company is carried out. For consolidation of plans of long-term development of corporate information technologies and services development of IT strategy is completed. Also large-scale reorganization of corporate IT provider RN-Inform for solving of tasks of IT strategy of the Company and increase in efficiency of the organization of the IT service is carried out.
