Payment of debts of the Federal Tax Service and cancellation of bankruptcy procedure

As CNews found out in August 2021, the oldest legal entity founded back in 1990 by Tagir Yapparov and Igor Kasimov of the Aichi group (today operates under the Aplana brand) managed to avoid launching bankruptcy proceedings against him and introducing external surveillance.

As follows from the judicial file cabinet, on August 18, 2021, the Moscow Arbitration Court refused to satisfy the corresponding claim against Aichi Firm JSC. Information technologies "from the Moscow inspectorate of the Federal Tax Service (FTS) No. 28.

From the publicly available court decision, it can now be concluded that the company at the time of filing the claim owed the state 88.7 million rubles. According to the calculation submitted by IFNS No. 28 in Moscow, this amount consisted of 52.8 million rubles. and 28.9 million rubles. the principal debt (as in the court decision; - approx. CNews), as well as penalties and fines in the amount of 7.1 million rubles.

In the process of considering the case, the defendant managed to almost completely pay off the state. This is indicated by the text of the court decision.

"In accordance with Clause 2 of Article 4 of the Federal Law" On Insolvency (Bankruptcy), "the amount of mandatory payments excluding... fines (penalties) and other financial sanctions, it says. - The evidence submitted to the case file confirms the debtor's lack of debt on the principal debt to the authorized[1]
.
"Since in the framework of the bankruptcy case under consideration there are no applications from other creditors to declare the debtor bankrupt, the documented repayment of the debt is the basis for refusing to introduce supervision and terminate bankruptcy proceedings," the servants of Themis conclude.

In a conversation with CNews, Igor Kasimov, who is now the general director of the Aichi management company (UK), confirmed that given the surprise of the claim, the company revised its debt repayment plan and fully paid the tax arrears even before the court hearing, which led to the termination of proceedings in the case.

"The company operates normally, conducts projects for its customers and plans to successfully complete this difficult year for the market," adds Kasimov.

FTS files a bankruptcy lawsuit against JSC "Firm AiTi"

In relation to the oldest legal entity of the Aichi group (the new brand is Aplana), a bankruptcy case was opened in June 2021 due to tax evasion. The management of the entire group admits that 2020 was a year of falling revenue for it, although it insists that it did not come to a cumulative loss. However, many companies of the group ended last year in the red, while a significant part of organizations have bank accounts blocked by the decision of the tax authorities.

As CNews found out, the oldest legal entity founded in 1990 by Tagir Yapparov and Igor Kasimov of the Aichi group (operating under the Aplana brand) risks becoming bankrupt[2].

Lawsuit against JSC "Firm'Aichi." Information Technologies "on bankruptcy on June 23, 2021 was filed by the capital's inspectorate of the Federal Tax Service (FTS) No. 28 with the Moscow Arbitration Court . Two days later, it was accepted for consideration. The next hearing on the case is scheduled for August 17.

The amount of claims of tax authorities (as sometimes happens) is not indicated in the lawsuit card in the judicial file cabinet.

According to Kontur.focus Sa, at the end of 2020, the revenue of a bankrupt legal entity amounted to 626.7 million rubles. with a decrease in this indicator by 52% compared to the previous year. Net profit was at the level of 2.7 million rubles.

As of July 6, 2021, the organization has bank accounts blocked by decision of the tax authorities. Kontur.focus does not have data on state contracts concluded by it during 2021, although its database contains information on 488 state contracts of other years totaling 8.1 billion rubles.

About half of the other companies in the group as of July 2021 also have accounts blocked by tax authorities, some organizations ended 2020 with losses (detailed analysis - below).

In the rating "CNews100: The largest IT companies in Russia" at the end of 2018, "Aplana" occupied 29th line with total revenue of 6.736 billion rubles. In subsequent years, the group did not participate in the compilation of this rating.

In a conversation with CNewsIgor Kasimov, who is now the general director of the Aichi management company (UK), did not hide the fact that the group's total revenue at the end of 2020 decreased compared to the previous year. He explained this trend by the well-known situation with the COVID-19 pandemic, when the IT budgets of key customers were not fully spent in 2020, as well as the fact that in 2020 the Applan group continued restructuring, "focusing on import-substituting and its own product areas of activity, closing or selling those businesses that are not strategic for it."

"At the same time, a number of the group's companies showed both revenue growth and profit, in others the result turned out to be more modest, but in general the group ended 2020 without a loss," Kasimov assures. "By the end of 2021, the group expects a noticeable increase in overall revenue and profit indicators."

As for the Aichi bankruptcy claim as one of the group's companies, in this case, in addition to the economic downturn and restructuring costs, according to Kasimov, tax additional charges as part of an on-site audit of the Federal Tax Service have become an additional negative factor. "This company (like a number of other group companies) was included in the list of system-forming for the industry and applied for a deferral of tax payments in 2020, but did not receive it and fully paid additional charges for 2020, which led to a delay in payments on current taxes," says top manager.

He also notes that in June 2021, Aichi JSC changed its legal address in connection with the move to a new office, and the new inspection at the place of registration immediately filed a lawsuit for bankruptcy, without even contacting the company. "This turned out to be a complete surprise, since the previous inspection, in which the company was registered, not only did not go to court with such a statement, but did not even notify the company of such a prospect," Kasimov notes.

"We inform you that the company pays tax payments in the amount of accruals and plans to pay off all existing debts by the end of the year, having received payment for currently executed contracts," he concludes. "We expect to agree with the tax inspectorate on a reasonable time and procedure for resolving the issue."

TAdviser interview with Tagir Yapparov

In May 2018, Tagir Yapparov, Chairman of the Board of Directors of ATI Group of Companies, in an interview with TAdviser Editor-in-Chief Alexander Levashov , spoke about the process of transforming ATI from a system integrator into a software developer .

2016

Revenue of 8.82 billion rubles (+ 7 %)

In 2016, the revenue of ATI amounted to 8.825 billion rubles, an increase of 7% compared to 2015. In the ranking "TAdviser100: The largest IT companies in Russia" at the end of 2016, the company "iT" took 26th place.

ATI begins preparations for IPO

In three years, iT expects to hold an initial public offering (IPO) on the Russian stock exchange, [1] Tagir Yapparov, chairman of the board of directors of iT Group, said in an interview with TAdviser in September 2016 .

The lack of capitalization and publicity, he said, does not allow attracting money and planning long-term development - access to capital is difficult, loans are expensive.

ATI plans to launch a set of businesses related to software production, testing and custom software development services.

Tagir Yapparov begins preparing AI for IPO

As of 2016, the group includes manufacturers of Business Logic, BPM Logic, MobilityLab, BOSS software . Human Resources Systems, Information Systems and Strategies (ISS), as well as Aplana, a testing and custom development company.

The turnover of the software business in 2015, according to Yapparov, exceeded 50% of the group's total revenue, which exceeded 8 billion rubles. To enter the capital market, you need to have a turnover of at least $100 million (about 6.5 billion as of September 15, 2016), he said.

File:Aquote1.png
In three years, we plan to have such a volume of revenue from the software business and are actively thinking about mergers and acquisitions. Maybe we will build a more aggressive strategy in this direction. We have a good portfolio, and strategy, and there are dynamics. We understand that we can achieve this, - notes Yapparov
File:Aquote2.png

The cost of the software business, according to the estimates of the head of the ATI Group of Companies, can be 1.5-2 turns: "We apply such estimates, understanding how similar estimates work in Eastern Europe - in Poland, for example, all the main players are capitalized."

On the way to placement in iT, they plan to finalize the strategy ("bring it to a clear market view"), bring the organizational and legal structure of the company to the requirements in accordance with the strategy, and create a history of audited reporting.

File:Aquote1.png
Everyone says that this is an expensive task in itself. But we see it as a strategy. We believe that the company has the potential for a more public, open movement and this will give new opportunities, says Yapparov
File:Aquote2.png

The tasks associated with going public are not easy, he adds, stipulating that there are no such successful examples in Russia, and "if one company enters the stock exchange, no one will normally appreciate it."

File:Aquote1.png
Therefore, this is a story for the market, not just for us. In general, investors do not yet have enough confidence in Russian IT companies. When we talk about our plans, the first reaction is negative: "No one will invest, ratings will be low." Therefore, we say that there should be at least 10 companies. And I think that's critical to the industry. Uncapitalized companies cannot develop the industry, cannot think about technology for 5 - 10 years ahead
File:Aquote2.png

Earlier in September 2016, TAdviser wrote that IBS shareholders were also considering an IPO. Since 2009, 1C has been going to the exchange, 9% of which was bought in 2011 by the Baring Vostok investment fund .

Yapparov believes that the emergence of public companies is a fundamental factor for the development of the market.

File:Aquote1.png
Market fragmentation and a small number of such players is a problem. Capitalization is still important because it makes the company transparent. Consumers now know very little about us. Trust does not arise. Publicity forms a different understanding of our business, vision of strategy, forecasts - what will happen to us in 10 years
File:Aquote2.png

CEO [[New Cloud Technologies|New Cloud Technologies ] Dmitry Komissarov wished AiTi good luck and noted the importance of this step for the market, but expressed the opinion that it would be more profitable to bring individual companies to the stock exchange.

He estimates the cost of "Applana" at 1.5-2.5 revolutions, and the manufacturers of boxed software - at 5-6 revolutions. It makes sense to conduct an IPO when revenue reaches $100 million, he agrees, but if individual companies are placed, each of them will have to be raised to at least this level.

Otkritie Capital analyst Alexander Vengranovich also considers AiT's valuation adequate, but points out that investors are also looking at the forecast growth rate.

File:Aquote1.png
If they have ambitious plans for revenue growth and can explain them, then the estimate looks adequate. It should be understood that the Russian market has a rather limited volume, and given the crisis, even in promising segments of the IT market there are problems associated with the fact that the corporate segment continues to reduce its IT costs. Under such conditions, growth prospects are limited. To show investors a good story, it's good when a company has foreign customers. This can provide her with additional growth
File:Aquote2.png

At the same time, for a business with a turnover of $100 million, Vengranovich believes, it would not look more logical than an IPO, but the sale of a share to either some strategic investor or a fund that, with business growth, would later be ready to go to IPO with the company.

I am sure that the IPO for actively growing IT companies is the main lever of development, the Sergey Matsotsky chairman of the board is sure. IBS He does not undertake to evaluate the prospects for the ATI IPO: it very much depends on the state of the economy in Russia and the real competitive environment, but "so far everything is not developing for the better with this - the" nationalization "of business continues."

Launch Scan and Retroconversion Center

ATI opened a service division in January 2016 - the "Center for Scanning and Retroconversion." Its leader was Pegov Oleg. The staff of the Center for Scanning and Reconversion, distributed across several cities of Russia, will be more than 50 people. It is also planned to attract specialists for specific projects.

"Today, the corporate content market is undergoing active changes. Many large Russian customers are deploying work on the implementation of fully digital business processes, trying to transform into a digital enterprise. The translation of "paper" into "digital" is an integral part of such a transformation, so the digital scanning market is growing rapidly. ATI has all the necessary competencies, technological solutions and experience to quickly occupy a significant share of this market, "said Oleg Pegov, head of the ATI Scanning and Retroconversion Center
.
"We deploy automated scanning and retroconversion complexes for customers, which implement triple quality control of information entry into the electronic document storage/electronic archive. Moreover, these complexes can be located both on the territory of the customer and on the territory of ATI and its branches, says Oleg Pegov. - Their work is similar to the activities of a modern factory: an optimally working process with a minimum of spent resources. The components and personnel of the "digitization factory" can be owned by the customer or used on contractual terms. "

ATI offers services for the digitization of both standard management and financial documents, design estimates and design documentation, and also performs the translation into electronic form of information from any media, not only paper.

ATI has been providing scanning services for current and archived documents within the framework of comprehensive ESM projects since 2007. The Scan and Retroconversion Center is designed to summarize and make the most of this experience. Corporate ECM solutions, including the creation of electronic document management systems, electronic archives and document repositories, are one of the largest and intensively growing business areas of the iT group of companies.

2015: Transformation from Integrator to Developer

In October 2015, the iT group acquired a stake in Information Systems and Strategies (ISS), a company specializing in the development of solutions for managing services.

According to the chairman of the board of directors of the group Tagir Yapparov, the deal marks a new stage in the development of iT - the transformation from a system integrator into a product developer.

Tagir Yapparov: The system integration market is shrinking, profitability from this business is declining, so iT is gradually increasing its share of its own products and is being transformed into a software company

In a conversation with TAdviser, he revealed this idea in several theses and announced plans to consolidate technology companies.

The system integration market, according to Yapparov, is declining, profitability from this business is declining, so iT is gradually increasing its share of its own products and is being transformed into a software company. Own products bind customers, create a regular business model, he is sure.

File:Aquote1.png
Product creation has been part of ATI's strategy for all years. At different stages, we invested in different technologies - in the 90s they were ERP systems, in the 2000s - ECM, now - corporate mobility. Today, system integration accounts for only 40% of the group's revenues. If we used to talk about ourselves as a system integrator with our own products, now we say that we are a developer of products with system integration
File:Aquote2.png

Big IT companies need new products all the time to sell them, adds Yapparov. For global corporations, he said, the situation is similar - for example, IBM buys dozens of companies a year. It is impossible to independently develop a large number of successful technologies that are needed for the market, he said.

File:Aquote1.png
For a small technology company, selling to a strategic investor is also a logical development. After all, it is not enough to create a good product. It still needs to be sold. And for this you need to hire expensive sales. Reaching the sales level is a serious job that is a barrier to most tech players. This is a global practice. Therefore, often attracting an investor turns out to be the best scenario for shareholders
File:Aquote2.png

Usually, unification projects in Russia are not very successful, the head of AiT notes. This is due to the fact that the experience of business integration has not been gained. ATI, according to Yapparov, has this experience. "ATI" is more a federation of companies than a rigid structure, he says. In this model, development companies have their own limitations and rules for working together, but there is also a greater degree of freedom: "Within this model, we attract participants we consider interesting."

File:Aquote1.png
In Russia, they usually do not buy companies, but buy people. It was always considered the best way. I am sure that this demotivates the team and kills perspective. Management must be a participant in the process
File:Aquote2.png

The moment in the market is such that it pushes for cooperation, Yapparov believes. If earlier the ideas of cooperation did not cause much resonance, there were no discussions and concrete steps around this, now it has become an understandable idea.

File:Aquote1.png
The concept of "I will do everything myself and will not give it to anyone" is characteristic of the early stage of market development. The cycle of creating your own technologies is 3-5 years. Today we do not have time to do everything ourselves. Therefore, we are ready to cooperate
File:Aquote2.png

2014: Creation of the Center of Competence for Construction, Engineering and IT Infrastructure

In the spring of 2014, iT created the Center for the Competence of Construction, Engineering and IT Infrastructure, which made it possible to collect into a single whole all the expertise in the field of creating information and engineering infrastructure at large construction facilities, which in recent years has been actively increasing in the company. So, for several years, iT has completed a number of serious geographically distributed infrastructure projects, including for Olympic facilities in Sochi, thereby confirming the ability to act for customers as a unique integrator of heterogeneous engineering and IT systems.

ATI has collected all the necessary competencies and resources for the implementation of complex and large-scale projects for the construction of engineering and IT infrastructure in production, administrative and public structures: industrial facilities, transport infrastructure facilities, business centers, sports facilities, healthcare institutions, educational institutions, automated warehouse complexes and archives, hotel complexes and shopping centers.

Taking into account the plans of the Competence Center for work in projects of a significant scale and understanding the high responsibility for the creation of large construction facilities, iT several times increased the limits of responsibility in self-regulatory organizations in terms of organizing the design, construction, reconstruction and overhaul of capital construction facilities.

In addition, the existing quality management system at iT was expanded to new types of activities, and its recertification was carried out according to ISO 9001:2008.

The works carried out by iT on the design, installation, modernization and maintenance of the engineering and IT infrastructure of objects include:

  • Communication networks: structured cable systems, communication systems, complex automation systems of facilities
  • Power supply and lighting systems
  • Integrated security systems: security alarm systems, access control and control systems, security surveillance systems
  • Fire safety equipment: automatic fire alarm systems, warning and evacuation control systems
  • Specialized engineering systems: a complex of engineering systems of data processing centers and situation centers, systems for equipping transport facilities, technological solutions for automated logistics centers and archives.

The experience of implementing infrastructure projects, both in the role of an executor and in the role of a general contractor, allows AI specialists to take on equipping large construction facilities.

As of 2014, "iT" collaborates with AMP, APC, Avaya, Bosch, Cisco, Conteg, HP, IBM, Lampertz, Legrand, Microsoft, Molex, Panduit, Polycom, Rittal, Rockwell Automation, Schreder, Siemens, Wilson, Wonderware.

During its existence, AIT has already implemented more than 1000 projects for building the engineering and IT infrastructure of facilities both as a general contractor and a subcontractor, installed more than 1 million SCS ports, and equipped more than 200 data centers and situation centers.

In addition, iT is the developer of products and solutions, including the structured cable system iT-SKS, passenger information system, intelligent traffic control system, etc.

Examples of engineering and IT infrastructure projects implemented in recent years include: Domodedovo, Sheremetyevo (Moscow region), Olympic facilities (Sochi), ParkInn hotel complex (Astrakhan), central office of Tatenergo (Kazan), Sayano-Shushenskaya HPP (Krasnoyarsk Territory), Avtonormal plant (Ufa), Moscow Metro, Khakass Aluminum Plant (Khakassia).

One of the projects of the ATI Construction, Engineering and IT Infrastructure Competence Center was the project to create an external security perimeter in the Olympic Park in Sochi with engineering and technical security equipment, checkpoints for inspecting vehicles and entrance pavilions. Also deployed at this facility were: a structured cable system; local area network; television surveillance, control and access control systems; security and alarm alarm; warning and evacuation control system; automatic fire alarm; telephone communication and clock recording systems.

2012-2013

During 2012-2013, ATI implemented several hundred projects, including for Sheremetyevo, Tele2, MTT, the Republic of Bashkortostan, the Ministry of Education and Science, Uralvagonzavod, Alfa-Bank, INTECO. Two projects of the ATI Group of Companies were recognized as the first in the competition "The Best 10 IT Projects for the Public Sector": equipping the Moscow Metro with ticket vending machines and developing the FGIS "Monitoring" for interdepartmental interaction between the Ministry of Economic Development, FOIV and ROIV.

In July 2012, iT expanded its competence in the field of personal data protection. Roskomnadzor accredited iT to conduct inspections to protect personal data. The company's specialists may be involved by Roskomnadzor in conducting scheduled and unscheduled inspections for compliance with the requirements of Federal Law No. 152 "On Personal Data" as independent experts in the field of personal data protection, in particular:

  • examination and determination of the level of security of non-state information systems of personal data used by the operator in the implementation of its direct activities
  • assessment of conformity of applied technical means of information protection
  • assessment of the sufficiency and effectiveness of measures taken by the operator to ensure the security of personal data during their processing in non-state personal data information systems
  • conducting studies, as well as conducting examinations and investigations aimed at establishing a causal relationship between the revealed violation of the mandatory requirements of the legislation of the Russian Federation in the field of personal data.

In 2013, ATI became a member of the Chamber of Commerce and Industry of the Russian Federation.

2011: Creation of the Corporate Mobility Center and the Business Logic 2.0 Company

In July 2011, a new division was created - the Center for Corporate Mobility (later separated into a separate company "MobilityLab." It focused on Enterprise Mobility expertise to ensure employees have universal and secure access to corporate information resources and systems from mobile devices.

Sergey Orlik headed the Center for Corporate Mobility. Today, dramatic changes in the IT landscape are taking place associated with the rapid development of mobile technologies, iT said. The "tablet revolution" initiated by Apple iPad and the widespread penetration of smartphones into the corporate environment every day expand the range of tasks facing corporate IT.

In December 2011, ATI had a 100% subsidiary, Logic of Business 2.0, which, in addition to implementing ECM, took up a new direction for the group - business process management systems (BPM).

Until that moment, ECM practice was presented by the long-existing developer of the Boss-Referent EDMS and the iT Information Management created in April 2011, which implements such software. Before the creation of "Information Management" in the form of a separate company, the implementation was presented by the integrator department.

The direction is important for the group. As Tagir Yapparov, chairman of the board of directors of AiTi Group of Companies, said in 2011, over the past year, ECM's practice accounted for about 500 million rubles of revenue. With total income for 2010, according to the rating "CNews100: The largest IT companies in Russia" 4.7 billion rubles. As for the number of employees, according to the then general director of Logic of Business and Boss-Referent Maria Kamennova, about 230 people worked in the direction, of which about 180 employees were in implementation. At the end of 2010, according to the CNews rating, a total of 1,550 people worked in the iT group.

Before the arrival of Kamennova, companies were subordinate to various people. The implementation company is Georgy Podbutsky, who remained in Logic of Business as deputy director in charge of ECM. The developers were led by Andrei Grib, who left AiT. Yapparov attributes his departure to the fact that "not all executives have embedded themselves in a new matrix structure providing for greater delegation of responsibility."

Legally, "BOSS-Referent" remained independent of "Logic of Business" an organization that is also fully owned by the group's management company, says Yapparov. However, the CNews source in the group was sure that we were talking about the complete reassignment of the EDMS development to the implementers.

File:Aquote1.png
The case was not limited to Grib's departure, people from the implementation company also came to other leadership positions in BOSS-Referent, he says. - Normal business internal competition between structures existed for a long time, there were also mutual accusations of failures. Over the past few years, several directors have changed in the implementation. Now "BOSS-Referent" has become completely dependent on implementers
File:Aquote2.png

Despite the shake-up of the direction, Tagir Yapparov intends to annually double the revenue from his work, i.e. already in 2011 it was supposed to reach a billion rubles. The announcement of the creation of "Business Logic 2.0" coincided with the signing of an agreement between "Business Logic" and the German BPM developer Metasonic.

Plans to support the multi-platform "Boss Reference" were also preserved: Lotus, Microsoft Sharepoint, FileNet, JBoss, mobile versions for iOS and Android. According to an anonymous interlocutor of CNews, during the reorganization, the company left a number of programmers and in order to implement these plans, it will be necessary to hire new[3].

2010

The practice of corporate free software was separated into a separate company "PingWin Software" (PingWin Software) and one of the largest Russia in open source software projects was implemented, related to the development, modernization, technical support of open source software in schools, as well as training specialists formations in the use of open source software. In the same year, practice appeared in "ATI." outsourcing business processes The first service was payroll outsourcing.

In 2008, the Linux Competence Center began work at iT; The specialists of the Center developed and implemented solutions in demand by the market based on open source software. In August 2008, ETI and the EURAAS Scientific and Technical Center announced the creation of the EURAAS - Information Technologies company (EURAAS. IT), which specializes in the provision of services in the field of information security and the creation of facility protection systems.

The formation of the new company is dictated by the need to concentrate efforts on the direction of information and object security in connection with the high dynamics of the development of demand for complex solutions in this area. The new company was formed from specialists from the information security systems department and the technical security department of the iT system integrator.

The staff includes professionals who have been working in the field of security for more than 15 years and have extensive experience in implementing projects, both in information security and in the field of ensuring the protection of facilities. In 2007, for the first time in Russia, iT installed a commercial version of the CRM system based on the SaaS (Software-as-a-Service) model.

At the same time, iT, IBM and Intel Corporation created the most powerful IBM supercomputer in Russia at UGATU. UGATU received funds for the creation of a supercomputer, the necessary infrastructure and the adaptation of the premises - about 130 million rubles - from the federal budget as one of the winners of the All-Russian competition of innovative educational programs within the framework of the Education national project in 2007.
