2022: Broadcom buys VMware for $61 billion

On May 26, 2022, VMware was announced to sell to the manufacturer ON for data centers and chips for Broadcom $61 billion. The buyer will pay for part of VMware shares with their own securities, and the other part with cash.

Under the terms of the agreement, VMware shareholders received $142.5 for each paper owned by them, which is 49% higher than the quotation rate as of May 22, 2022 - on the eve of rumors in the media about the upcoming sale of VMware. On May 26, 2022, Broadcom shares rose 1.6%, and VMware securities fell by almost 1% after the merger application.

Broadcom buys VMware for $61 billion

Broadcom plans to raise about $40 billion in debt financing to finance the purchase of VMware, according to The Wall Street Journal. Broadcom will take on VMware's net debt of $8 billion.

According to CNBC, the merger of Broadcom and VMware will become one of the largest in the technology industry. It was paid only for the purchase of storage manufacturer EMC (Dell spent $67 billion) and game developer Activision Blizzard ($69 billion, buyer - Microsoft).

Although the semiconductor business brings Broadcom most of its revenue, the company is actively developing the software direction, including through large acquisitions. So, the IT company was previously bought CA Technologies for $18.9 billion and a corporate division Symantec for $10.7 billion.

2021: Purchase of Mesh7 Application Security Cloud Startup

In mid-March 2021, VMware announced the purchase of the Mesh7 at a price that companies did not disclose. Purchase of Heptio, a developer of tools for working with Kubernetes software

2017: VeloCloud Networks Acquisition Agreement

VMware on November 3, 2017 announced the signing of a final agreement to acquire VeloCloud Networks, Inc, a provider of cloud software-defined distributed networks (SD-WAN) for organizations and telecom service providers. VMware plans to complete the transaction, the amount of which is not disclosed, in the fourth quarter of fiscal year 2018. According to the company's estimates, the merger will not lead to changes in the financial plan for fiscal year 2018 presented earlier by VMware management.

VMware intends to purchase cloud SD-WAN provider VeloCloud Networks

By calculations of the company, solutions of VeloCloud will allow VMware to optimize the platform network virtualizatsiiVMware NSX and to expand a portfolio of network decisions for complex automation, the continuity of operation of applications, transformation of branches and safety in local and cloud DPCs. SD-WAN from VeloCloud combines the cost-effectiveness and flexibility of a hybrid distributed network (WAN) with deployment speed and low maintenance requirements for cloud services. VeloCloud uses x86 edge servers to aggregate multiple broadband channels in a branch office, and connects the branch office to any type of data center, whether enterprise, cloud, or SaaS, using cloud orchestration.

SD-WAN is ideal for organizations that want to move from static, complex LANs to a cost-effective, dynamic, and scalable digital-era cloud architecture. The VeloCloud solution provides flexibility in selecting the type of network connection, complementing MPLS (multiprotocol label switching) capabilities and increasing total cost of ownership when a branch is connected to a network.

Expectations from the transaction

According to VMware's vision, as a result of the transaction, enterprise customers will be able to support application development, network infrastructure flexibility, and simplify branch network deployment, while gaining high-performance, secure, and reliable access to cloud services, private data centers, and SaaS-based applications.

C VeloCloud VMware will help service providers increase profits and grow their services by providing a flexible transport network, performance for cloud applications, and a software-defined intelligent perimeter that can manage multiple services to meet customer needs.

SD-WAN becomes a priority feature when deploying virtual equipment inside the customer perimeter (vCPE), so VMware will be able to simplify the deployment of virtual network functions (VNF) for applications, for example, for security, thanks to the combination of a proven VMware vCloud NFV platform with the SD-WAN cloud platform, the company noted.
